s,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththeGuarantee,excepttotheextentsuchclaimsarisefromthenegligenceorwillfulmisconductoftheThirdParty.6.ConfidentialityTheThirdPartyagreestokeepallinformationrelatedtothiscontractconfidentialandnottodiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparties.7.GoverningLawandJurisdictionThissectiononThirdPartyInvolvementshallbegovernedandconstruedinaccordancewiththelawsof___________(e.g.,thelawsoftheUnitedStatesofAmerica).Anydisputesarisingoutoforinconnectionwiththissectionshallbesubjecttotheexclusivejurisdictionofthecourtsof___________(e.g.,thecourtsofNewYork,USA).8.AmendmentsAnyamendmenttothissectiononThirdPartyInvolvementshallbebindingonlyifitisinwritingandsignedallpartiesinvolved.9.WaiverThefailureofanypartytoenforceanyprovisionofthissectionshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartytoenforcesuchprovision.10.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthissectionduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentalactions.11.ThirdPartyConsentTheinvolvementofanyThirdPartyintheissuance,administration,orexecutionoftheGuaranteeshallrequirethepriorwrittenconsentofallpartiestothiscontract.SuchconsentshallbedeemedtobegivenupontheexecutionofaseparateagreementbetweentheThirdPartyandtheotherparties.12.ThirdPartyAgreementTheThirdPartyshallenterintoaseparateagreementwiththeBeneficiary,theGuarantor,andtheBankthatsetsforththescopeofitsservices,responsibilities,andliabilityinconnectionwiththeGuarantee.Suchagreementshallbegovernedthesamegoverninglawandjurisdictionasthiscontract.13.DisputeResolutionAnydisputesarisingbetweentheThirdPartyandanyoftheotherpartiestothiscontractshallberesolvedinaccordancewiththedisputeresolutionprovisionsoftheseparateagreementbetweentheThirdPartyandtheotherparties.EndofSecondPart第三部分：其他補充性說明和解釋說明一：附件列表：1.LetterofGuarantee:TheoriginalletterofguaranteeissuedtheBankonbehalfoftheGuarantortotheBeneficiary.Itshallincludethefaceamount,expirationdate,andtermsandconditionsoftheguarantee.2.ApplicationforGuarantee:TheapplicationsubmittedtheBeneficiarytotheBankrequestingtheissuanceoftheGuarantee.ItshallincludedetailsofthetransactionforwhichtheGuaranteeisrequired.3.FinancialStatements:AuditedfinancialstatementsoftheBeneficiaryforthemostrecentfiscalyear.ThesestatementsshallbepreparedinaccordancewiththegenerallyacceptedaccountingprinciplesofthecountryoftheBeneficiary.4.TradeDocuments:AllrelevanttradedocumentsrelatedtothetransactionforwhichtheGuaranteeisrequired.Thismayinclude,butisnotlimitedto,invoices,billsoflading,andpackinglists.5.CreditReport:AcreditreportontheBeneficiaryfromareputablecreditreportingagency.ThereportshallincludetheBeneficiary'scredithistory,financialposition,andpaymentbehavior.6.Guarantor'sFinancialStatements:AuditedfinancialstatementsoftheGuarantorforthemostrecentfiscalyear.ThesestatementsshallbepreparedinaccordancewiththegenerallyacceptedaccountingprinciplesofthecountryoftheGuarantor.7.InsurancePolicy:AcopyoftheinsurancepolicycoveringthetransactionforwhichtheGuaranteeisrequired.Thepolicyshallincludethefaceamountandthetermsandconditionsofcoverage.9.AuthorizationLetter:AnauthorizationletterfromtheBeneficiary'sbankauthorizingthereleaseoffundsinaccordancewiththetermsoftheGuarantee.10.PaymentSchedule:AdetailedpaymentscheduleoutliningthetermsofpaymentforthetransactionforwhichtheGuaranteeisrequired.DetailedRequirementsandExplanationsforAttachments:TheLetterofGuaranteemustbeintheformprescribedtheBankandmustbesignedanauthorizedrepresentativeoftheBank.Tradedocumentsmustbeoriginalandmustbedatedandsignedthepartiesinvolvedinthetransaction.Thecreditreportmustbenomorethansixmonthsoldatthetimeofsubmission.Legalopinionsmustbeinwritingandmustbesignedaqualifiedattorney.ThepaymentschedulemustbeinwritingandmustbesignedanauthorizedrepresentativeoftheBeneficiary.說明二：違約行為及責任認定：2.FailuretoProvideRequiredDocumentation:IftheBeneficiaryfailstoprovidetheBankwithallnecessarydocumentationtosupport
