ThisInternationalTradeContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintobyandbetweenthefollowingparties:

1.ProductDescription

TheProductshallbe[ProductDescription],whichshallcomplywiththefollowingspecifications:

2.Quantity

5.QualityandInspection

TheProductshallcomplywiththequalitystandardsspecifiedinthisContract.TheBuyershallhavetherighttoinspecttheProductupondelivery.IftheProductdoesnotmeetthequalitystandards,theBuyershallhavetherighttorejecttheProductandrequiretheSellertoreplaceorrepairit.

6.ForceMajeure

IfeitherpartyisunabletoperformitsobligationsunderthisContractduetoforcemajeureeventssuchasnaturaldisasters,wars,orgovernmentactions,theaffectedpartyshallnotifytheotherpartyinwritingwithin[NoticePeriod]aftertheoccurrenceoftheforcemajeureevent.Theaffectedpartyshallbeexemptedfromliabilityforthefailuretoperformitsobligationsduringtheperiodofforcemajeure.

7.DisputeResolution

AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthedisputescannotberesolvedthroughnegotiations,thepartiesshallsubmitthedisputesto[DisputeResolutionInstitution]forarbitration.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
