NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.ProductDescription:TheProductshallbeofthefollowingspecifications,quality,andquantity,asdetailedintheattachedProductSpecificationSheet(hereinafterreferredtoas"theSpecificationSheet").

2.PriceandPaymentTerms:ThepriceoftheProductshallbe[Price]perunit(hereinafterreferredtoas"theUnitPrice"),andthetotalamountduefortheProductshallbe[TotalAmount].Thepaymenttermsareasfollows:

a.TheBuyershallpay[Percentage]ofthetotalamountupontheexecutionofthisContract.

b.TheBuyershallmakethebalancepaymentof[Percentage]ofthetotalamountwithin[NumberofDays]aftertheshipmentoftheProduct.

c.Thepaymentshallbemadeby[PaymentMethod],andthepaymentshallbemadetotheSeller'sdesignatedbankaccountasspecifiedintheattachedPaymentDetailsSheet(hereinafterreferredtoas"thePaymentDetailsSheet").

3.ShipmentandDelivery:TheSellershallshiptheProducttotheBuyer'sdesignatedportorwarehouse,asspecifiedintheattachedShipmentandDeliveryDetailsSheet(hereinafterreferredtoas"theShipmentDetailsSheet").

a.TheSellershallensurethattheProductisproperlypackedandlabeled,andshallprovidetheBuyerwiththenecessaryshippingdocuments,includingbutnotlimitedtotheBillofLadingandtheCommercialInvoice.

b.TheSellershalldelivertheProducttotheBuyerwithin[NumberofDays]aftertheBuyer'sconfirmationoftheshipmentschedule.

4.InspectionandAcceptance:TheBuyershallhavetherighttoinspectandaccepttheProductupondelivery.TheProductshallbedeemedacceptedbytheBuyerifitcomplieswiththespecifications,quality,andquantitysetforthintheSpecificationSheet.

5.Warranty:TheSellerwarrantsthattheProductshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[NumberofMonths]fromthedateofshipment.Ifanydefectariseswithinthewarrantyperiod,theSellershall,atitssolediscretion,repairorreplacethedefectiveProduct,orrefundthepurchasepriceofthedefectiveProduct.

6.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,riot,strikes,labordisputes,orgovernmentactions.

7.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputeshallbesubmittedtothecompetentcourtof[ApplicableJurisdiction]forresolution.

4.ThirdParty'sObligationsandRights:
