b.PartyBshallindemnifyandholdharmlessPartyAagainstanyclaims,demands,actions,orproceedingsarisingoutoforinconnectionwithPartyB'suseoftheinformationandconsultationservicesprovidedbyPartyA.

6.Termination

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationismadewithin[SpecificTimeframe]aftertheoccurrenceof[ReasonforTermination].

7.GoverningLawandDisputeResolution

9.TerminationandConsequences

a.PartyBshallnotusetheTechnologyinanymannerthatcouldcauseharmtothereputationofPartyAortheThirdParty.

b.PartyBshallnotmodifyorcreatederivativeworksoftheTechnologywithoutthepriorwrittenconsentofPartyAandtheThirdParty.

c.PartyBshallnotsell,lease,orotherwisetransfertheLicensetoanythirdpartywithoutthepriorwrittenconsentofPartyA.

7.TermandTermination
