4.ThirdParty'sRightsandObligations

5.Principal'sRights

b.ThePrincipalhastherighttoterminatetheThirdParty'sservicesiftheThirdPartyfailstomeettheagreedperformancestandards.
6.Principal'sInterests
a.ThePrincipalaimstosecurehigh-qualitygoodsatcompetitiveprices.
b.ThePrincipalseekstominimizerisksassociatedwiththeimportprocessandensuretimelydelivery.
c.ThePrincipalaimstoestablishalong-term,mutuallybeneficialrelationshipwiththeSellerandtheThirdParty.
7.Seller'sInterests
a.TheSelleraimstoexpanditsmarketreachandestablishareputationasareliablesupplier.
b.TheSellerseekstoestablishalong-termrelationshipwiththePrincipalandtheThirdParty.
c.TheSelleraimstomaximizeitsrevenuebysellinggoodstothePrincipalataprofitableprice.
8.Seller'sandThirdParty'sLiability
a.IntheeventofabreachofthisContractbytheSeller,theSellershallbeliableforanydirectlossesincurredbythePrincipal.

9.Buyer'sandSeller'sLimitations

b.TheThirdPartyshallnotbeliableforanyindirectlossesincurredbythePrincipalduetotheactionsorinactionsoftheSellerorthePrincipal.
10.DisputeResolution
IntheeventofanydisputesarisingfromtheexecutionofthisContract,thepartiesheretoshallendeavortoresolvethedisputesthroughfriendlynegotiations.Ifthedisputescannotberesolvedthroughnegotiations,thepartiesagreetosubmitthedisputestothearbitrationofasolearbitratorappointedbytheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inaccordancewithitsrules.
11.GoverningLaw
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.
12.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
