4.QualityandInspection

4.2PartyBshallhavetherighttoinspecttheGoodsupondeliveryoratanyothertimemutuallyagreeduponbybothparties.

4.3Intheeventofanynon-compliancewiththequalitystandards,PartyBshallnotifyPartyAwithin[NumberofDays]daysofthediscoveryofsuchnon-compliance,andPartyAshallberesponsibleforcorrectingthedefectsorreplacingthenon-compliantGoodsatnoadditionalcosttoPartyB.

5.IntellectualPropertyRights

5.1PartyAwarrantsthatithastherighttosellanddelivertheGoodstoPartyB,andthattheGoodsdonotinfringeuponanyintellectualpropertyrightsofanythirdparty.

5.2PartyBshallnotclaimanyintellectualpropertyrightsintheGoodsoranyrelatedtechnology.

6.WarrantiesandLiability

6.1PartyAwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[NumberofDays]daysfromthedateofdelivery.

6.2Intheeventofanybreachofwarranty,PartyAshall,atitssolediscretion,eitherrepair,replace,orrefundthepriceofthedefectiveGoods.

7.ForceMajeure

7.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentregulations.

8.GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.2PartyBshallnotusetheGoodsinanymannerthatmaycausedamagetothereputationorgoodwillofPartyA.

10.ForceMajeure

10.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentregulations.

11.GoverningLawandDisputeResolution
