7.GoverningLawandJurisdiction

c.PartyAmayterminatethisContractforconvenience,uponwrittennoticetoPartyB,andshallpayPartyBfortheservicesrendereduptothedateoftermination.

10.LimitationsofLiability

a.PartyBshallnotbeliableforanylossordamagecausedbyitsfailuretoperformitsobligationsunderthisContract,unlesssuchfailureisduetoitsowngrossnegligenceorwillfulmisconduct.

b.PartyCshallbesolelyresponsibleforthequalityandperformanceofitsservicesorsupport,andPartyAshallnotbeliableforanyclaimsordamagesarisingtherefrom.

11.Indemnification

a.PartyAshallindemnify,defend,andholdharmlessPartyBandPartyCagainstanyclaims,losses,ordamagesarisingoutoforinconnectionwiththeperformanceoftheirobligationsunderthisContract.

b.PartyBandPartyCshallindemnify,defend,andholdharmlessPartyAagainstanyclaims,losses,ordamagesarisingoutoforinconnectionwiththeperformanceoftheirobligationsunderthisContract,exceptasprovidedinthisparagraph.

12.ConclusionofThird-PartyParticipation

TheinvolvementofPartyCasanindependentcontractorservestoenhancethecapabilitiesofPartyAbyprovidingspecializedservicesthatarenotwithinthecorecompetenciesofPartyB.ThisarrangementallowsPartyAtomaintaincontrolovertheproject'sdirectionandqualitywhileleveragingtheexpertiseofPartyC.

13.PurposeandSignificanceofPartyA'sLeadership

ThepurposeofPartyAintakingadominantroleinthisContractistoensurethatitsinterestsareadequatelyprotectedandthattheoverallobjectivesoftheprojectaremet.ByexercisingcontroloverthescopeofworkandtheperformanceofPartyBandPartyC,PartyAcanoptimizetheproject'soutcomeandmitigaterisksassociatedwiththird-partyinvolvement.
