4.IntellectualPropertyRights

Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,arisingfromtheGoods/ServicesprovidedbyPartyAshallbesolelyownedbyPartyA,exceptasotherwiseagreeduponinwriting.

5.WarrantiesandLiability

PartyAwarrantsthattheGoods/ServicesshallbefreefromdefectsandshallconformtothespecificationssetforthinthisContract.PartyAshallbeliableforanydefectsintheGoods/Servicesthatarisewithinthewarrantyperiod.PartyB'ssoleremedyforanybreachofwarrantyshallbethereplacementorrepairofthedefectiveGoods/Services,atPartyA'ssolediscretion.

6.Confidentiality

Thepartiesagreetomaintaintheconfidentialityofanyconfidentialinformationdisclosedtothembytheotherparty,includingbutnotlimitedtotechnical,commercial,andfinancialinformation.Thepartiesshallnotdiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

7.GoverningLawandDisputeResolution
