NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.DescriptionofBooks
ThebookstobepurchasedbytheBuyerfromtheSelleraredescribedintheattachedListofBooks(hereinafterreferredtoas"theList").
2.QuantityandPrice
TheBuyeragreestopurchasethebookslistedintheListinthequantitiesandatthepricesspecifiedintheList.
3.Delivery
TheSellershalldeliverthebookstotheBuyerattheBuyer'sdesignatedaddressasspecifiedintheattachedDeliveryAddressForm(hereinafterreferredtoas"theAddressForm").
4.DeliveryTime
TheSellershalldeliverthebookstotheBuyerwithinthetimeperiodspecifiedintheattachedDeliverySchedule(hereinafterreferredtoas"theSchedule").
5.Payment
TheBuyershallmakepaymentforthepurchasedbooksinaccordancewiththepaymenttermsandmethodsspecifiedintheattachedPaymentTermsandMethodsForm(hereinafterreferredtoas"thePaymentForm").
6.Warranties
TheSellerwarrantsthatthebooksdeliveredtotheBuyershallbeofgoodquality,asdescribedintheList,andfreefromanydefectsorfaults.
7.ReturnsandRefunds
IntheeventthatthebooksdeliveredtotheBuyerarefoundtobedefectiveornotasdescribedintheList,theBuyermayreturnthebookstotheSellerwithintheperiodspecifiedintheattachedReturnsandRefundsPolicy(hereinafterreferredtoas"thePolicy").
8.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheattachedGoverningLawandDisputeResolutionClause(hereinafterreferredtoas"theClause").
9.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterhereof.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

ThisContract(hereinafterreferredtoas"theContract")isenteredintobyandbetweentheSeller(hereinafterreferredtoas"theSeller"),theBuyer(hereinafterreferredtoas"theBuyer"),andtheThirdParty(hereinafterreferredtoas"theThirdParty"),allofwhomarelegalentitiesorindividualswithfullcapacityforcivilconduct.
WHEREAS,theBuyerintendstopurchasebooksfromtheSeller;
WHEREAS,theSelleragreestosupplythebookstotheBuyerinaccordancewiththetermsandconditionssetforthherein;
WHEREAS,theThirdPartyshallactasanintermediarytofacilitatethetransactionbetweentheSellerandtheBuyer;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.DescriptionofBooks
ThebookstobepurchasedbytheBuyerfromtheSelleraredescribedintheattachedListofBooks(hereinafterreferredtoas"theList").
2.QuantityandPrice
TheBuyeragreestopurchasethebookslistedintheListinthequantitiesandatthepricesspecifiedintheList.
3.Delivery
TheSellershalldeliverthebookstotheBuyerattheBuyer'sdesignatedaddressasspecifiedintheattachedDeliveryAddressForm(hereinafterreferredtoas"theAddressForm").
TheThirdPartyshallensurethatthedeliveryismadeinaccordancewiththeagreedscheduleandqualitystandards.
4.DeliveryTime
TheSellershalldeliverthebookstotheBuyerwithinthetimeperiodspecifiedintheattachedDeliverySchedule(hereinafterreferredtoas"theSchedule").
TheThirdPartyshallmonitorthedeliveryprocessandreportanydelaysorissuestotheBuyerpromptly.
5.Payment
TheBuyershallmakepaymentforthepurchasedbooksinaccordancewiththepaymenttermsandmethodsspecifiedintheattachedPaymentTermsandMethodsForm(hereinafterreferredtoas"thePaymentForm").
TheThirdPartyshallactasthepaymentintermediaryandensurethesecuretransferoffundsbetweentheBuyerandtheSeller.
6.Warranties
TheSellerwarrantsthatthebooksdeliveredtotheBuyershallbeofgoodquality,asdescribedintheList,andfreefromanydefectsorfaults.
TheThirdPartyshallverifythequalityofthebooksbeforethedeliveryandreportanydiscrepanciestotheBuyer.
7.ReturnsandRefunds
IntheeventthatthebooksdeliveredtotheBuyerarefoundtobedefectiveornotasdescribedintheList,theBuyermayreturnthebookstotheSellerwithintheperiodspecifiedintheattachedReturnsandRefundsPolicy(hereinafterreferredtoas"thePolicy").
TheThirdPartyshallfacilitatethereturnprocessandensurethattheBuyerreceivesarefundinaccordancewiththePolicy.
8.ThirdParty'sResponsibilities
TheThirdPartyshallactasanintermediarytofacilitatethetransactionbetweentheSellerandtheBuyer,includingbutnotlimitedto:
-Providingmarketinformationandassistingwithnegotiationsbetweentheparties;
-EnsuringcompliancewiththetermsandconditionsoftheContract;
-Resolvinganydisputesorissuesthatmayariseduringthetransaction.
9.ThirdParty'sRights
TheThirdPartyshallhavetherighttoreceiveafeeforitsservicesasspecifiedintheattachedFeeAgreement(hereinafterreferredtoas"theFeeAgreement").
TheThirdPartyshallhavetherighttoaccessandusetheinformationprovidedbytheBuyerandtheSellerforthepurposeoffacilitatingthetransaction.
10.Buyer'sRights
TheBuyershallhavetherighttoterminatetheContractiftheSellerfailstodeliverthebookswithintheagreedtimeperiodorifthebooksarefoundtobedefective.
TheBuyershallhavetherighttorequestarefundinaccordancewiththeattachedReturnsandRefundsPolicyifthebooksdonotmeettheagreedqualitystandards.
11.Seller'sRights
TheSellershallhavetherighttoterminatetheContractiftheBuyerfailstomakepaymentwithintheagreedtimeperiod.
TheSellershallhavetherighttoclaimdamagesfromtheBuyerintheeventofabreachoftheContract.
12.Seller'sObligations
TheSellershalldeliverthebookstotheBuyerinaccordancewiththeagreedquantities,quality,anddeliveryschedule.
TheSellershallcomplywithallapplicablelawsandregulationsregardingthesaleanddistributionofbooks.
13.Buyer'sObligations
TheBuyershallpayforthepurchasedbooksinaccordancewiththeagreedpaymenttermsandmethods.
TheBuyershallcomplywithallapplicablelawsandregulationsregardingthepurchaseanduseofbooks.
14.Seller'sLiabilityforBreach
IntheeventofabreachoftheContractbytheSeller,theSellershallbeliabletotheBuyerforanylossesincurredasaresultofthebreach.
15.Buyer'sLiabilityforBreach
IntheeventofabreachoftheContractbytheBuyer,theBuyershallbeliabletotheSellerforanylossesincurredasaresultofthebreach.
16.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheattachedGoverningLawandDisputeResolutionClause(hereinafterreferredtoas"theClause").
17.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterhereof.

TheThirdPartyshalloverseethedeliveryprocessandensurethattheBuyerreceivesthedevicesintheagreedcondition.
4.DeliveryTime
TheSellershalldelivertheelectronicdevicestotheBuyerwithinthetimeperiodspecifiedintheattachedDeliverySchedule(hereinafterreferredtoas"theSchedule").
TheThirdPartyshallmonitorthedeliverytimelineandreportanydelaystotheBuyer.
5.Payment
TheBuyershallmakepaymentforthepurchasedelectronicdevicesinaccordancewiththepaymenttermsandmethodsspecifiedintheattachedPaymentTermsandMethodsForm(hereinafterreferredtoas"thePaymentForm").
TheThirdPartyshallfacilitatethepaymentprocessandensurethattheSellerreceivesthefundsinatimelymanner.
6.Warranties
TheSellerwarrantsthattheelectronicdevicesdeliveredtotheBuyershallbeofgoodquality,asdescribedintheList,andfreefromanydefectsorfaults.
TheThirdPartyshallverifythequalityofthedevicesupondeliveryandreportanyissuestotheBuyer.
7.ReturnsandRefunds
IntheeventthattheelectronicdevicesdeliveredtotheBuyerarefoundtobedefectiveornotasdescribedintheList,theBuyermayreturnthedevicestotheSellerwithintheperiodspecifiedintheattachedReturnsandRefundsPolicy(hereinafterreferredtoas"thePolicy").
TheThirdPartyshalloverseethereturnprocessandensurethattheBuyerreceivesarefundinaccordancewiththePolicy.
8.ThirdParty'sResponsibilities
TheThirdPartyshallactasaconsultantandfacilitator,includingbutnotlimitedto:
-Providingexpertadviceontheselectionandpurchaseofelectronicdevices;
-AssistingwithnegotiationsbetweentheSellerandtheBuyer;
-EnsuringcompliancewiththetermsandconditionsoftheContract.
9.ThirdParty'sRights
TheThirdPartyshallhavetherighttoreceiveafeeforitsservicesasspecifiedintheattachedFeeAgreement(hereinafterreferredtoas"theFeeAgreement").
TheThirdPartyshallhavetherighttoaccessandusetheinformationprovidedbytheBuyerandtheSellerforthepurposeoffacilitatingthetransaction.
10.Buyer'sRights
TheBuyershallhavetherighttoterminatetheContractiftheSellerfailstodelivertheelectronicdeviceswithintheagreedtimeperiodorifthedevicesarefoundtobedefective.
TheBuyershallhavetherighttorequestarefundinaccordancewiththeattachedReturnsandRefundsPolicyifthedevicesdonotmeettheagreedqualitystandards.
11.Seller'sObligations
TheSellershalldelivertheelectronicdevicestotheBuyerinaccordancewiththeagreedquantities,quality,anddeliveryschedule.
TheSellershallcomplywithallapplicablelawsandregulationsregardingthesaleanddistributionofelectronicdevices.
12.Seller'sLiabilityforBreach
IntheeventofabreachoftheContractbytheSeller,theSellershallbeliabletotheBuyerforanylossesincurredasaresultofthebreach.
13.Buyer'sObligations
TheBuyershallpayforthepurchasedelectronicdevicesinaccordancewiththeagreedpaymenttermsandmethods.
TheBuyershallcomplywithallapplicablelawsandregulationsregardingthepurchaseanduseofelectronicdevices.
14.Buyer'sLiabilityforBreach
IntheeventofabreachoftheContractbytheBuyer,theBuyershallbeliabletotheSellerforanylossesincurredasaresultofthebreach.
