2025【英文合同】標準英文銷售合同(范本版)[ContractNo.][Date:]THISSALESCONTRACT(the"Contract")BETWEEN[Seller'sFullLegalName][Seller'sAddress][City,State,ZIPCode,Country](Hereinafterreferredtoasthe"Seller")AND[Buyer'sFullLegalName][Buyer'sAddress][City,State,ZIPCode,Country](Hereinafterreferredtoasthe"Buyer")Recitals:WHEREAS,theSellerisengagedinthebusinessofsellingthegoodsdescribedbelow;andWHEREAS,theBuyerdesirestopurchasesuchgoodsfromtheSeller;NOW,THEREFORE,thepartiesagreeasfollows:1.GOODS1.1TheSelleragreestosell,andtheBuyeragreestopurchase,thefollowinggoods(the"Goods"):Description:Quantity:Specifications:Anyadditionaldetails:1.2TheGoodsshallconformtothespecifications,quality,andstandardssetforthinthisContract.2.PRICEANDPAYMENT2.1ThetotalpricefortheGoods(the"Price")shallbe(writteninwords:).2.2TheBuyershallpaythePriceinaccordancewiththefollowingterms:PaymentMethod:PaymentTerms:PaymentDeadline:2.3Anylatepaymentshallincuralatefeeofperday.2.4ThePricedoesnotincludetaxes,duties,orotherchargesimposedbyanygovernmentalauthority,whichshallbebornebytheBuyerunlessotherwisestated.3.DELIVERY3.1TheSellershalldelivertheGoodstotheBuyeratthefollowingaddress:Address:Country:3.2TheGoodsshallbedeliveredonorbefore(deliverydate).3.3Deliveryshallbemadevia(modeoftransport).3.4RiskoflossordamagetotheGoodsshallpasstotheBuyerupon(e.g.,delivery,transferofpossession,etc.).4.ACCEPTANCE4.1TheBuyershallinspecttheGoodsupondeliveryandnotifytheSellerofanydiscrepanciesordefectswithindays.4.2TheBuyer’sfailuretonotifytheSellerofanydefectswithintheaforementionedperiodshallbedeemedasacceptanceoftheGoods.5.WARRANTIES5.1TheSellerwarrantsthattheGoodsarefreefromdefectsinmaterialandworkmanshipandconformtothespecificationssetforthinthisContractforaperiodof(warrantyperiod).5.2TheSellershall,atitsoption,repairorreplaceanydefectiveGoodswithindaysofnotice.5.3TheSeller’swarrantyshallnotapplytodefectsarisingfrommisuse,improperhandling,ornormalwearandtear.6.INTELLECTUALPROPERTY6.1TheSellerwarrantsthattheGoodsdonotinfringeanythird-partyintellectualpropertyrights.6.2TheBuyershallnotifytheSellerimmediatelyofanyclaimofinfringement.7.CONFIDENTIALITY7.1BothpartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedduringtheperformanceofthisContract.7.2ThisobligationshallsurvivetheterminationofthisContract.8.FORCEMAJEURE8.1Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,orgovernmentactions.8.2Theaffectedpartyshallnotifytheotherpartyoftheforcemajeureeventwithindays.9.AMENDMENTS9.1AnyamendmentstothisContractmustbeinwritingandsignedbybothparties.10.TERMINATION10.1EitherpartymayterminatethisContractupondays’writtennoticeiftheotherpartybreachesanymaterialtermandfailstocurethebreachwithinthenoticeperiod.10.2Terminationshallnotrelievethepartiesofanyaccruedrightsorobligationsuptothedateoftermination.11.GOVERNINGLAW11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(jurisdiction).12.DISPUTERESOLUTION12.1AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthroughamicablenegotiations.12.2Ifnegotiationsfail,thedisputeshallbesubmittedtoarbitrationin(place)inaccordancewiththerulesof(arbitrationinstitution).13.NOTICES13.1AllnoticesunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonallyorsentbyregisteredorcertifiedmailtotheaddressesstatedabove.14.entireagreement14.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorunderstandingsoragreements.15.severability15.1IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.16.ATTORNEYS’FEES16.1IntheeventofanylegalactionarisingoutofthisContract,theprevailingpartyshallbeentitledtorecoverreasonableattorneys’feesandcosts.17.SIGNATURESINWITNESSWHEREOF,theparties
