2025雇傭外籍人員合同英文版EMPLOYMENTCONTRACTFORFOREIGNNATIONALS2025ThisEmploymentContract(the"Contract")isenteredintoonthisdayof,2025,byandbetween(hereinafterreferredtoasthe"Company"),acompanyincorporatedunderthelawsof,and(hereinafterreferredtoasthe"Employee"),anationalof,residingat.1.EMPLOYMENTTERMS1.1TheCompanyherebyagreestoemploytheEmployee,andtheEmployeeagreestoacceptemploymentwiththeCompany,uponthetermsandconditionssetforthinthisContract.1.2TheEmployeeshallbeemployedinthepositionof(hereinafterreferredtoasthe"Position")effectivefrom(hereinafterreferredtoasthe"StartDate").1.3ThetermofthisContractshallbeforaperiodofyears(the"Term"),commencingontheStartDateandendingon(the"EndDate"),unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.2.PLACEOFWORK2.1TheEmployeeshallperformtheirdutiesattheCompany'sprincipalofficelocatedat,oratsuchotherlocation(s)astheCompanymayreasonablydesignatefromtimetotime.2.2TheEmployeemayberequiredtotravelwithinoroutsidethecountryforbusinesspurposes,andtheEmployeeagreestocomplywithsuchreasonablebusinessrequirements.3.DESCRIPTIONOFDUTIES3.1TheEmployeeshallperformthedutiesandresponsibilitiesassociatedwiththePosition,includingbutnotlimitedto:(a)Providingprofessionalservicesinthefieldof;(b)AssistinginthedevelopmentandimplementationoftheCompany'sstrategicgoals;(c)Collaboratingwithotheremployees,departments,andexternalpartners;(d)EnsuringthetimelycompletionofassignedtasksaspertheCompany'srequirements.3.2TheEmployeeagreestoadheretotheCompany'spolicies,procedures,anddirectivesintheperformanceoftheirduties.4.WORKINGHOURS4.1TheEmployeeshallworkastandardworkweekofhours,typicallyfromto,MondaythroughFriday,unlessotherwiseagreeduponbytheCompanyandtheEmployee.4.2TheEmployeemayberequiredtoworkadditionalhoursoronweekendsasneededtomeetbusinessrequirements,forwhichtheEmployeemaybeentitledtoovertimecompensationortimeoffinlieu,asperapplicablelawsandCompanypolicies.5.COMPENSATIONANDBENEFITS5.1BaseSalary.TheCompanyshallpaytheEmployeeagrossmonthlybasesalaryof(the"BaseSalary"),effectivefromtheStartDate.TheBaseSalaryshallbereviewedannuallyoratsuchintervalsasdeterminedbytheCompany.5.2AdditionalCompensation.TheEmployeemaybeeligibleforadditionalcompensation,includingbutnotlimitedtobonuses,commissions,orotherincentives,asmaybedeterminedbytheCompanyinitssolediscretion.5.3Benefits.TheEmployeeshallbeentitledtothefollowingbenefitsduringtheTerm:(a)daysofannualleaveperyear;(b)daysofsickleaveperyear;(c)premiumpaymentsforhealthinsurance;(d)OtherbenefitsasdetailedintheCompany'semployeehandbook.5.4Payment.TheBaseSalaryandanyotherpaymentsduetotheEmployeeshallbemademonthlyinaccordancewiththeCompany'spayrollschedule,providedthattheEmployeehasfulfilledallobligationsunderthisContract.6.PAYMENTOFSALARYANDBENEFITS6.1TheCompanyshallpaytheEmployee'sBaseSalaryandbenefitsinaccordancewiththetermssetforthinthisContract,providedthattheEmployeecomplieswithallapplicablelaws,regulations,andCompanypolicies.6.2TheCompanyreservestherighttodeductfromtheEmployee'ssalaryanyamountsrequiredbylaworanyamountsnecessarytocoverdamagesorlossescausedbytheEmployee'sbreachofthisContractoranyapplicablepolicies.7.WORKINGCONDITIONS7.1TheCompanyagreestoprovidetheEmployeewithasafeandhealthyworkingenvironmentincompliancewithallapplicablelawsandregulations.7.2TheEmployeeagreestofollowallsafetyprotocolsandregulationsestablishedbytheCompanyandtouseanyequipmentprovidedbytheCompanyinaccordancewithinstructions.8.HOLIDAYSANDLEAVE8.1TheEmployeeshallbeentitledtothefollowingstatutoryholidays:(a)(providealistofstatutoryholidays,ifapplicable).8.2Inadditiontostatutoryholidays,theEmployeeshallbeentitledtodaysofannualleaveperyear,whichmaybeaccruedandusedinaccordancewiththeCompany'spolicies.8.3TheEmployeeshallprovidetheCompanywithwrittennoticeoftheirintenttotakeannualleaveatleastweeksinadvance,unlessotherwiseagreed.8.4TheCompanymay,initssolediscretion,grantadditionalpaidorunpaidleavetotheEmployeeforspecialcircumstances.9.INSURANCEANDINDEMNITY9.1TheCompanyshallprovidetheEmployeewiththefollowinginsurancecoverage:(a)Healthinsurance;(b)Lifeinsurance;(c)Accidentaldeathanddisabilityinsurance.9.2TheEmployeeagreestonotifytheCompanyofanychangesintheircircumstancesthatmayaffectthecoverageundertheinsurancepolicies.9.3TheCompanyshallnotbeliableforanylossordamagethattheEmployeemaysufferoutsidethescopeoftheiremployment.10.COMPLIANCEWITHLAWSANDREGULATIONS10.1TheEmployeeagreestocomplywithallapplicablelaws,regulations,andCompanypoliciesduringtheTermofthisContract.10.2TheEmployeeshallnotengageinanyconductthatmaybringdiscredittotheCompanyoritsreputation,eitherduringoraftertheTermofthisContract.11.DUTIESOFTHEEMPLOYEE11.1TheEmployeeagreestoperformtheirdutiesdiligently,professionally,andingoodfaith,usingtheirbestskillsandjudgment.11.2TheEmployeeshallmaintainconfidentialityofallCompanyinformation,includingbutnotlimitedtotradesecrets,businessplans,andclientdata.11.3TheEmployeeshallnot,eitherduringoraftertheTermofthisContract,makeanyunauthorizeduseofCompanyproperty,includingintellectualproperty,unlessotherwisepermittedbylaworbypriorwrittenagreement.12.TERMINATIONOFEMPLOYMENT12.1EitherpartymayterminatethisContractupongivingdays'writtennoticetotheotherparty,unlessotherwiseagreedorrequiredbyapplicablelaw.12.2TheCompanymayterminatethisContractimmediatelyforcause,includingbutnotlimitedto:(a)Grossmisconduct;(b)Fraudordishonesty;(c)RepeatedbreachesofthisContractorCompanypolicies.12.3TheEmployeemayterminatethisContractimmediatelyforseriousbreachesofthisContractorCompanypolicies,includingbutnotlimitedtofailuretopaysalaryorsafeworkingconditions.12.4Upontermination,theEmployeeshallreturnallCompanyproperty,includingbutnotlimitedtolaptops,mobilephones,keys,andotheritemsprovidedbytheCompany.12.5TheCompanyshallpaytheEmployeeanyoutstandingsalaryandbenefitsoweduptothedateoftermination,providedthattheEmployeehasfulfilledallobligationsunderthisContract.13.CONFIDENTIALITYANDNON-DISCLOSURE13.1TheEmployeeagreestokeepconfidentialallinformation,whetheroral,written,orelectronic,thatisdisclosedtothembytheCompanyoranythirdpartyinthecourseoftheiremployment.13.2TheEmployeeshallnotuseordisclosesuchconfidentialinformationforanypurposeotherthantheperformanceoftheirdutiesunderthisContract.13.3TheobligationsunderthisSectionshallsurvivetheterminationofthisContract.14.NON-COMPETITIONANDNON-SOLICITATION14.1TheEmployeeagreesthatduringtheTermofthisContractandforaperiodofmonthsaftertermination,theyshallnot,eitherdirectlyorindirectly:(a)EngageinanybusinessthatcompeteswiththeCompany'sbusiness;(b)SolicitorencourageanyemployeeoftheCompanytoleavetheiremployment;(c)SolicitorencourageanyclientorcustomeroftheCompanytoceasedoingbusinesswiththeCompany.14.2TherestrictionsinthisSectionarereasonableandnecessarytoprotecttheCompany'slegitimatebusinessinterests.15.DISPUTERESOLUTION15.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好協(xié)商(friendlynegotiation)betweentheparties.15.2Ifthedisputescannotberesolvedthroughnegotiation,thepartiesagreetosubmitthemattertoarbitrationinaccordancewiththerulesofArbitrationCommission.15.3Thearbitralawardshallbefinalandbindingonbothparties,andjudgmentthereonmaybeenteredinanycourtofcompetentjurisdiction.16.NON-TRANSFERABILITY16.1NeitherthisContractnoranyrightsorobligationshereundermaybeassignedortransferredbytheEmployeewithoutthepriorwrittenconsentoftheCompany.16.2TheCompanymayassignortransferitsrightsorobligationsunderthisContracttoanyofitsaffiliatesorsubsidiaries,providedthattheEmployee'sdutiesandcompensationremainunchanged.17.NOTICE17.1AnynoticesorcommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonallyorsentbyregisteredorcertifiedmail,returnreceiptrequested,totheaddressessetforthbelow:(a)TotheCompany:(b)TotheEmployee:17.2Eitherpartymaychangetheiraddressfornoticesbygivingwrittennotice
