quán)Article8.IntellectualPropertyRights8.1本項(xiàng)目所產(chǎn)生的知識(shí)產(chǎn)權(quán)歸甲方所有。8.1TheintellectualpropertyrightsarisingfromthisprojectshallbeownedbyPartyA.8.2乙方未經(jīng)甲方書面同意，不得將本項(xiàng)目的研究成果用于其他目的或向第三方披露。8.2WithoutthepriorwrittenconsentofPartyA,PartyBshallnotusetheresearchresultsofthisprojectforotherpurposesordisclosethemtoanythirdparty.第九條項(xiàng)目驗(yàn)收Article9.ProjectAcceptance9.1項(xiàng)目驗(yàn)收標(biāo)準(zhǔn)：9.1Acceptancecriteria:9.2驗(yàn)收方式：9.2Methodofacceptance:9.3乙方未按驗(yàn)收標(biāo)準(zhǔn)完成項(xiàng)目的，應(yīng)在甲方要求的期限內(nèi)進(jìn)行整改。9.3IncasePartyBfailstocompletetheprojectinaccordancewiththeacceptancecriteria,PartyBshallrectifywithinthespecifiedperiodrequiredbyPartyA.第十條保密義務(wù)Article10.ObligationofConfidentiality10.1雙方應(yīng)對(duì)在本合同履行過程中獲悉的對(duì)方的商業(yè)秘密和技術(shù)秘密予以保密，未經(jīng)對(duì)方書面同意，不得向任何第三方披露。10.1BothPartiesshallkeepconfidentialanycommercialortechnicalsecretslearnedduringtheperformanceofthisContractandshallnotdisclosesuchsecretstoanythirdpartywithoutpriorwrittenconsentfromtheotherParty.10.2本條規(guī)定的保密義務(wù)在合同終止后仍然有效。10.2TheobligationofconfidentialityunderthisArticleshallcontinuetobebindingafterterminationofthisContract.第十一條違約責(zé)任Article11.LiabilityforBreachofContract11.1任一方未能履行本合同約定的義務(wù)，即構(gòu)成違約，違約方應(yīng)賠償守約方遭受的全部損失。11.1AnyfailurebyaPartytoperformitsobligationsunderthisContractshallconstituteabreachofcontract,andthebreachingPartyshallcompensatetheinnocentPartyforalllossesincurredthereby.11.2乙方未按期完成研究開發(fā)任務(wù)的，應(yīng)按合同總金額的日%向甲方支付違約金。11.2IncasePartyBfailstocompletetheresearchanddevelopmenttasksontime,PartyBshallpayPartyAapenaltyof%perdayofthetotalcontractamount.11.3若因甲方原因?qū)е马?xiàng)目延期，甲方應(yīng)承擔(dān)相應(yīng)的責(zé)任。11.3IfthedelayoftheprojectisduetoPartyA'scause,PartyAshallbeliableforsuchdelay.第十二條爭(zhēng)議的解決Article12.ResolutionofDisputes12.1因本合同引起的任何爭(zhēng)議，雙方應(yīng)通過友好協(xié)商解決。12.1AnydisputearisingoutofthisContractshallberesolvedfirstby友好(friendly)negotiationbetweentheParties.12.2協(xié)商不成的，可向人民法院提起訴訟。12.2Ifthenegotiationsfail,eitherPartymaybringanactionbeforethePeople'sCourt.第十三條其他條款A(yù)rticle13.MiscellaneousProvisions13.1本合同未盡事宜，雙方可另行簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本合同具有同等法律效力
