2025商務(wù)英語對(duì)話之合同洽談2025BusinessEnglishDialogue–ContractNegotiationContractforBusinessServicesThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoasof(the"EffectiveDate")byandbetween:Parties:PartyA:,acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinesslocatedat(referredtoas"PartyA"or"Client").PartyB:,acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinesslocatedat(referredtoas"PartyB"or"ServiceProvider").Recitals:WHEREAS,PartyAdesirestoengagePartyBtoprovidecertainbusinessservices(hereinafterreferredtoasthe"Services");andWHEREAS,PartyBiswillingandabletoprovidetheServicestoPartyAunderthetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.ScopeofServices1.1PartyBagreestoprovidethefollowingServicestoPartyA:1.1.1Marketresearchandanalysis;1.1.2Brandpromotionandmarketingstrategies;1.1.3Productdevelopmentanddesign;1.1.4Otherservicesasmutuallyagreeduponinwriting(the"AdditionalServices").1.2TheServicesshallbeprovidedinaccordancewiththetermsandspecificationsagreeduponbybothpartiesandoutlinedinExhibitAattachedhereto.2.TermoftheAgreement2.1ThisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodofmonths,unlessterminatedearlierinaccordancewiththetermshereof(the"Term").2.2EitherpartymayterminatethisAgreementupondays'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithindaysafterreceivingwrittennoticethereof.2.3UponexpirationoftheTerm,thisAgreementshallautomaticallyrenewforadditionalconsecutiveperiodsofmonths,unlesseitherpartyprovideswrittennoticeofterminationatleastdayspriortotheexpirationoftheTerm.3.FeesandPayment3.1PartyBshallchargePartyAatotalfeeof(the"TotalFee")fortheServices,asdetailedinExhibitB.3.2PartyAshallpaytheTotalFeeininstallments,withthefirstinstallmentdueonandsubsequentinstallmentsdueonofeachmonth.3.3Allpaymentsshallbemadein,andanylatepaymentshallincura違約金(違約金)ofpermonth,calculatedontheoutstandingamount.4.IntellectualProperty4.1Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,patents,andtradesecrets,createdinthecourseofprovidingtheServices(the"IntellectualProperty")shallbeownedjointlybyPartyAandPartyB.4.2PartyAandPartyBmayusetheIntellectualPropertysolelyforthepurposeofperformingorbenefitingfromthisAgreement,providedthatsuchusedoesnotinfringeupontheotherparty'srightsunderthisAgreement.4.3UponterminationofthisAgreement,bothpartiesshallceasealluseoftheIntellectualPropertyexceptasotherwiseagreedinwriting.5.Confidentiality5.1Bothpartiesagreetomaintaintheconfidentialityofallnon-public,proprietary,andconfidentialinformationdisclosedbytheotherpartyduringthecourseofthisAgreement(the"ConfidentialInformation").5.2TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodofyears.5.3TheConfidentialInformationshallnotincludeanyinformationthat:(a)Isorbecomespubliclyavailablethroughnofaultofthereceivingparty;(b)Isrightfullyreceivedfromathirdpartywithoutbreachofanyobligationofconfidentiality;(c)IsindependentlydevelopedbythereceivingpartywithoutuseoforreferencetotheConfidentialInformation.6.WarrantiesandRepresentations6.1PartyBwarrantsthatithasthenecessaryexpertise,qualifications,andlegalauthoritytoprovidetheServicesinaccordancewiththetermsofthisAgreement.6.2PartyAwarrantsthatithasthenecessaryauthoritytoenterintothisAgreementandtopaythefeesasspecifiedherein.6.3Neitherpartyshallmakeanyrepresentationsorwarranties,expressorimplied,concerningtheServicesoranyothermatternotspecificallysetforthinthisAgreement.7.Indemnification7.1PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedto:(a)AnyactionsoromissionsofPartyA;(b)TheuseoftheServicesbyPartyAinviolationofanyapplicablelawsorregulations;(c)AnybreachbyPartyAofitsobligationsunderthisAgreement.7.2PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedto:(a)AnyactionsoromissionsofPartyB;(b)AnybreachbyPartyBofitsobligationsunderthisAgreement.7.3TheindemnificationobligationsunderthisSection7shallnotapplytoanyclaimsarisingfromthegrossnegligenceorwilfulmisconductoftheindemnifyingparty.8.GoverningLawandDisputeResolution8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitschoiceoflawrules.8.2IntheeventofanydisputesarisingoutoforrelatingtothisAgreement,thepartiesagreetofirstattempttoresolvethedisputethroughfriendlynegotiations.Ifthedisputecannotberesolvedwithindays,eitherpartymaysubmitthedisputetoarbitrationininaccordancewiththerulesoftheArbitrationAssociation.8.3ThearbitrationshallbeconductedinEnglish,andthedecisionofthearbitrationtribunalshallbefinalandbindingonbothparties.9.Miscellaneous9.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten.9.2AnyamendmentsormodificationstothisAgreementshallbeinwritingandsignedbybothpartiestobeeffective.9.3IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.9.4ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.9.5ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.9.6ThisAgre
