3、NSO quest TOTAL AMOUNT： CIP ZHENGZHOU 2. 包裝包裝:貨物應(yīng)裝在適宜長(zhǎng)途運(yùn)輸并且能適應(yīng)氣候變化、防濕、防震、防銹的紙箱（木箱）中。由于包裝不良所 引起的任何損失, 或由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損, 賣方都應(yīng)承擔(dān)一切損失和相關(guān)費(fèi)用。 包裝箱內(nèi)應(yīng)放置一整套操作指南。 Packing:To be packed in carton(s) or wooden case, Suitable for long distance transportation and to change of climate, well protected agains

The Sellers shall be liable for any damage of the commodity and expenses incurred on account of improper packing and for any rust attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing. One full set of operation instructions co

9、certificate certifying that the wood packaging materials in this shipment have been treated and officially marked IPPC or beneficiarys certificate of NO-WOOD packing materials. 11. 裝運(yùn)通知裝運(yùn)通知: 賣方在貨物裝運(yùn)后,應(yīng)在兩天內(nèi)將合同編號(hào)、商品名稱、數(shù)量、毛重、發(fā)票金額、和起運(yùn)日期用 傳真通知買(mǎi)方。 Shipping Advice:The Sellers shall within 2 days upon the c

10、ompletion of the loading of the goods, advise by fax to the Buyers of the contract No., commodity, quantity, gross weight, invoiced value,and date of dispatch. 12. 品質(zhì)保證品質(zhì)保證 Guarantee of Quality: 保證貨物系全新，未曾用過(guò)，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。 The Sellers shall guarantee that the goods are brand new, unused and co

11、rrespond in all respects with the quality, specifications and performance as stipulated in this Contract. 13. 檢驗(yàn)和索賠檢驗(yàn)和索賠 Inspection And Claims: 在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和本合同 規(guī)定相符的證明書(shū)。 The manufactures shall before making delivery, make a precise and comprehensive inspection of goo

12、ds as regards their quality, specifications, performance and quantity/weight, and issue certificates certifying that the goods are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documents to be presented to the paying bank for negotiation /c

13、ollection of payment but shall not be considered as final in respect of quality, specifications, performance and quantity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate. 14. 不可抗力不可抗力: 無(wú)論在商品制造或裝運(yùn)

14、或轉(zhuǎn)運(yùn)期間, 如有不可抗力事件發(fā)生, 賣方將不對(duì)由此而導(dǎo)致的逾期或不 能交貨負(fù)責(zé)。但此時(shí), 賣方應(yīng)立即將不可抗力事件通知買(mǎi)方, 并于通知后十四天內(nèi)以傳真方式向買(mǎi)方提供一份由 不可抗力事件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種 情況下, 賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過(guò)十周, 買(mǎi)方有權(quán)撤銷合同,買(mǎi)方在銀行所支付 的費(fèi)用由賣方承擔(dān). Force Majeure: The Sellers shall not be hold responsible for the delay in shipment or non-delivery of

15、 the goods due to Force Majeure, which might occur during the process of manufacturing or the course of loading or transit. The Sellers shall advice Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers should send by airmail to the Buyers for their ac

16、ceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Sellers inability in obtaining export license shall not be considered as Force Majeure. Under such circumstances the Sellers, however, are still under the obligation t

17、o take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have right to cancel the Contract, the sellers bear the expenses which paid to the bank by the buyers. 15. 遲交和罰款遲交和罰款:如延遲交貨除人力不可抗事故者外，賣方應(yīng)付給買(mǎi)方每一星期按遲交貨總值的 0.5%的遲交罰款， 不

18、足一星期的遲交日作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的 5%，在議付貨款時(shí)由銀行代為 扣除，或由買(mǎi)方在付款時(shí)進(jìn)行扣除。如果賣方交貨延期超過(guò)合同規(guī)定的 10 個(gè)星期時(shí),買(mǎi)方有權(quán)取消合同.盡管取 消了合同,但賣方仍須立即向買(mǎi)方交付上述規(guī)定罰款. Late Delivery And Penalty: In case of delayed delivery, except for force majeure cases, The Sellers shall pay to the Buyers for every week of delay a penalty amounting to 0

19、.5% of the total value of the goods whose delivery has been delayed. Any fractional part of a week is to be considered a full week. The total amount of penalty shall not, however, exceed 5% of the total value of the goods involved in late delivery and is to be deducted from the amount due to the Sel

20、lers by the paying bank at the time of negotiation, or by the Buyers direct at the time of payment. The buyers can cancel the contract if the sellers delivery date is delayed up to 10 weeks according to the contract, but the sellers still must offer the above penalty to the buyers without conditions

21、. 16. 仲仲 裁裁 ：一切因執(zhí)行本合同或與本合同有關(guān)的爭(zhēng)執(zhí), 應(yīng)由雙方友好協(xié)商解決。 如經(jīng)協(xié)商仍未能達(dá)成協(xié)議, 則應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)裁決。 按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則, 由申訴一方選擇該會(huì) 由該會(huì)上海分會(huì)在上海進(jìn)行仲裁。仲裁委員會(huì)的裁決為終局裁決, 對(duì)雙方均有約束力。仲裁費(fèi)用除仲裁委另有決 定外, 應(yīng)由敗訴一方負(fù)擔(dān)。 . ；. Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled friendly through neg

In case no settlement can be reached, the case may then be submitted to China International Economic and Trade Arbitration Commission for arbitration, which shall be conducted by its Shanghai Sub-Commission in Shanghai in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties; both parties shall not seek recourse to a law co
