4、ate: not later than dec. 31, 20174. 裝運(yùn)口岸：德國(guó)漢堡port of loading: hamburger germany5. 到貨口岸：中國(guó)大連port of destination: dalian, china6. 付款條件： 100% 不可撤銷九十天遠(yuǎn)期信用證。terms of payment: 100% of the total value will be paid by l/c at 90 days sight.7. 包裝：需用適合長(zhǎng)途海運(yùn)的包裝，由包裝不良所發(fā)生的損失，由于采用不充分或不妥善的防護(hù)措施而造成的任何損失，賣方應(yīng)負(fù)擔(dān)由此產(chǎn)生的一切費(fèi)用

8、ice value against additional risks and strike risks11. 檢驗(yàn)： 賣方須在裝運(yùn)前15日委托德國(guó)進(jìn)出口檢驗(yàn)機(jī)構(gòu)對(duì)本合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買方委托中國(guó)進(jìn)出口檢驗(yàn)檢疫局進(jìn)行檢驗(yàn)。inspection ： the seller shall have the goods inspected by 15 days before the shipment and have the inspection certificate issued by german inspection bureau. the buyer may ha

9、ve the goods reinspected by cciq after the goods arrived at the destination.12. 索賠：貨物到達(dá)買方后，買方應(yīng)向中國(guó)進(jìn)出口商品檢驗(yàn)檢疫局申請(qǐng)對(duì)質(zhì)量、規(guī)格、數(shù)量進(jìn)行初步檢驗(yàn)，并出具檢驗(yàn)證明書(shū)，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險(xiǎn)公司或船運(yùn)公司應(yīng)負(fù)責(zé)的以外，買方在貨到 90 天內(nèi)有權(quán)換貨或索賠，一切費(fèi)用(如商 檢費(fèi)、相關(guān)的運(yùn)費(fèi)、保險(xiǎn)費(fèi)etc)由賣方承擔(dān)。claims: within 90 days after the arrival of goods at destination should be qualit

18、定代表人。負(fù)責(zé)對(duì)廠內(nèi)各類合同管理工作實(shí)行統(tǒng)一領(lǐng)導(dǎo)。以法人代表名義或授權(quán)委托他人簽訂各類合法合同，并對(duì)電廠負(fù)責(zé)。4.2 工程部：是發(fā)電廠建設(shè)施工安裝等工程合同簽訂管理部門(mén)；負(fù)責(zé)簽訂管理基建、安裝、人工技術(shù)的工程合同。4.3 經(jīng)營(yíng)部：是合同簽訂管理部門(mén)，負(fù)責(zé)管理設(shè)備、材料、物資的訂購(gòu)合同。4.5 合同管理部門(mén)履行以下職責(zé):4.5.1 建立健全合同管理辦法并逐步完善規(guī)范;4.5.2 參與合同的洽談、起草、審查、簽約、變更、解除以及合同的簽證、公證、調(diào)解、訴訟等活動(dòng)，全程跟蹤和檢查合同的履行質(zhì)量;4.5.3 審查、登記合同對(duì)方單位代表資格及單位資質(zhì)，包括營(yíng)業(yè)執(zhí)照、經(jīng)營(yíng)范圍、技術(shù)裝備、信譽(yù)、越區(qū)域經(jīng)營(yíng)許可等證件及履約能力（必要時(shí)要求對(duì)方提供擔(dān)保），檢查合同的履行情況;4.5.4 保管法人代表授權(quán)委托書(shū)、合同專用章，并按編號(hào)歸口使用;4.5.5 建立合同管理臺(tái)帳，對(duì)合同文本資料進(jìn)行編號(hào)統(tǒng)計(jì)管理;4.5.6 組織對(duì)法規(guī)、制度的學(xué)習(xí)和貫徹執(zhí)行，定期向有關(guān)領(lǐng)導(dǎo)和部門(mén)報(bào)告工作;4.5.7 在總經(jīng)理領(lǐng)導(dǎo)下，做好合同管理的其他工作,4.6 工程技
