3、 and good faith.一、 合同期限Con tract Term1. 甲方與乙方簽訂固定期限勞動(dòng)合同。本勞動(dòng)合同期限為年,自 年 月 日起,至年 月 日止,其中試用期為個(gè)月,自 年 月 日起,至 年 月 日止。Party A and Party B sig ns a fixed-term labor con tract. 5、dabide by all the compa ny rules.5. 甲方可以根據(jù)實(shí)際工作需要,根據(jù)乙方的工作能力和表現(xiàn),調(diào)整乙方工作崗位或安排乙方臨時(shí)從 事其他工作崗位,乙方應(yīng)予以認(rèn)可配合。Party A may adjust Party B s job or appoint Party B to do another job temporarily by virtueof its bus in ess requireme nts as well as Party B s compete nee and performa nee. 6、ate with Party A.三、工作時(shí)間和休息時(shí)間Worki ng Hours & Rest Hours6. 甲、乙雙方同意按以下方式確定乙方的工作時(shí)間(正常工作時(shí)間:09: 0018: 00;其中12: 3013 : 30為午餐時(shí)間。)標(biāo)準(zhǔn)工時(shí)制,即每日工作 小時(shí),每周周一至周五工作。Both parties agree Party B s working hours are specified as follows (normal working hours:09:00 -18: 00; lunch time: 12:30 T3: 30.) 7、urs system, i.e.hour(s)/day, Work from Mon day to Friday.四、勞動(dòng)報(bào)酬Labor Remun eratio n7. 甲方每月5日前以貨幣的形式足額支付乙方工資,結(jié)算周期為上月月初到上月月末,實(shí)行先工作 后發(fā)薪的制度。Party A shall pay off salary to Party B in curre ncy on the 5th of every mon th. The pay periodis from the beginning to the end of last month. Party B works before

8、paid.8. 在試用期,乙方的稅前工資為每月 元人民幣;在試用期后,乙方薪金模式為工作基本月薪元人民幣,加年度獎(jiǎng)金模式。其中年度獎(jiǎng)金根據(jù)公司經(jīng)營(yíng)狀況和乙方工作表現(xiàn)另行確定。Party B probation period salary is RMB. After the probation period,Party B snormal basic salary is, plus annual bonus, which can be adjusted as per thecompany s operation and Party B s performanee.9. 在甲方取得中國(guó)企業(yè)營(yíng)業(yè)執(zhí)照

9、之前,甲方不承擔(dān)乙方社會(huì)保險(xiǎn)費(fèi)用和醫(yī)療保險(xiǎn)費(fèi)用;在甲方取得 其企業(yè)營(yíng)業(yè)執(zhí)照后,甲方須承擔(dān)乙方相關(guān)社會(huì)、醫(yī)療保險(xiǎn)費(fèi)用,并按照國(guó)家有關(guān)規(guī)定對(duì)乙方所應(yīng)承擔(dān) 的社會(huì)保險(xiǎn)費(fèi)用及個(gè)人所得稅進(jìn)行代繳。Before Party A obta ins its Busin ess Lice nse officially, Party A is n ot resp on sible for pay ing offParty B s social and medical in sura nee; after Party A obta ins its Bus in ess Lice nse, it must pay r

10、elated Party B s social and medical in sura nee and will deduct Party Bs own social andmedical in sura nee premium and in dividual in come tax from PartyBs salary to pay to theChin ese gover nment.10. 甲方調(diào)整乙方工作崗位的,根據(jù)乙方能力及其相關(guān)職位,雙方協(xié)商一致后調(diào)整乙方勞動(dòng)報(bào)酬。Party B itabor remun eratio n will be adjusted as per Part

11、y B compete neeand jobrequirements on the basis of consensus in case Party A adjust Party B s job.11. 甲方將每年對(duì)乙方的工作成績(jī)、表現(xiàn),以及勞動(dòng)報(bào)酬進(jìn)行評(píng)估Party A will review Party B work performa nee and salary on an ann ual basis.五、社會(huì)保險(xiǎn)和福利待遇Social Welfare & Ben efits12. 甲方根據(jù)國(guó)家有關(guān)規(guī)定為乙方繳納北京市城鎮(zhèn)社會(huì)保險(xiǎn)(養(yǎng)老、醫(yī)療、失業(yè)、工傷),個(gè)人繳納部分由甲方從乙方工資中

12、代扣代繳。甲乙雙方解除、終止勞動(dòng)合同時(shí),甲方按有關(guān)規(guī)定為乙方辦理社會(huì)保險(xiǎn)相關(guān)手續(xù)。Accord ing to the State related rules, Party A will pay Beiji ng social in sura neein urba narea (i.e. pension in sura nee, un employme nt in sura nee, Occupati onal Injury and medicalin sura nee) for Party B. And Party A will deduct Party B s part from hisal

13、aryerWhe n thelabor con tract is term in ated by both parties, Party A will han dle the related procedures forParty B social in sura nee accord ing to the related regulati ons.13. 乙方非因工疾病或負(fù)傷,在醫(yī)療期內(nèi)工資及其醫(yī)療待遇按照本合同16條執(zhí)行。乙方患職業(yè)病或因工負(fù)傷后的工資和醫(yī)療補(bǔ)助執(zhí)行按照國(guó)家和地方的有關(guān)法律法規(guī)執(zhí)行。In case of illnesses or injuries unrelated to

14、work, the salary during the remedial period aswell as medicaltreatmentshall be paid in accordanee with Clause 16. The salary andMedicare ben efits of Party B in case of occupati onal diseases or work-related injuries shallbe paid in accorda nee with the releva nt n ati onal and local laws and regula

15、ti ons.14. 因公出差按公司規(guī)定實(shí)行差旅費(fèi)報(bào)銷與補(bǔ)貼。In case Party B travels on bus in ess. Party A will reimburse travelli ngexpe nsesand givesubsidy to Party B in accorda nee with the compa ny rules.六、假期安排Annual Leave and Sick Leave15. 帶薪年假 -雇傭期滿一年后,十天帶薪年假。乙方需根據(jù)甲方經(jīng)營(yíng)和工作等實(shí)際情況,安排年假,盡量將甲方損失最小化。乙方休年假時(shí),必須提前一個(gè)月通知甲方,并取得甲方批準(zhǔn),方可

16、休假。Annual Leave -Party B shall be entitled to take paid annual leave of ten (10) working days per annum after the first year the employme nt. Leave may be take n as it is accrued but may only be taken at times agreed to by the company in order that disruption will be mini mal. Request for leave must

17、 be submitted one (1) month in adva nee and approved byParty A.16. 病假-如乙方不涉及住院治療,甲方將每年批準(zhǔn)乙方共計(jì)15天帶薪病假;其中全薪病假五天,三分之二薪金病假五天,以及三分之一薪金病假五天。如乙方病假日期總數(shù)超過(guò)甲方允許的病假日期總數(shù),超出部分將在乙方帶薪年假日期數(shù)中扣除;如果乙方病假日期總數(shù)超出了甲方允許的病假和帶薪年假日期總和,甲方將不會(huì)支付乙方超出日期的任何薪金。乙方必須向甲方財(cái)務(wù)或行政部出具醫(yī)院的相關(guān)病假證明并通知乙方上級(jí)部門,如乙方不能提供相關(guān)醫(yī)院病假證明,視為乙方曠工處理,甲方有權(quán)不支付乙方曠工期間任何薪金

18、。Party B is en titled to five (5) days sick leave per full cale ndar year at full pay, n ext five (5) days sick leave at two-third pay and next five (5) days sick leave at one-third pay, if no hospitalizatio n is in curred. Medical Certificates must be submitted to our Acco un ts/Adm in departme nt

19、upon retur ning to the office; if not. Party A has right not to pay for Party Babsenee.Party B is required to inform its supervisor and the directors if Party B requires sick leave. All abse nee bey ond Party B allocated sick leave is deducted from its vacati on time. lf both the sick leave and vaca

20、tion leaves are used up, Party B will not be entitled to be paid for its time that Party B is absent from work.七、勞動(dòng)紀(jì)律Labor Discipli nes17. 合同期間,乙方應(yīng)嚴(yán)格遵守國(guó)家的各項(xiàng)法律法規(guī)及甲方依法制定的各項(xiàng)規(guī)章制度及要求,嚴(yán)格遵守勞動(dòng)安全衛(wèi)生、操作規(guī)程及工作規(guī)范;應(yīng)愛(ài)護(hù)甲方財(cái)產(chǎn),遵守職業(yè)道德,積極維護(hù)公司榮譽(yù)和利益。Within the con tract term, Party B shall abide by the State s laws and reg

21、ulatio ns as well asthe rules formulated by Party A accord ing to the laws; follow labor security and hygie ne systems, product ionprocesses, operati ngin struct ionsand job specificati ons;take goodcare of Party A s property; and safeguard the ben efits and reputati on of the compa ny.18. 乙方違反勞動(dòng)紀(jì)律,

22、甲方可依據(jù)本公司的規(guī)章制度給予紀(jì)律處分,直至解除本勞動(dòng)合同。另外,由于乙方的原因?qū)追皆斐山?jīng)濟(jì)損失的,原則上必須按照實(shí)際損失金額由乙方向甲方承擔(dān)損害賠償責(zé)任,數(shù)目重大者甲方有權(quán)追究其法律責(zé)任。In case Party B violates any of the labor disciplines. Party A may punishParty B or evenrelease the con tract accord ing to the rules and regulati ons of the compa ny. Moreover,PartyB willbe held liable f

23、orParty A seconomiclosses ona case -by-case basis, in theeventthatParty B behaviordamages Party Asnterests.In case of theconsiderableamount of losses, Party A will reta in the right to pursue legal actions aga inst Party B.19. 在本合同履行過(guò)程中,甲方根據(jù)國(guó)家有關(guān)規(guī)定可以制定新的規(guī)章制度,也可以對(duì)公司制定的規(guī)章制度進(jìn)行修改,發(fā)布的各種規(guī)章制度、操作規(guī)定、通知、公告等均對(duì)乙

24、方有約束力。During the con tractperforma nee.Party A may formulate new or revise rules andregulati ons based on the States related regulati ons. The rules and regulati ons, operat ingprovisi ons, no tices and proclamati ons are binding on Party B.八、 勞動(dòng)合同的履行和變更Labor Con tract Performa nee & Alternation20.

25、甲方應(yīng)按照約定為乙方提供適當(dāng)?shù)墓ぷ鲌?chǎng)所、勞動(dòng)條件和工作崗位,并按時(shí)向乙方支付勞動(dòng)報(bào)酬。乙方應(yīng)當(dāng)認(rèn)真履行自己的勞動(dòng)職責(zé),并親自完成本合同約定的工作任務(wù)。Party A shall furnish Party B with proper work ing place, labor con diti ons and positi on, andshall also pay the remuneration to Party B on time, conformingto the provisions herein.Party B shall fulfill his resp on sibilitie

26、s here in in due dilige nee.21. 甲、乙雙方協(xié)商一致,可以變更本合同內(nèi)容,并以書(shū)面的形式確定。The con tract may be revised in writte nform, after both parties agreeme nt throughn egotiati on.九、勞動(dòng)合同的解除、 終止和續(xù)訂 Labor Con tract Can cellati on, Termin ati on & Renewal22. 經(jīng)甲、乙雙方當(dāng)事人協(xié)商一致,本合同可以解除。雙方應(yīng)提前三十日(試用期為提前三日)以書(shū) 面形式通知對(duì)方或以支付一個(gè)月工資代替通知,方

27、可解除本協(xié)議。The con tract may be can celed based on both parties mutual n egotiati on. Either partyintending to cancel the con tract shall inform the other party in written form 30 days in adva nee (Probatio n period: five (3) days in adva nee) or one (1) month salary in lieu of the notice.23. 乙方有下列情形之一的

28、,甲方可以隨時(shí)解除本合同:嚴(yán)重違反勞動(dòng)紀(jì)律和規(guī)章制度的;嚴(yán)重失職,營(yíng)私舞弊,給甲方造成重大損失的;乙方?jīng)]有經(jīng)過(guò)甲方同意,同時(shí)與其他用人單位建立勞動(dòng)關(guān)系,對(duì)完成甲方的工作任務(wù)造成嚴(yán)重影響,或者經(jīng)甲方提出,拒不改正的;因勞動(dòng)合同期滿致使本合同無(wú)效的;依法被追究刑事責(zé)任或勞動(dòng)教養(yǎng)的;乙方利用職務(wù)之便收受賄賂的或泄漏公司機(jī)密造成公司損失的。Party A may can cel the con tract in case any of the follow ing occurs:Party B severely violates the labor discipli nes and regulati

29、ons;Party B s gross n eglige nee or jobbery causes great losses for Party A;Party B holds ano ther job without the permit of Party A, which seriously affectsthe completi on of Party As work task, or Party B refuses to correct the error afterParty A s warning;The contract turns invalid due to expirat

30、ion;Party B is held criminally responsible or reeducated through labor; orParty B accepts bribes by taking advantage ofduty or causes the loss ofthecompany by virtue of divulging the commercial secrets.24. 有下列情形之一的,乙方可以隨時(shí)通知甲方解除本合同。在試用期內(nèi)的; 甲方以暴力、威脅或者非法限制人身自由的手段強(qiáng)迫勞動(dòng)的; 甲方未按照勞動(dòng)合同約定支付勞動(dòng)報(bào)酬或者提供勞動(dòng)條件的。Party

31、B may notify Party A of terminating the contract at any time, in case any ofthe following occurs:Within the probation;Party A forces Party B to work by violence, threat or illegal limitations ofParty B s freedom.Party A fails to pay Party B ssalary or provide work conditions as stipulated herein.25.

32、 符合下列情形之一的,甲方提前三十日(試用期為提前三日)以書(shū)面形式通知乙方或以支付一個(gè) 月工資代替通知,解除本合同:患病或非因工負(fù)傷,在規(guī)定醫(yī)療期滿后,不能從事原工作,也不能從事甲方另行安排的工 作的;乙方不能勝任工作,經(jīng)過(guò)調(diào)整工作崗位,仍不能勝任工作的; 本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化, 致使本合同無(wú)法履行,經(jīng)甲、乙雙方協(xié)商, 未能變更本合同內(nèi)容達(dá)成協(xié)議的;按照相關(guān)法規(guī)及程序甲方依法裁員的。Party A may cancel the contract upon thirty (30) days prior written notice to Party B (Probation:

33、 three (3) days in advance) or one (1) month salary in lieu of the notice, in case any of the following occurs:Party B, due to sickness or injury inflicted off the job, cannot resume his or her work or do the other job reassigned by Party A after specified period of medical treatment;Party B is unqu

34、alified, even after a training or job adjustment;The objective conditions on which the contract is based have materially changed to the extent that it is impossible to perform the contract while both parties cannot reach an agreement to amend the contract to reflect the changed conditions; orParty A

35、 downsizes according to related laws and procedures.26. 乙方有下列情形之一的,甲方不得按本合同第二十五條的約定與乙方解除勞動(dòng)和同:在甲方工作期間患職業(yè)病或者因工負(fù)傷并被確認(rèn)喪失或者部分喪失勞動(dòng)能力的; 患病或因工負(fù)傷,在規(guī)定的醫(yī)療期間的;女職工在孕期、產(chǎn)期、哺乳期的; 法律、行政法規(guī)規(guī)定的其他情形。Party A is not allowed to cancel the labor con tract as perClause 25 in case any ofthe followi ng occurs:Party B is con fi

36、rmed partly or totally in capacitated due to an in dustrial injury or an occupati onal disease whe n work ing for Party A;Party B is in a period of medical treatme nt for sick ness or work injury;The female employee is in preg nan cy, mater nity or lactati on; or Other situati ons stipulated in laws

37、 and adm ini strative provisi ons.27. 符合下列情形之一的,本勞動(dòng)合同即可終止:勞動(dòng)合同期滿;乙方死亡、或者被法院宣告死亡或者宣告失蹤的;甲方依法被宣告破產(chǎn)的; 甲方被吊銷營(yíng)業(yè)執(zhí)照、責(zé)令關(guān)閉、撤銷或者甲方?jīng)Q定提前解散的; 法律、行政法規(guī)規(guī)定的其他情形。The con tract will term in ate in case any of the follow ing occurs:The labor con tract expires;Party B is dead, pronounced dead or pronounced miss ing by t

38、he peoples court;Party A is declared ban kruptcy legally;Party A busin ess lice nse is revoked; Party A is compelled to close dow n or dissolve; or Party A decides to dissolve in adva nee; or Other situati ons stipulated in laws and adm ini strative provisi ons.十、賠償責(zé)任、違約責(zé)任 Compe nsati on for the Bre

39、ach or Can cellati on of the Con tract28. 乙方造成直接損失的賠償金:賠償金按乙方實(shí)際造成的損失計(jì)算,賠償金的范圍包括:乙方損壞甲方財(cái)物而導(dǎo)致的直接經(jīng)濟(jì)損失; 乙方疏忽導(dǎo)致的甲方直接經(jīng)濟(jì)損失; 乙方拒絕合理的工作安排而導(dǎo)致甲方經(jīng)濟(jì)損失。In case Party B behavior causes the losses of Party A, the compensation amount is calculated based on the actual losses caused by Party B. The compe nsati on in c

40、ludes:The direct economiclosses caused by Party B sdamages of Party A sproperty;The direct economic losses resulting from Party B s negligenee; andThe econo mic losses due to Party B s reject ion of the reason able work assig ned by Party A.29. 甲乙雙方任何一方違反本合同,給另一方造成經(jīng)濟(jì)損失的,根據(jù)違約責(zé)任大小,需承擔(dān)違約責(zé)任。In case that

41、 either party breaches the con tract or causes the econo mic losses of the other party, the default party will be held liable for breach of con tract on a case-by-case basis.30. 乙方不得在任何情況下將甲方的保密資料、數(shù)據(jù)、運(yùn)營(yíng)模式、工具等直接或者間接泄露給任何第 三方,如經(jīng)甲方發(fā)現(xiàn)按甲方損失大小賠償。In any case, Party B shall not directly or in directly divul

42、ge the commercial secrets (in clud ing but not limited information, data, management models and tools) of Party A to any the third party .In case Party B is found to divulge the commercial secrets by Party A, Party B shall compensate Party A for the loss of according to the extent.31. 如果乙方接受了甲方提供的培訓(xùn)和/或教育資助,并且乙方在其同意的為甲方服務(wù)的期限(自培訓(xùn)結(jié)束之日起計(jì)算)內(nèi)解除本合同,乙方應(yīng)在本合同終止十二個(gè)月內(nèi)向
