17、etary estimate, the design fee will also be adjusted correspondingly. 第八條支付方式8.1本合同生效后三天內(nèi)，發(fā)包人支付設(shè)計費總額，計 16 萬元作為定金（合同結(jié)算時，定金抵作設(shè)計費）。8.2設(shè)計人提交 全部 設(shè)計文件之前，發(fā)包人結(jié)清設(shè)計費，不留尾款。8.3雙方委托銀行代付代收有關(guān)費用。article 8 form of payment8.1 the party issuing contract shall pay the total design fee, within three days after the execu

19、 bank to pay and collect related fees.第九條雙方責任9.1 發(fā)包人責任9.1.1發(fā)包人按本合同第五條規(guī)定的內(nèi)容，在規(guī)定的時間內(nèi)向設(shè)計人提交基礎(chǔ)資料及文件，并對其完整性、正確性及時限負責。發(fā)包人不得要求設(shè)計人違反國家有關(guān)標準進行設(shè)計。發(fā)包人提交上述資料及文件超過規(guī)定期限15天以內(nèi)，設(shè)計人按本合同第六條規(guī)定的交付設(shè)計文件時間順延；發(fā)包人交付上述資料及文件超過規(guī)定期限15天以上時，設(shè)計人有權(quán)重新確定提交設(shè)計文件的時間。9.1.2發(fā)包人變更委托設(shè)計項目、規(guī)模、條件或因提交的資料錯誤，或所提交資料作較大修改，以致造成設(shè)計人設(shè)計返工時，雙方除另行協(xié)商簽訂補充協(xié)議（或另

20、訂合同）、重新明確有關(guān)條款外，發(fā)包人應(yīng)按設(shè)計人所耗工作量向設(shè)計人支付返工費。在未簽訂合同前發(fā)包人已同意，設(shè)計人為發(fā)包人所做的各項設(shè)計工作，發(fā)包人應(yīng)支付相應(yīng)設(shè)計費。9.1.3在合同履行期間，發(fā)包人要求終止或解除合同，設(shè)計人未開始設(shè)計工作的，不退還發(fā)包人已付的定金；已開始設(shè)計工作的，發(fā)包人應(yīng)根據(jù)設(shè)計人已進行的實際工作量，不足一半時，按該階段設(shè)計費的一半支付；超過一半時，按該階段設(shè)計費的全部支付。9.1.4發(fā)包人必須按合同規(guī)定支付定金，收到定金作為設(shè)計人設(shè)計開工的標志。未收到定金，設(shè)計人有權(quán)推遲設(shè)計工作的開工時間，且交付文件的時間順延。9.1.5發(fā)包人應(yīng)按本合同規(guī)定的金額和日期向設(shè)計人支付設(shè)計費，每

21、逾期支付一天，應(yīng)承擔應(yīng)支付金額千分之二的逾期違約金，且設(shè)計人提交設(shè)計文件的時間順延。逾期超過30天以上時，設(shè)計人有權(quán)暫停履行下階段工作，并書面通知發(fā)包人發(fā)包人的上級或設(shè)計審批部門對設(shè)計文件不審批或本合同項目停緩建，發(fā)包人均應(yīng)支付應(yīng)付的設(shè)計費。9.1.6發(fā)包人要求設(shè)計人比合同規(guī)定時間提前交付設(shè)計文件時，須征得設(shè)計人同意，不得嚴重背離合理設(shè)計周期，且發(fā)包人應(yīng)支付趕工費。9.1.7發(fā)包人應(yīng)為設(shè)計人派駐現(xiàn)場的工作人員提供工作、生活及交通等方面的便利條件及必要的勞動保護裝備。9.1.8設(shè)計文件中選用的國家標準圖、部標準圖及地方標準圖由發(fā)包人負責解決。9.1.9承擔本項目外國專家來設(shè)計人辦公室工作的接待費

22、（包括傳真、電話、復(fù)印、辦公等費用）。article 9 responsibility of two parties9.1 responsibility of the employer9.1.1 the employer shall deliver basic materials and documents to the designer within the specified time in accordance requirements stipulated in article 5, and shall be responsible for their completeness, co

23、rrectness and time limit. the employer shall not request the designer to design by violating the concerned national standards.if it exceeds the prescribed time limit within fifteen (15) days when the employer delivers above materials and documents, the designer can postpone accordingly the time of d

24、elivering the design documents in accordance with article 6 in the contract; if it exceeds the prescribed time limit over fifteen (15) days when the employer delivers above materials and documents, the designer is entitled to decide again the time of delivery of design documents.9.1.2 when the emplo

25、yer alters entrusted design items, scale and conditions, or delivers the wrong materials, or delivers mostly revised materials so that the designer rework for the design, the employer shall pay for rework cost for the designer based on the amount of the work performed by the designer except the supp

26、lemental agreement (or contract ) signed separately, and the relevant articles specified again by both parties through the consultation.prior to signing the contract, if the employer has satisfied to design work which is done by the designer, the employer shall pay the corresponding design charge.9.

27、1.3 during implementation of the contract, when the employer requests to terminate and cancel the contract, the down payment paid by the employer shall not be returned if the designer doesnt begin the design work; if the designer starts the design, the employer shall pay half of design charge in the

28、 phase if it is less than half of the actual amount of work performed by the designer; if it exceeds the half, the full design charge in the phase shall be paid in all.9.1.4 the employer shall pay the down payment in accordance with stipulations of the contract. reception of the down payment is the

29、mark of commencement of design work for the designer. if the down payment is not received, the designer is entitled to put off the time of commencement of design work, and postpone accordingly the time of delivery of documents.9.1.5 the employer should pay charges for design to the designer at the a

30、mount and date provided in this contract. for each day of overdue payment, 2 of the overdue payment shall be paid as damages for overdue payment and the time for delivery by the designer shall be extended accordingly. where the delay of payment has exceeded 30 days, the designer shall have the right

31、 to suspend the performance of the work at the next stage and give written notice to the employer. in case the higher authority or competent department of design approval would not approve the design documents or the engineering construction of this contract is suspended or stopped, the employer sho

32、uld pay the payable charges for design. 9.1.6 the employer requests the designer should deliver the design documents ahead of the time specified by the contract, it shall need the approval of the designer, and shall not deviate gravely from the rational design period, and the employer shall pay for

33、the crashing charge.9.1.7 the employer should offer conveniences in aspects of working, living and traffic and necessary labor-protection equipments. 9.1.8 the employer shall be responsible for the national standard drawing, ministerial standard drawing and local standard drawings. 9.1.9 the employe

34、r shall bear the expenses for receiving foreign expert in charge of the engineering to the designers office (including expenses on fax, telephone, copy and office affairs).9.2設(shè)計人責任9.2.1設(shè)計人應(yīng)按國家規(guī)定和合同約定的技術(shù)規(guī)范、標準進行設(shè)計，按本合同第六條規(guī)定的內(nèi)容、時間及份數(shù)向發(fā)包人交付設(shè)計文件（出現(xiàn)9.11、9.12、9.14、9.15、規(guī)定有關(guān)交付設(shè)計文件順延的情況除外）并對提交的設(shè)計文件的質(zhì)量負責。9.2.

35、2設(shè)計合理使用年限為25年。9.2.3負責對外商的設(shè)計資料進行審查，負責該合同項目的設(shè)計聯(lián)絡(luò)工作。9.2.4設(shè)計人對設(shè)計文件出現(xiàn)的遺漏或錯誤負責修改或補充。由于設(shè)計人設(shè)計錯誤造成工程質(zhì)量事故損失，設(shè)計人除負責采取補救措施外，應(yīng)免收受損失部分的設(shè)計費，并根據(jù)損失程度向發(fā)包人支付賠償金，賠償金數(shù)額由雙方商定為實際損失的 。9.2.5由于設(shè)計人原因，延誤了設(shè)計文件交付時間，每延誤一天，應(yīng)減收該項目應(yīng)收設(shè)計費的千分之二。9.2.6合同生效后，設(shè)計人要求終止或解除合同，設(shè)計人應(yīng)雙倍返還發(fā)包人已支付的定金。9.2.7設(shè)計人交付設(shè)計文件后，按規(guī)定參加有關(guān)上級的設(shè)計審查，并根據(jù)審查結(jié)論負責不超出原定范圍的內(nèi)容

36、做必要調(diào)整補充。設(shè)計人按合同規(guī)定時限交付設(shè)計文件一年內(nèi)項目開始施工，負責向發(fā)包人及施工單位進行設(shè)計交底、處理有關(guān)設(shè)計問題和參加竣工驗收。在一年內(nèi)項目尚未開始施工，設(shè)計人仍負責上述工作，可按所需工作量向發(fā)包人適當收取咨詢服務(wù)費，收費額由雙方商定。9.2 responsibilities of the designer9.2.1 the designer shall perform the design in accordance with provisions of the state and the technical codes and standards stipulated in the

37、 contract, deliver the design documents in accordance with contents, time and number of copies to the employer specified in article 6 (exclusion of the case where the design documents shall be prolonged accordingly stipulated in article 9.11, 9.12, 9.14 and 9.15), and be responsible for quality of t

38、he delivered design documents. 9.2.2 the design life of the engineering construction shall be 25 years. 9.2.3 responsible for examining for design materials of foreign businessman, and responsible for design liaison of the contract project.9.2.4 the designer shall be responsible for revision or supp

39、lement to the mistakes or omission of the design documents. the designer shall be free of the design charge of loss part besides remedial measures taken for casualty loss of construction quality caused by the designer due to the wrong design, and shall pay compensation money for the employer based o

40、n degree of loss. amount of compensation which is decided by two parties through consultation is % of actual loss.9.2.5 if the delivery of design documents is delayed for the designers reason, each day overdue will result in the reduction of 2 of the design charges for the project.9.2.6 after the co

41、ntract enters into force, the designer may require termination or cancellation of the contract and the designer should return the down payment in double.9.2.7 upon delivery of the design documents, the designer shall participate in the inspection on the design by the relevant higher authority as pro

42、vide and shall be responsible for necessary adjustment and supplements to the content within the original scope of the design according to the inspection conclusion. the designer shall start the construction within one year upon delivery of the design documents within the specified time limit and sh

43、all be responsible for the technological disclosure to the employer and construction unit, handling with relevant matters on design and participation in the acceptance upon completion of the engineering construction. in case the engineering construction has not started within one year, the designer

44、shall still be responsible for the above work and may collect reasonable service charge for consultancy from the employer according to the needed workload. the amount of the service charge shall be discussed and determined by the parties. 第十條保密雙方均應(yīng)保護對方的知識產(chǎn)權(quán)，未經(jīng)對方同意，任何一方均不得對對方的資料及文件擅自修改、復(fù)制或向第三人轉(zhuǎn)讓或用于本合

45、同項目外的項目。如發(fā)生以上情況，泄密方承擔一切由此引起的后果并承擔賠償責任。article 10 confidentiality both parties shall protect each others intellectual property rights. without prior consent, neither party shall revise, copy or transfer to a third party or use for the project other than the project of this contract any materials and

46、documents of the other party. under such circumstances, the disclosing party shall be responsible for all the any consequence it resulted and shall bear the relevant compensation. 第十一條仲裁本建設(shè)工程設(shè)計合同發(fā)生爭議，發(fā)包人與設(shè)計人應(yīng)及時協(xié)商解決。也可由當?shù)亟ㄔO(shè)行政主管部門調(diào)解，調(diào)解不成時，雙方當事人同意由沈陽仲裁委員會仲裁。雙方當事人未在合同中約定仲裁機構(gòu)，當事人又未達成仲裁書面協(xié)議的，可向人民法院起訴。arti

47、cle 11: arbitration if any dispute arises in connection with this engineering service contract, it shall be settled by friendly consultation of the parties, or be submitted to the competent local construction administration department for mediation. where the dispute can not be settled by mediation,

48、 it shall be submitted to the shenyang arbitration committee for settlement. where the parties have not agreed on the arbitration organization in the contract nor conclude arbitration agreement in written form, the dispute will be brought to the peoples court. 第十二條合同生效及其他12.1發(fā)包人要求設(shè)計人派專人長期駐施工現(xiàn)場進行配合與解

49、決有關(guān)問題時，雙方應(yīng)另行簽訂技術(shù)咨詢服務(wù)合同。12.2設(shè)計人為本合同項目的服務(wù)至施工安裝結(jié)束為止。12.3本工程項目中，設(shè)計人不得指定建筑材料、設(shè)備的生產(chǎn)廠或供貨商。發(fā)包人需要設(shè)計人配合建筑材料、設(shè)備的加工訂貨時，所需費用由發(fā)包人承擔。12.4發(fā)包人委托設(shè)計人配合引進項目的設(shè)計任務(wù)，從詢價、對外談判、國內(nèi)外技術(shù)考察直至建成投產(chǎn)的各個階段，應(yīng)吸收承擔有關(guān)設(shè)計任務(wù)的設(shè)計人員參加。出國費用，除制裝費外，其他費用由發(fā)包人支付。12.5發(fā)包人委托設(shè)計人承擔本合同內(nèi)容以外的工作服務(wù)，另行簽訂協(xié)議并支付費用。12.6由于不可抗力因素致使合同無法履行時，雙方應(yīng)及時協(xié)商解決。12.7本合同雙方簽字蓋章即生效。一

50、式貳份，發(fā)包人壹份，設(shè)計人壹份。12.8本合同生效后，按規(guī)定應(yīng)到項目所在地省級建設(shè)行政主管部門規(guī)定的審查部門備案；雙方認為必要時，到工商行政管理部門鑒證。雙方履行完合同規(guī)定的義務(wù)后，本合同即行終止。12.9雙方認可的來往傳真、電報、會議紀要等，均為合同的組成部分，與本合同具有同等法律效力。12.10未盡事宜，經(jīng)雙方協(xié)商一致，簽訂補充協(xié)議，補充協(xié)議與本合同具有同等效力。article 12: contract effective and miscellaneous 12.1 as per the request of the employer for dispatch of personnel

52、allation. 12.3 in the projects of the contract, designer shall not appoint manufacturers or designers of construction materials and equipments. where there is a necessity that designer shall cooperate with employer in ordering the process of construction materials and equipments, the relevant charge

53、 shall be paid by employer. 12.4 the employer entrusted the designer to cooperate with the engineering work of imported project and design personnel undertaking relevant design assignment shall be included in all stages from enquiry, business negotiation, domestic and overseas technical inspection u

54、ntil the production period. the charge for overseas business trip and other relevant charge will be paid by employer except the charge for purchasing dress.12.5 additional agreement for any other service, which employer entrusts designer to provide, however, out of the scope of the contract, shall be signed and the payment shall be paid correspondingly. 12.6 for any failure to perform any term or condition of this contra
