7、ice AdjustmentsThe unit price shall be adjusted based on Certificate of Quality issued by China Certification & Inspection Group Co, Ltd /or its subsidiary co.(CCIC) or the average between the CCIC China and SGS China (Article 6) in discharging port and as per below contents.Al2O3:1) If Al2O3 &g

Weight thus weighed shall be hereinafter cal

15、led “Sellers invoice weight”, the Buyer has the right to be present or dispatch third party to be present to evidence the loaded quantity determinate at loading port.5.2 At discharging port: Final weight determination of the GOODS shall be decided by China Certification & Inspection Group Co, Lt

16、d /or its subsidiary co. (CCIC) or the average between the CCIC China and SGS China at discharging port, the cost of CCIC China will be for the Buyer，and the cost of SGS China will be for the Seller. Final dry weight is based on actual weight measurement mentioned in Certificate of Weight issued by

17、CCIC China or the average between the CCIC China and SGS China at discharging port minus actual free moisture shown in Certificate of Quality issued by CCIC or the average of the free Moisture between the CCIC China and SGS China at discharging Port.第五條: 重量決定5.1 每船貨物將在裝貨港由船長與馬來西亞SGS根據(jù)船的吃水測量重量，測量費用由賣

18、方承擔(dān)。如此測量的重量稱為“賣方的發(fā)票重量”，買方有權(quán)出席或者派第三方出席監(jiān)督裝貨港的重量測定。5.2在卸貨港：最終貨物的重量將由中國認證&檢驗集團有限公司/或其附屬公司(CCIC)在卸貨港或者中國CCIC與中國SGS的平均值來確定，其中中國CCIC費用由買方承擔(dān),中國SGS費用由賣方承擔(dān)。最終的干噸數(shù)按照中國CCIC在卸貨港出具的重量證上的實際重量數(shù)或者中國CCIC與中國SGS的平均值減掉中國CCIC在卸貨港出具的質(zhì)量證上的自由水分數(shù)或者中國CCIC與中國SGS的平均值的結(jié)果。ARTICLE 6 SAMPLING AND ANALYSIS6.1 Sampling and analys

19、is will be carried out at Sellers expense by SGS Malaysia during loading at the loading port. The Buyer may, at Buyers expense, have its representatives present at the time of sampling and analysis. 6.2 Notwithstanding the foregoing, in order to ensure a fair inspection, after arrival of the vessel,

20、 the seller will commission SGS China to conduct sampling. Sampling and analysis will be carried out independently by CCIC China and SGS China at the discharging port. Subject to paragraph 6.3 below, the CCIC China result shall be the basis of the Final Settlement. All expenses in connection with su

21、ch sampling and analysis by CCIC China shall be on the Buyer's account. The sample taken for analysis shall be in 3 parts and sealed, one sampled for analysis by CCIC China, one sampled for analysis by SGS China, and one retained for the purpose of an umpire analysis (sampled by SGS China), if r

22、equired, to be analysed by an independent ISO-approved laboratory . The third party analysis cost to be borne by the losing party. 6.3 If the CCIC China discharge port results are above or below the rejection level, or the difference between CCIC China and SGS China analysis results at discharge por

23、t are over 0.5 % (inclusive of 0.5%) for Al2O3, SiO2, or moisture, the seller can choose either using the average between the CCIC China and SGS China discharge port as the final basis, or can choose to challenge CCIC China discharge port results and use umpire sample results as the final settlement

24、.If the difference is less than 0.5% (exclusive of 0.5%), the discharging port CCIC China report as a basis for final settlement.第六條: 質(zhì)量檢驗6.1在裝港取樣分析由SGS Malaysia施行，并由賣方承擔(dān)檢驗成本。買方有權(quán)到場或派第三方到取樣分析現(xiàn)場，相關(guān)費用由買方自行承擔(dān)。6.2盡管前有所述，為保證檢驗的公平，貨物到卸港后，賣方委托SGS China進行取樣/檢驗。卸港取樣以及分析由CCIC China 和SGS China單獨實施。除6.3所述情況，此CC

25、IC China分析結(jié)果為最終結(jié)算依據(jù)。與CCIC China 有關(guān)的取樣分析成本由買方承擔(dān)。測試及測試樣品總共有3份并妥善封好, CCIC China取的一份作為CCIC China的分析之用, SGS China取的一份作為SGS China的分析之用,一份(SGS China取的一份)會保留以備日后可能需要的獨立ISO認可的仲裁分析之用。其仲裁費用敗訴方承擔(dān)。6.3如果CCIC China 卸港檢驗結(jié)果超過拒收值，或卸港CCIC China 與 SGS China檢驗結(jié)果之間AL2O3, SIO2, 水分任一指標(biāo)檢差值在0.5% 以上（包含0.5%），賣方可以選擇按卸港CCIC Chin

26、a與SGS China的檢驗報告中的平均值作為最終結(jié)算依據(jù), 或者賣方可以選擇以仲裁樣品化驗結(jié)果作為最終結(jié)算依據(jù)。如果相差在0.5%內(nèi) (不含0.5%)，將卸港CCIC China報告作為最終結(jié)算依據(jù)。ARTICLE 7 PAYMENT 第七條: 付款Payment of the Upon Signing payment, Provisional Invoice and, if relevant, the Final Invoice, shall be paid by T/T in accordance with this Agreement. 定金、首款和尾款都是以美元為貨幣，電匯支付.7.

27、1 50% Payment Initial Invoice (“Initial Payment”) amounting to 50% of the total value shall be paid to the seller upon the cargo loaded on the barges reach 24000 ton. The total value calculated based the contract stated price (USD 40.00) without adjustment, and the dry weight calculated on the basis

Certificate of insurance.7.2 40%臨時貨款支付單據(jù)：a. 賣方簽字的首款商業(yè)發(fā)票，正本三份，發(fā)票顯示40%的無任何調(diào)整的貨物金額，并顯示合同號，船名，化學(xué)成分分析，干噸重量為提單上顯示的重量減掉合同中顯示的最大水分（15%），價格為基礎(chǔ)價格，沒有獎金和罰金。b. 全套清潔正本已裝船提單，空白背書，受益人憑指示，運費已付。c. 在裝貨港SGS Malaysia出具的重量證書。d. 在裝貨港 SGS Malaysi

40、 prevent or hinder or delay delivery by the Seller or receipt by the Buyer, this contract shall be deemed suspended so long as delivery by the Seller or receipt by the Buyer is prevented or hindered or delayed by such cause or contingency. The party affected by the occurrence of an event of Force Ma

41、jeure shall immediately advise the other in writing. 第九條: 不可抗力9.1一旦發(fā)生罷工，火災(zāi)，暴動，意外，天氣災(zāi)害，戰(zhàn)爭，港口禁運，延期，政府授權(quán)的命令、規(guī)定或者行動，或任何超出買方、賣方控制范圍的事件，此類事件阻礙或者延遲賣方發(fā)貨、買方收貨，本合同將延續(xù)直至賣方可以發(fā)貨或者買方可以收到貨物。并且受影響一方應(yīng)立即書面通知對方。ARTICLE 10 NOTICE 第十條: 通知10.1All notice given under this contract shall be in writing or Email, and shall be

44、uyer USD 0.1/DMT. If the vessel cannot be shipped within 10 days beyond the latest date of shipment, the buyer has the right to cancel the contract at sole discretion and the buyer does not need to pay any compensation or penalty to the seller. The effectiveness of Article 11 sha
