4、 necessary for production.第二條 質(zhì)量標(biāo)準(zhǔn)和要求Article 2 Quality Standards and Requirements2.1質(zhì)量標(biāo)準(zhǔn)和要求：按甲方的質(zhì)量要求執(zhí)行。Quality standards and requirement: In accordance with requirements of Party A.2.2甲方提供產(chǎn)品模具的設(shè)計(jì)圖紙、樣板和其他相關(guān)技術(shù)資料。就上述資料，甲方具有唯一的解釋權(quán)。發(fā)生歧義時(shí)，乙方應(yīng)書面征詢甲方意見，并得到甲方的書面確認(rèn)。Party A will provide Party B design, bluepri

5、nt, specimen and relevant technical documents, which shall be illustrated by Party A solely. In case of discrepancy, Party B must enquiry Party A in written.2.3乙方在收到上述資料后 個(gè)工作日內(nèi)，需提供詳細(xì)的模具圖紙，甲方應(yīng)在收到模具圖紙之次日起的 天內(nèi)予以確認(rèn)。Party B shall complete the drawings of Tools in working days upon receipt of aforesaid do

Party A will check the drawings in working days after receiving.2.4乙方按甲方確認(rèn)后的圖紙及甲方的技術(shù)要求設(shè)計(jì)制作模具。Party B shall design and manufacture the Tools in accordance with the drawings and conform to Party As technology requirements. 2.5合格模具的定義：Definition of Qualified Tools:2.5.1符合經(jīng)甲方確認(rèn)的模具結(jié)

7、構(gòu)圖；In conformity to Tools schematics approved by Party A;2.5.2符合經(jīng)甲方確認(rèn)的正式零件圖紙要求；In conformity to Parts drawings approved by Party A;2.5.3符合甲方的質(zhì)量及技術(shù)要求；In conformity to quality and technology requirements of Party A;2.5.4模具壽命必須符合本合同的規(guī)定;Tool life shall be ensured per provision in this Contract;2.5.5如無法對(duì)

8、應(yīng)雙方約定的則必須符合國家標(biāo)準(zhǔn);Where no standard was prescribed, the National Standard in P.R.China shall prevail;2.5.6模具的原材料必須達(dá)到甲方認(rèn)可的要求。The material which Tools made of shall be qualified per Party As requirement.第三條 原材料來源和模具制作時(shí)間Article 3 Material Sourcing and Lead Time3.1模具制造生產(chǎn)所需的原材料由 方承擔(dān)。如為乙方承擔(dān)，則乙方必須保證按甲方的技術(shù)要求采

9、購原材料，以確保產(chǎn)品質(zhì)量的穩(wěn)定。同時(shí)，乙方還應(yīng)把原材料的品質(zhì)標(biāo)準(zhǔn)、產(chǎn)地等如實(shí)預(yù)先書面報(bào)告甲方。Party shall provide the material for Tooling. In case of Party B be liable for material sourcing, the purchasing procedure shall be practised strictly per Party As technology requirements to ensure the steady good quality of the Products. 3.2本合同模具開發(fā)送樣周期

10、為 天，自簽訂本合同之日起到 年 月 日止；模具交付使用周期為 天（即 年 月 日前）。在乙方完成試模后，須于12小時(shí)內(nèi)向甲方傳真或郵遞試模報(bào)告。The lead time of Developing, Making and First Sample Pour is working days, from valid date of commence of this Contract to (DayMonthYear); The delivery time shall within working days (before DayMonthYear). After each Tryout com

11、pleted, Party B shall report to Party A within 12 hours via Fax or Email.3.3如果乙方模具制作出現(xiàn)工藝或者其它的問題，導(dǎo)致模具無法驗(yàn)收合格的，乙方應(yīng)根據(jù)圖紙和樣板免費(fèi)重新開模。重新開模的質(zhì)量和交期除有特殊約定外，按本合同執(zhí)行，否則視為乙方違約。In case the Tools fail to pass the inspection due to Party Bs fault, Party B shall remake the Tools free of charge per drawing and specimen.

12、Party B shall complete the remake in accordance with quality and lead time provisions hereto in this Contract unless mutually agreed otherwise.3.4如果乙方模具制作出現(xiàn)工藝和其它的錯(cuò)誤，導(dǎo)致模具無法驗(yàn)收合格而甲方又急需生產(chǎn)，乙方應(yīng)先用現(xiàn)有的模具安排生產(chǎn)，同時(shí)再根據(jù)圖紙和樣板要求免費(fèi)重新開模。In case of emergency demand of Party A, provided that the Tools fail to pass the i

13、nspection due to Party Bs fault, Party B may arrange production with available Tools, and meanwhile start to remake the Tools free of charge per drawing and specimen.第四條 模具價(jià)格及付款方式Article 4 Price and Payment4.1模具價(jià)格Price4.1.1由乙方提供的報(bào)價(jià)單經(jīng)甲方認(rèn)可后，簽訂的價(jià)格確認(rèn)書是本合同的組成部分。The quotation sheet shall be counter signed

15、but not limit following charges, which Party B shall never charge Party A:4.1.3.1乙方對(duì)產(chǎn)品進(jìn)行成型試模/二次加工/組裝所需的所有夾具和治具的模具的費(fèi)用；The charges of molds of chucks and jigs which are necessary to perform molding trial or shot, second operation and assembly;4.1.3.2乙方按合同規(guī)定進(jìn)行模具設(shè)計(jì)、試模所需的材料和設(shè)備及人工等費(fèi)用； The charges of mater

16、ial, facility and labor, which are necessary for tooling design and trial;4.1.3.3乙方提供給甲方進(jìn)行模具和產(chǎn)品認(rèn)證的試模樣品的費(fèi)用； The charges of trial samples provided to Party A to process applying Tools and Products certificate;4.1.3.4乙方為保證模具正常生產(chǎn)制作的模具易損備件的費(fèi)用； The charges of spare parts for Tools, which to ensure the nor

17、mal production;4.1.3.5乙方為保證產(chǎn)品正常生產(chǎn)所準(zhǔn)備的其他工序的相關(guān)工具和治具的費(fèi)用。 The charges of relevant tools, instruments and jigs which to ensure normal production and working procedures.4.1.4當(dāng)甲方書面要求乙方根據(jù)產(chǎn)品設(shè)計(jì)的變更對(duì)模具進(jìn)行修改時(shí)，如果模具修改較簡單，包括從模具上減除模具材料的修改和其他簡單修改，則乙方不需向甲方收費(fèi)；如果模具修改較復(fù)雜，對(duì)整個(gè)模具的結(jié)構(gòu)影響很大，則由乙方根據(jù)修改模具所需工時(shí)向甲方報(bào)價(jià)，經(jīng)甲方書面確認(rèn)同意后，由甲方承擔(dān)相應(yīng)

18、的模具修改費(fèi)用（相應(yīng)的模具修改費(fèi)用根據(jù)雙方協(xié)商的付款方式進(jìn)行支付）。如果因?yàn)橐曳降脑驅(qū)е履＞卟荒軡M足甲方的要求而進(jìn)行的修?；蚋哪? 甲方不承擔(dān)任何責(zé)任和費(fèi)用。In case of Party A request for rework on Tools per Products design variation in written, Party B shall complete the modification without charging Party A, unless the rework job is complicated enough to change and affect

19、the general structure of the Tool. Party B shall quote the cost of aforementioned complicated rework job and get written consent from Party A. The extra cost of complicated rework job shall be paid for by Party A per payment provision hereto as agreed between both parties. Provided that the modifica

20、tion or rework on the Tools is due to Party Bs fault, Party A shall never bear any responsibility and charge.4.1.5由于乙方原因?qū)е录追叫枰ㄙM(fèi)正常技術(shù)支持外的人工及費(fèi)用，乙方應(yīng)根據(jù)甲方認(rèn)可的方式給予相應(yīng)的補(bǔ)償。Party B shall compensate Party A for all extra cost including but not limit labor and expense due to Party Bs fault. And the reimburse met

21、hod shall be approved by Party A.4.2付款方式 Payment4.2.1乙方在模具開模前，甲方支付合同總價(jià) %（計(jì)人民幣 元）作為預(yù)付款。Party A shall pay % of the contract price (say RMB in total) as advance payment.4.2.2甲方對(duì)模具驗(yàn)收合格、乙方交付樣模并經(jīng)雙方簽版確認(rèn)后，支付剩余 %的合同價(jià)款（計(jì)人民幣 元）。Party A shall pay % of the contract price (say RMB in total) upon qualified accepta

22、nce after delivery and sample undersigned by both parties.4.2.3模具在甲方試生產(chǎn)的 個(gè)月內(nèi)穩(wěn)定時(shí)，支付合同金額的 %（計(jì) 元）。Party A shall pay % of the contract price (say RMB in total) after months steady pilot production.4.2.4乙方超過生產(chǎn)周期，模具仍不能交付使用的，同意按每日1000元人民幣的標(biāo)準(zhǔn)向甲方支付罰金，逾期超過7日的，視為乙方違約，除繼續(xù)支付罰金及賠償甲方因此造成的損失外，乙方同意按照本合同約定承擔(dān)違約責(zé)任。上述罰金

23、、賠償金及違約金等費(fèi)用，甲方有權(quán)直接從合同款項(xiàng)中扣除。Party B agrees to reimburse Party A RMB 1000 per day for overdue delivery as penalty. In event that the delivery delayed more than seven (7) days, it shall be deemed as material breach. Party B shall bear the responsibility of breach and compensate Party As loss, in additi

24、on to the mentioned penalty.第五條 模具的驗(yàn)收與交付Article 5 Inspection and Delivery5.1模具生產(chǎn)完成視交付使用的對(duì)象不同按以下第 種方式處理：The recipient of the Tools after Party As inspection will be varied, both parties hereby select following (5.1 .1or 5.1.2):5.1.1模具生產(chǎn)完成后交付甲方使用，則：In event of the recipient of the completed Tools is P

25、arty A:5.1.1.1模具所有權(quán)和使用權(quán)歸甲方;Party A has the proprietorship of ownership of Tools and right of exploitation;5.1.1.2 乙方負(fù)責(zé)對(duì)各套模具免費(fèi)試模 次，每次不小于 啤次/沖次，試模材料由甲方提供;Party B shall carry out trial shot times on each set of Tools at its own expense. During each trial there shall no less than times injection or stam

26、ping. 5.1.1.3乙方進(jìn)行試模后，在約定的期限內(nèi)送樣給甲方進(jìn)行樣板確認(rèn)。經(jīng)雙方簽板確認(rèn)后，該模具即為交付的樣品（以下簡稱“樣?！保?。Party B shall send trial samples to Party A in time as agreed between both parties after the trial. The samples undersigned by representative of both parties shall be deemed as control sample.5.1. 1.4驗(yàn)收。經(jīng)甲方出具合格驗(yàn)收?qǐng)?bào)告后視為模具目測驗(yàn)收合格。但在使用

27、過程中才發(fā)現(xiàn)的非甲方責(zé)任導(dǎo)致的質(zhì)量問題仍應(yīng)由乙方承擔(dān)責(zé)任。The report of inspection of qualified Tools issued by Party A shall not construed as waiver against Party Bs responsibility for quality problem incur not due to Party A during exploitation of the Tools. 5.1. 1.5驗(yàn)收要求：模具的材質(zhì)、模穴數(shù)、熱處理硬度、型號(hào)以及材料的產(chǎn)地等各方面技術(shù)性要求須按甲方出具的模具技術(shù)要求為準(zhǔn)。The c

28、ompleted Tools shall be inspected by both parties per document of Technical Requirements of Tools provided by Party A on material, cavities, heat treatment hardness, model and place of origin etc.5.1. 1.6驗(yàn)收時(shí)，乙方須將甲方提供的所有技術(shù)資料、圖紙及乙方開模的主要電極一并交付給甲方。Party B shall provide Party A all technical documents, d

29、rawings, specimen, main electrodes and dates while Inspection.5.1. 1.7交貨地點(diǎn)：甲方指定場所。The place of delivery shall be specified by Party A.5.1. 1.8運(yùn)送及費(fèi)用承擔(dān)：由乙方負(fù)責(zé)送貨、裝卸，并承擔(dān)相關(guān)費(fèi)用。Party B shall be liable for delivery and relevant charge.5.1. 1.9如果發(fā)生雙方對(duì)于質(zhì)量問題的重大異議而又不能達(dá)成一致意見的，則按國家或者行業(yè)最高標(biāo)準(zhǔn)為依據(jù)。The national standard

30、 or highest industry standard shall prevail while both parties could not reach an agreement or compromise on quality problem.5.1.2模具生產(chǎn)完成后交付乙方使用，則：In event of the recipient of the completed Tools is Party B:5.1.2.1模具所有權(quán)歸 甲方 ，使用權(quán)歸 乙方 。在甲方享有所有權(quán)期間，由乙方負(fù)責(zé)保管，在甲方享有未經(jīng)甲方同意，乙方不得將此模具提供給第三者使用，否則視為乙方違約。Party A ha

31、s the proprietorship of ownership of Tools and Party B has the right of exploitation of Tools. Party B shall properly exploit and keep the Tools solely and only for benefit of Party A. Party B shall not assign the right of exploitation to any third party unless otherwise get written consent from Par

32、ty A.5.1.2.2模具生產(chǎn)量達(dá)到 年達(dá)到 萬啤，乙方返還開模相關(guān)費(fèi)用給甲方，模具的所有權(quán)轉(zhuǎn)移為乙方所有。乙方自行承擔(dān)費(fèi)用將磨損部件予以更換。所有模具的組裝圖、零件圖和所有夾治具必須返還給甲方。Party B shall return all charge of Tooling Party A while the production quantity of Tools reached units in years. After reimbursement, the proprietorship of ownership of Tools shall be transferred to P

33、arty B. Party B shall be liable for spare parts and maintenance at its own expense. The drawings, assembly designs, spare parts charts, chucks and jigs shall be returned to Party A without delay.5.2乙方出資開發(fā)模具,則：In event of Party B pay the tooling charge in advance:5.2.1乙方根據(jù)甲方提供的模具組裝圖、零件圖等相關(guān)圖紙及技術(shù)參數(shù)，自行出

34、資開發(fā)模具，該模具所有權(quán)歸乙方所有。Party B shall complete the Tooling per design drawings and technology data provided by Party A at its own expense. Party B shall has the proprietorship of ownership of Tools5.2.2乙方自行承擔(dān)模具的試模、修模以及磨損等費(fèi)用。Party B shall be liable for trials on the Tools, rework and maintenance work on it

35、s own expense.第六條 模具質(zhì)量和產(chǎn)能保證Article 6 Quality and Production Capacity Guarantee of Tools6.1乙方承諾利用乙方制作的模具生產(chǎn)出的產(chǎn)品能夠達(dá)到甲方的品質(zhì)要求。Party B promises the Products produced by Tools are strictly conformity to quality requirements of Party A.6.2乙方承諾如利用乙方制作的模具生產(chǎn)產(chǎn)品能夠達(dá)到甲方的如下生產(chǎn)要求：日產(chǎn)能： Units；月產(chǎn)能： Units；Party B promise

36、s the Production Capacity of Tools to be as following:Daily Production Capacity ： Units；Monthly Production Capacity： Units；6.3如模具由乙方生產(chǎn)使用，則乙方未經(jīng)甲方允許不得將本合同所涉及的任何一付模具整體或部分外包給其它公司進(jìn)行產(chǎn)品生產(chǎn)加工，否則視為乙方違約并承擔(dān)違約責(zé)任。Party B shall not assign part or whole of the right of exploitation of Tools to any third party or ap

37、point subcontractor to produce the Products without written consent of Party A.6.4乙方保證按照上述產(chǎn)能交貨。在此標(biāo)準(zhǔn)內(nèi)出現(xiàn)不正常時(shí)，乙方須在 1 日內(nèi)進(jìn)行更換、維修或保養(yǎng)，否則視為違約，除承擔(dān)違約責(zé)任外，給甲方造成損失的，另行賠償甲方損失。本條約定不受本合同有效期限的限制，違約責(zé)任按照本合同違約條款處理。如實(shí)際模具產(chǎn)能低于上述約定的模具產(chǎn)能根據(jù)相差的比例，從合同總價(jià)中扣除相應(yīng)的比例價(jià)款，直到累計(jì)扣完合同總價(jià)。如因此造成甲方的損失超過可扣的總價(jià)款則超出部分仍由乙方承擔(dān)。Party B promise to deli

38、very Products in accordance with aforesaid Production Capacity. Party B shall fix the problems provided that the Production Capacity could not be reached within 1 working day. Otherwise without affected by validation term of this Contract Party B shall not only bear the responsibility of breach but

39、also be liable to compensate the loss of Party A. Any deviation of the Production Capacity, Party A is entitled to deduct proportional value of the Contract. In event the remedy is not adequate, Party B shall liable for the surpass amount by imbursement.6.5由于乙方原因造成短時(shí)間內(nèi)達(dá)不到甲方采購量的，乙方應(yīng)在約定的時(shí)間內(nèi)采取措施。如在該期限內(nèi)

40、仍不能滿足甲方采購量的，甲方有權(quán)扣除相應(yīng)的價(jià)款。In event that Party As purchase demands could not be satisfied due to Party Bs fault, both parties shall solve it together in agreed time limit. Provided that Party B fails in the aforesaid time limit, Party A in entitled to deduct responding value of the Contract.6.6乙方由于自身問題

41、中止此模具產(chǎn)品對(duì)甲方供應(yīng)，乙方應(yīng)立即將模具歸還給甲方，運(yùn)輸費(fèi)由乙方承擔(dān)，否則甲方可直接從貨款中扣除該模具全部價(jià)款。因中止供貨行為給甲方造成的其它損失的，按照雙方簽訂的相關(guān)協(xié)議賠償，有其他協(xié)議的，按照具體協(xié)議賠償，否則全部由乙方承擔(dān)。In case Party B is not capable in supplying Products to Party A due to its own reason, Party B shall return Tools to Party A immediately at its own expense. Both Parties shall negotiat

42、e the compensation supplement; otherwise Party B shall reimburse Party A for all the loss.6.7乙方因不可抗力中止此模具產(chǎn)品對(duì)甲方供應(yīng)，甲方根據(jù)乙方實(shí)際交貨量與采購量的比例，從乙方貨款中扣除模具總金額相同比例的模具費(fèi)用。同時(shí)乙方應(yīng)立即將模具歸還給甲方，運(yùn)輸費(fèi)由乙方承擔(dān)，否則甲方可直接從貨款中扣除該模具全部價(jià)款。In case Party B is not capable in supplying Products to Party A due to force majeure, Party B shall

43、 return Tools to Party A immediately at its own expense. Party A in entitled to deduct proportional value of the Tooling charge from the total Contract Price. 第七條 模具維護(hù)和保管Article 7 Keeping and Maintenance of Tools7.1在模具產(chǎn)能保證期間內(nèi)，模具由乙方負(fù)責(zé)保養(yǎng)維修；如模具在使用壽命內(nèi)不能使用的，乙方應(yīng)負(fù)責(zé)更換或重新開模，并承擔(dān)更換與重新開模的費(fèi)用，并且應(yīng)及時(shí)向甲方報(bào)備，由甲方再次書面確認(rèn)

44、模具合格后才能投入生產(chǎn)。During guarantee period of the Tools lifetime, Party B shall be responsible for preventive and corrective maintenance works on the Tools. In case the Tools lifetime run out before the date due, Party B shall replace or remake the Tools on its own expense. Party A shall be notified in tim

Party B shall not use the new Tools without written consent of Party A.7.2乙方應(yīng)對(duì)模具的修改、維護(hù)和修理等情況及時(shí)登記造冊(cè)，無論此種修改、維護(hù)和修理是否由甲方提出。如甲方需詢問有關(guān)的技術(shù)細(xì)節(jié)或證據(jù)的，乙方應(yīng)積極配合。Party B shall keep records of the altering, preventive and corrective maintenance works, including such works proposed by Party A. Party B shall respons

46、e to enquiry positively on request of Party A about the technical details or evidence.7.3如模具在乙方生產(chǎn)使用，乙方應(yīng)妥善保管甲方模具，否則造成模具丟失的，乙方需按丟失物品的全額價(jià)值賠償給甲方。Party B shall safe keep the Tools in good manner. In event of damage or lose, Party B shall compensate Party A loss value in sum.第八條 知識(shí)產(chǎn)權(quán) Article 8 Intellectua

47、l Property8.1本合同所涉及甲方提供的任何資料的技術(shù)信息及商業(yè)秘密屬于甲方所有，甲方擁有完全的知識(shí)產(chǎn)權(quán)（包括但不限于專利、商標(biāo)及版權(quán)的申請(qǐng)權(quán)等）；未經(jīng)甲方許可，乙方不得向任何第三人泄漏相關(guān)的技術(shù)信息及商業(yè)秘密，否則由此產(chǎn)生的一切損失由乙方負(fù)責(zé)。 All right (including but not limit the right to apply for a Patent, Trademark or Copyright), title and interest in and to the Confidential Information is owned by and remai

48、ns with Party A. Any and all work product or deliverables developed in connection with the Tools, regardless of their state of completion, shall be work-made-for-hire for the benefit Party A. Party B agrees not to copy, transfer, disclose or use, or permit to be copied, transferred, disclosed or use

49、d, any Confidential Information of Party A by or for the benefit of itself or any Person or disclose any Confidential Information to anyone. Otherwise Party A shall be responsible for all loss incurred by breach hereto.8.2 保密信息包括“所有有關(guān)客戶、供應(yīng)商、業(yè)務(wù)來源方和業(yè)務(wù)展開對(duì)象的數(shù)據(jù)和銷售量；產(chǎn)品概念；產(chǎn)品設(shè)計(jì)；技術(shù)秘密；工程規(guī)格；公司財(cái)務(wù)數(shù)據(jù)；技藝技能、保密技術(shù)和方法

50、；其他由一方向另一方以任何媒介披露并默認(rèn)需要保密的信息”，“保密信息”亦應(yīng)包括所有由保密信息復(fù)制或者摘錄而來的信息和由披露方提供或者基于完成本合同目的的包括保密內(nèi)容的電子計(jì)算機(jī)生成的數(shù)據(jù)。Confidential Information is defined as “all data regarding customer/client, supplier, business source, and business development identities and sales volume; concepts of products; product design; know-how; e

51、ngineering specifications; company financial data; technical expertise, knowhow, and methods; and other information deemed confidential by either Party in transmitting the information to the other Party, regardless of the medium in which the information is transmitted.” “Confidential information” sh

52、all also include all copies and extracts of Confidential Information and all computer-generated data containing Confidential Information prepared by or for the benefit of the disclosing party.第九條 違約責(zé)任 Article 9 Responsibility of Breach of Contract9.1乙方不得將模具的開發(fā)生產(chǎn)轉(zhuǎn)發(fā)包給第三者，否則，視為乙方違約，甲方有權(quán)隨時(shí)解除合同，追究乙方違約責(zé)任并

56、y both parties shall prevail.9.4乙方逾期交貨或交貨不能的，應(yīng)賠償甲方因此遭受的一切損失，并按照本合同約定承擔(dān)不低于5萬元的違約責(zé)任;乙方收取甲方預(yù)付款后違約的，應(yīng)雙倍返還預(yù)付款，并根據(jù)本合同約定承擔(dān)違約責(zé)任。In case of delay or failure of delivery, Party B shall compensate all loss incurred to Party A and pay penalty no less than 50000 RMB; Party B shall reimburse advance payment in double to Party A and pay penalty meantime in case of breach after prepaid.9.5任何一方違反本合同或者雙方其他合作協(xié)議、招投標(biāo)文件、訂單等約定的，守約方有權(quán)要求違約方承擔(dān)相應(yīng)的違約責(zé)任。雙方同意以合同總價(jià)款的10%作為違約賠償金，如相應(yīng)違約金無法計(jì)算或者低于人民幣 3 萬元的，以 3 萬元計(jì)。如因乙方違約造成甲方的損失超過違約賠償金約定額度的，則超出部分乙方仍應(yīng)賠償。
