6、English, both versions being equallyauthentic.交貨條款TERMS OF DELIVERY1. 裝運(yùn)單據(jù)： (a) 空運(yùn)單一份（b）發(fā)票兩份，注明合同號(hào)碼及嘜頭 （如嘜頭超過(guò)一個(gè)，發(fā)票須按嘜頭分開(kāi)） ;（ c）裝箱單兩份，注明合同號(hào)、嘜頭、每件毛重、凈重、尺寸及貨物包裝情況; （ d）賣方出據(jù)的的品質(zhì)證明書(shū)正、副本各一份。（e）保險(xiǎn)單正本一套。（f ）原產(chǎn)地證明一份。 （ g）測(cè)試報(bào)告一份。ShippingDocuments: (a)One set ofairwaybill（ b） Invoicein2 copiesindicatingcontrac

8、by the contract.（ d） One copy of Certificate of Quality in 1 original issued bythe beneficiary.（ e） Insurance Policy in 1 original.(f)Certificate of origin in 1 originalissued by the beneficiary.(g)Test certification in 1 original.2、質(zhì)量保證 :賣方應(yīng)保證所供貨系由新的最上等材料, 頭等工藝制成 , 全新未曾用過(guò) , 以及符合本合同規(guī)定的技術(shù)、性能、規(guī)格和技術(shù)要求。

9、設(shè)備的質(zhì)量保證期為設(shè)備正常運(yùn)行后之日起的24（ 二十四）個(gè)月。Guarantee of Quality:The seller guarantee that the commodity hereof is made of the best materials with first classworkmanship, brand new and unused, and complies in all respects withthe quality, performanceand specifications stipulated in this contract and conforms to

10、the technical manuals of the commodities contracted. The Warranty Period lasts 24 (twenty-four) months commencing from thedate of the normal running of the Equipment.3. 檢驗(yàn)及索賠 :在交貨前 , 賣方應(yīng)出具關(guān)于質(zhì)量、規(guī)格、性能、數(shù)量或重量說(shuō)明書(shū), 證明貨物符合合同規(guī)定。此證明書(shū)形成向付款行議付的完整文件的部分 , 但不作為質(zhì)量、 規(guī)格、性能以及數(shù)量或重量的最終結(jié)果。 賣方開(kāi)出的檢測(cè)結(jié)果應(yīng)形成質(zhì)量證明書(shū)的一部分Inspectio

11、n and Claim:TheSellershall,beforemaking delivery,make a preciseand comprehensiveinspectionof the goodsas regardsthe quality,specification,performanceandquantity/weightand issue certificates,certifyingthatthegoods are in conformitywith the stipulations ofthisContract.Thecertificatesshallform an integ

12、ral partof the documentation tobe presentedtothe paying bankfor negotiation but shall not be considered as final in respect of quality, specification, performance and quantity/weight. Particulars and results of the test carried out by the Seller must be shown in a statement, which has to be attached

13、 to the Quality Certificate.(1) 待貨物運(yùn)抵最終用戶現(xiàn)場(chǎng)后，買方應(yīng)會(huì)同國(guó)家進(jìn)出口商品檢驗(yàn)檢疫局代表和賣方代表共同在現(xiàn)場(chǎng)對(duì)設(shè)備進(jìn)行開(kāi)箱檢驗(yàn),并由檢疫局開(kāi)具檢驗(yàn)證書(shū)。開(kāi)箱前1周，最終用戶需通知賣方參加此項(xiàng)初檢。Upon thearrival of the goodsatsiteof theEnd-user, theBuyer shallcarryon site open packageinspectionof the goods withparticipationof representativesfrom Chengdu Entry-ExitInspectionAn

End user shall inform Seller one week before the inspection to have the possibility to join this preliminary inspection.(2) 買方因貨物與合同不符合而向賣方提出的任何索賠要求須憑國(guó)家進(jìn)出口貨物檢驗(yàn)檢疫局出具的商檢證書(shū)原件提出，不應(yīng)有延誤。通常認(rèn)為該索賠應(yīng)在設(shè)備到貨后六十日內(nèi)提出。Any claim by Buyer stating that

15、the Equipment is not in compliance with this Contract must bemade to SellerwithoutdelayagainstoriginalInspectionCertificateissuedby Chengdu Entry-ExitInspection and Quarantine Bureau ， which normally deemed not exceeding sixty (60) days after the arrival of the Equipment.(3) 索賠的解決Settlement of claim

16、s。2。如是賣方責(zé)任 , 買方提出索賠在合同附件2,3 款規(guī)定的索賠期內(nèi), 賣方按以下方式解決:In case the sellers are liable for the discrepancies and a claim made by the Buyers withinthe periodof claimor qualityguaranteeperiodas stipulatedin Clause 2and 3 of deliveryterms of thiscontract.The sellershallsettlethe arrangement Buyers in the follo

17、wingways.a. 同意買方退貨或退貨款給買方，并承擔(dān)買方直接損失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保費(fèi)，商檢費(fèi)，倉(cāng)租費(fèi)，裝卸費(fèi)和其他保管費(fèi)Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contracted herein, and to bear all direct losses and expenses inconnection there with including interest acc

18、rued, banking charges, freight, insurance premium ,inspection charges, storage, charges and all other necessary expenses required for the custody and protection of the rejected goodsb. 根據(jù)貨物劣等程度，受損程度或損失總額，買方有權(quán)提出降價(jià)。間接損失除外。Devalued the goods according to the degree of inferiority? extent of damage and

Consequential damages are excluded.C.換符合合同規(guī)定的貨物，承擔(dān)買方發(fā)生的費(fèi)用和直接損失，賣方應(yīng)按規(guī)定在未來(lái)12 月內(nèi)換相同質(zhì)量的保證的貨物。Replace the defective goods with new ones, which conform to the specifications, qualityand performance as stipulated in this contract, and bear all expenses incurred to and di

20、rect losses sustained by the buyers, The seller shall, at the same time, guarantee the qualityof the replacement goods for a further 12 months as specified of this contract(4) 賣方收到買方索賠通知后 , 如果在三十天內(nèi)不答復(fù) , 應(yīng)視為賣方同意買方提出的一切索賠 . Any and all claim shall be regarded as accepted if the Sellers fail to reply w

21、ithin 30 days after receipt of the Buyer's claim.4遲交貨如果賣方未能按合同規(guī)定的時(shí)間按期交貨（本合同第5 款規(guī)定的不可抗力除外） ，在賣方同意支付核定損失額的條件下， 買方將同意延長(zhǎng)交貨期。 核定損失額的支付將由付款銀行從議付款或從履約保證金中扣除。核定損失額比率為每遲交7 天，將罰貨物金額的0.5%, 不滿 7 天的按 7 天計(jì)算，但是，核定損失額的支付不得超過(guò)合同金額的5%。如果賣方在推遲10 周仍不能交貨，買方有權(quán)因賣方違約終止合同，而賣方仍有義務(wù)支付上述遲交貨罰金?；谘悠诮回浀娜魏芜M(jìn)一步的權(quán)利或索賠不包括在內(nèi)。Late del

24、make deliverytenweeks later than thetime of shipment stipulated in this contract, the buyer shall have the right to cancel thecontract, and the seller still pay the penalty asaforesaidto the Buyerswithoutdelay. Anyfurther rights or claims based on a delayed delivery are excluded.賣方按照規(guī)定時(shí)間發(fā)貨是有條件的，這是指：

25、買方及時(shí)履行了其如下的義務(wù),包括交納可能有的預(yù)付款項(xiàng)、如約開(kāi)設(shè)信用證、且及時(shí)提供所有可能需要的許可證及批文。如果上述條件未及時(shí)得到滿足，發(fā)貨期則應(yīng)相應(yīng)延長(zhǎng)。If delay is attributable to force majeure as stipulated in Clause 8, or to any other cause beyond the reasonable control of Seller, the delivery/performance periods shall be extended correspondingly.如果延期歸咎于以下第5條規(guī)定的不可抗力，或其他

26、賣方無(wú)法合理控制的原因，發(fā)貨期應(yīng)相應(yīng)延長(zhǎng)。If delay is attributable to force majeure as stipulated in Clause 16, or to any other cause beyond the reasonable control of Seller, the delivery/performance periods shall be extended correspondingly.5. 不可抗力 :在履行合同的過(guò)程中, 由于不可抗力如戰(zhàn)爭(zhēng)、火災(zāi)、洪水、臺(tái)風(fēng)及地震等因素或其它雙方認(rèn)可的因素造成賣方 ( 或買方 ) 不能履行合同, 賣方 (

27、 或買方 ) 對(duì)此不負(fù)責(zé)任。賣方( 或買方 )應(yīng)在此后的14?天之內(nèi)立即將上述情況通知對(duì)方, 并將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明書(shū)用空郵寄交買方( 或賣方 ) 為證 , 并取。3。得對(duì)方認(rèn)可。 在上述情況下 , 賣方 ( 或買方 ) 仍 有采取一切必要措施從速交貨的責(zé)任, 如果事故持續(xù)10 個(gè)星期以上 , 買方 ( 或賣方 ) 有權(quán)取消本合同。Force Majeure :The Seller/the Buyer shall not be held responsible for being unable to carry out this contractdue to Force Ma

28、jeur such as war, serious fire, flood. Typhoon and earthquakes or other eventsagreed upon by both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Seller / the Buyer shall advice the Buyer/Seller immediately of the occurrence mentioned above

29、within fourteen days thereafter, the seller/the Buyer shall send byairmail tothe Buyer/the Seller for theiracceptance acertificateof theaccident issued bytheCompetent Government Authorities where the accident occurs as evidence thereof. Under such circumstances, the Seller/the buyer, however, is sti

30、ll under obligation to take all necessary measures to expedite/take the delivery of the goods in case the accident lasts for more than 10 weeks, the Buyer or theSeller shall have the right to cancel the contract.6、仲 裁：一切因執(zhí)行本合同所發(fā)生或與本合同有關(guān)之爭(zhēng)執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭(zhēng)執(zhí)應(yīng)提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)，按照該仲裁委員會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁，仲裁地點(diǎn)在北京。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用除非仲裁會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。Arbitration : All disputes in connection with this Contract or execution thereof shall be amicable settled through negotiation .
