1、TRADEMARK LICENSING AGREEMENT商標使用許可協(xié)議Lice nsor:許可方：Licensee: Guangdong Xinbao Electrical Appliances Holdings Co., Ltd被許可方：廣東新寶電器股份有限公司W(wǎng)hereas Licensor owns certain valuable registered trademarks; and Licensee need to utilize the trademark upon and in conn ecti on with the manufacture, sale and distr

2、ibuti on of the Con tract Products in OEM process ing for Licensor and its assigned parties; Both parties authorized representatives, through friendly negotiation, agree to en ter into this Con tract un der the terms as stipulated below.鑒于許可方擁有一定價值并經(jīng)注冊的商標，且被許可方需要在為許可方及許可方授權(quán)方進行OEM貼牌代工和向許可方及許可方授權(quán)方出口OE

3、M產(chǎn)品時使用該商標，雙方授權(quán)代表經(jīng)友好協(xié)商，達成如下協(xié)議：1. License Grant 使用許可1.1 The Licensee agree to obtain from Licensor, and Licensor agree to grant Licensee the right to utilizethe Registered Trademark in Appe ndix 1 solely and only upon and in connection with the manufacture, sale and distributi on of the Con tract Prod

4、ucts in OEM process ing for Lice nsor and its assig ned parties. 被許可方同意從許可方取得，許可方同意向被許可方授予單獨使用附件1所指的注冊商標的權(quán)利，且只在為許可方進行OEM貼牌代工和向許可方及許可方授權(quán)主體出口OEM產(chǎn)品時使用。1.2 The n ame, model, specificati on and tech ni cal no tices of the Con tract OEM Products are detailed in Appe ndix 2.協(xié)議OEM產(chǎn)品的名稱、型號、規(guī)格和技術(shù)參數(shù)詳見本協(xié)議附件2。1.

5、3 The license and right are non-exclusive and untransferable.此許可是非獨占性的、不可轉(zhuǎn)讓的。1.4 Notwithsta nding the aforesaid, the purchase of comp onents from ven dor or subc on tractor by Lice nsee for the Con tract Products shall not be con sidered violati on of this Agreeme nt.盡管本協(xié)議前述規(guī)定如此，被授權(quán)方向其供應(yīng)商或分包商購買產(chǎn)品零部件

6、的行為不應(yīng)被視為違約行 為。2. Lice nse Term 許可期限2.1 The term of the license hereby granted shall be effective on and shall continueuntil .許可使用的期限自起至止。2.2 This Lice nse shall be automatically ren ewed for a one year term uni ess either party hereto shall be given written notice to the contrary at least thirty (30

7、) days prior to the expiration date.本許可協(xié)議在每一個有效期末自動續(xù)展一年，除非一方在協(xié)議到期前30天書面通知另一方終止協(xié)議的執(zhí)行。3. Registratio n In formatio n 注冊證書和信息The registrati on certificate, in clud ing the n ame, content and related situati on whichLice nsor applied forthe registration from (Competent Trademark Authority, Country) shal

8、l be provided by Licensor toLice nsee before sig ning this Agreeme nt.許可方應(yīng)在協(xié)議簽訂前，向被許可方提供注冊證書，包括但不限于注冊商標的名稱、內(nèi)容以及許可方向 (商標注冊有權(quán)管理機關(guān)，國家)申請注冊的有關(guān)情況。4. Lice nse Fee許可費用In this con tract, the Lice nsee use the Registered Trademark for free.在本協(xié)議中被許可方使用該注冊商標，無需支付對價。5. Guarantee 保證5.1 Licensor guarantees that L

9、icensor is the legitimate owner of the Registered Trademark herein and that Licensor is lawful in a position to authorize Licensee to utilize the Registered Trademark upon or in connection with manu facture, sale and distributi on of the Con tract Products in OEM process ing for Lice nsor and its as

10、sig ned parties.許可方保證是本協(xié)議中注冊商標 的合法持有者，并且有權(quán)授予被許可方使用。5.2 In the course of implementation of the Agreement, if any third party accuses Licensee of infrin geme nt, Lice nsor shall be resp on sible for approach ing the third party about the accusati on and bearall the economic and legal responsibilities

11、which may arise.如果在協(xié)議執(zhí)行過程中一旦發(fā)生第三方指控侵權(quán)時，則由許可方負責(zé)與第三方交涉，并承擔(dān)由此引 起的一切法律和經(jīng)濟上的責(zé)任。6. Settlement of Disputes 爭議解決6.1 All disputes in connection with or in the executi on of the Agreeme nt shall be settled through frien dly con sultati on by both parties.因執(zhí)行本協(xié)議所發(fā)生的或與本協(xié)議有關(guān)的一切爭議，雙方應(yīng)通過友好協(xié)商解決。6.2 In case no settl

12、eme nt to disputes can be reached through frien dly con sultati on by both parties, the disputes shall be submitted to China Intern ati onal Econo mic and Trade Arbitratio n Commissi on, Shen zhe n Commissi on for arbitrati on which shall be con ducted in accorda nce with the Commissio n's arbit

13、rati on rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The arbitrati on fee shall be borne by the los ing party.如雙方通過協(xié)商不能達成協(xié)議時，則應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會，按照申請仲裁 時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。仲裁費由敗訴方負 擔(dān)。6.3 This Agreement shall be g

14、overned by the Laws of PeopleRepublisof China, without regard to itscon flict-of-law prin ciples.爭議的解決適用中華人民共和國法律，且排除沖突法則的適用。6.4 In the course of settling disputes, the Agreement shall be continuously executed by both parties except for the part which is un der arbitrati on.在爭議的處理過程中，除正在進行仲裁的部分外，協(xié)議的

15、其他部分將繼續(xù)執(zhí)行。7. Communication 通訊Within the validity period of the Agreement, the formal notice shall be made in written form in two copies, sending by registered airmail. MISCELLANGEOUS其他8.1 The termination of this Agreement shall not affect in any way the outstanding claims and the liabilities existing between the two parties upon the expiry of the validity of the Agreement or formal termination notice by one party.本協(xié)議期滿或單
