4、每一筆交易的貨物價(jià)格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認(rèn)。 付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在 裝運(yùn)日期前_30一天到達(dá)甲方。 The price for each in dividual tran sact ion shall be fixed through negotiations between Party B and the buyer, and subject to Party As final con firmati on. Market Report 為使甲方充分了解現(xiàn)行市場情況，乙方應(yīng)至少每季度一次或在必要時(shí)隨時(shí)向甲方提 供市場報(bào)告， 內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)?市場發(fā)展趨勢以及買方對甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙 方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。 In order to keep Party A w

Party B shall supply Party A, at least once a quarter or at any time whe n n ecessary, with market reports concerning cha nges of the local regulations in connection with the import and sales of the Commodity covered by this agreement, local mark

7、et tendency and the buyers comme nts on quality, pack ing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply Party A with quotations and advertis ing materials on similar products of other suppliers. 6. 廣告及費(fèi)用 8. Advertising and Expenses 乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在韓國銷售代理商品

8、做廣告宣傳的一切費(fèi)用， 并向甲方提 交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。 Party A shall bear all expe nses for advertis ing and publicity in conn ecti on with the Commodity in Korea within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertis ing for prior approval of Party A.

9、 7.傭金 9. Commission 對乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按發(fā)票售價(jià)向乙方支付 %的傭 金。傭金在甲方收到每筆訂單的全部貨款后 _ 天內(nèi)向乙方支付。 Party A shall pay Party B a commissi on of _ % on the inv oiced selli ng price on all orders directly obta ined by Party B and accepted by party A. For each order, Party A shall paid the commissi on to Party B wit

10、h in _ days from the date Party A receives the full payme nt for such order. 8.工業(yè)產(chǎn)權(quán) 10. Industrial Property Rights 在本協(xié)議有效期內(nèi)，為銷售本協(xié)議項(xiàng)下的代理商品，乙方可以使用甲方擁有的商標(biāo), 并承認(rèn)使用于或包含于代理商品中的任何專利商標(biāo)、 版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁 有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。 Party B may use the trade-marks owned by Party A for the sale of the Com

11、modity covered here in within the validity of this agreeme nt, and shall ack no wledge that all pate nts, trademarks, copy rights or any other in dustrial property rights used or embodied in the Commodity shall rema in to be the sole properties of Party A. Should any infringement be found. Party B s

12、hall promptly notify and assist Party A to take steps to protect the latters rights. 9.協(xié)議有效期 11. Validity of Agreeme nt 本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效， 有效期為_ 年，從_ 年 _ 月 _ 日至 _ 年 _ 月 _ 日。除非作出相反通知，本協(xié)議期滿后將延長 _ 個(gè)月。 This agreement, when duly signed by the both parties concerned, shall remai n effect for mon ths from _

Termin ati on 在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。 During the validity of this agreement, if either of the two parties is found to have violated the sti

14、pulati ons here in, the other party has the right to term in ate this agreeme nt. 11.不可抗力 13. Force Majeure 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其 他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力 事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生 15天內(nèi)將有 關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。 Either party shall not be resp on sible for failure or

15、delay to perform all or any part of this agreeme nt due to flood, fire, earthquake, draught, war or any other eve nts which could not be predicted, con trolled, avoided or overcome by the releva nt party. However, the party affected by the eve nt of Force Majeure shall inform the other party of its

16、occurrence in writing as soon as possible and thereafter shall send a certificate of the eve nt issued by the releva nt authorities to the other party with in 15 days after its occurre nce. 12.爭議解決 14. Dispute Resolution 因凡因本合同引起的或與本合同有關(guān)的任何爭議，雙方應(yīng)首先嘗試友好協(xié)商解決。 如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi)， 爭議仍未得到解決，則應(yīng)將爭議提交 中國

17、國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)，按照申請仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲 裁。仲裁裁決是終局的，對雙方均有約束力。 Any dispute arising from or in connection with this agreement shall first be attempted to be resolved through discussi ons and con sultati ons betwee n the Parties in good faith. If the dispute rema ins un resolved upon expiratio n of 30 days

18、after written notice has been sent by one Party to the other Party, the dispute shall be submitted to China Intern ati onal Econo mic and Trade Arbitrati on Commissi on, Shan ghai Sub-Commissio n for arbitrati on, which shall be con ducted in accorda nee with the Commissi ons arbitrati on rules in effect at the time of applying for arbitration.
