1、國際經(jīng)銷商授權(quán)協(xié)議AuthorizedDealerAgreementBasedontheequalityandmutualbenefit,bothpartiesmadeandenteredintothefollowingagreementon,bothpartiesshouldcarryoutbusinessaccordingtothefollowingtermsandconditionsuponsignature.按照平等互利，雙方作出分為以下協(xié)議簽訂，雙方應(yīng)開展業(yè)務(wù)按照下列條款和條件的簽名。Basedontheequalityandmutualbenefit,bothpartiesmade

4、defined:“Agreement”meansthisagreement,theSchedulesattachedheretoandanydocumentsincludedbyreference,aseachmaybeamendedfromtimetotimeinaccordancewiththetermsofthisAgreement;“協(xié)議”指本協(xié)議附表所附的任何文件，包括參照，因為每個可能不時按照當(dāng)本協(xié)議的條款作出修訂;“Agreement”meansthisagreement,theSchedulesattachedheretoandanydocumentsincludedbyref

5、erence,aseachmaybeamendedfromtimetotimeinaccordancewiththetermsofthisAgreement;“Accessories”meanstheaccessoriesdescribedinExhibitAattachedhereto,andincludesanyspecialdevicesmanufacturedbyPartAandusedinconnectionwiththeoperationoftheGoods.“配件/附件”是指圖標(biāo)A所述附上的配件，并包括A部分所制造并用于連接物資運(yùn)作的專門裝置。附件可能被從圖表A中被刪掉也可能加到

6、里面去，公司單方面可隨時自行更換他們的規(guī)格和設(shè)計，要向乙方郵寄書面通知。每個更換，在書面通知發(fā)送給分銷商的15天后生效。“Accessories”meanstheaccessoriesdescribedinExhibitAattachedhereto,andincludesanyspecialdevicesmanufacturedbyPartAandusedinconnectionwiththeoperationoftheGoods.AccessoriesmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybec

7、hangedbyCompanyatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoPartB.Eachchangeshallbecomeeffective15daysfollowingthedatenoticethereofissenttoDistributor.“Affiliatemeans”anycompanycontrolledby,controlling,orundercommoncontrolwithCompany.“加盟是指”操縱的任何公司，操縱，或與公司共同操縱。Affiliatemeansanyper

13、dtothisagreement.“展覽”是指該協(xié)議所附的展覽?！癊xhibit”meansanexhibitattachedtothisagreement.“Goods”meansthoseitemsdescribedinExhibitA.GoodsmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyCompanyatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoDistributor.“物資”是指圖表A中的產(chǎn)

14、品.圖表A中的產(chǎn)品能夠增加或減少。A表中的任何產(chǎn)品和附件的變化都要以書面形式告知乙方。每個變更在通明白分銷商15天后方可生效。“Goods”meansthoseitemsdescribedinExhibitA.GoodsmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyCompanyatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoDistributor.Eachchangeshallbecomeeffecti

17、約Appointment如果有任何第三方(除乙方和其所屬公司)向甲方求購產(chǎn)品，甲方需將求購信息轉(zhuǎn)給乙方處理。IfPartyAoranyAffiliateiscontactedbyanypartyinquiringaboutthepurchaseofProductsintheTerritory(otherthanPartyBorapartydesignatedbyPartyB),PartyAshall,orshallcausethatAffiliateto,refersuchpartytoPartyBforhandling.IfPartyAoranyAffiliateiscontactedbya

19、下，不得在其代理區(qū)外的地點(diǎn)銷售第6條所列的產(chǎn)品。PartyBdeclaresthatitshallnotsellPartyAproductsoutsideterritoryoutlinedinArticle6withoutapermissionofPartyA.Products產(chǎn)品ProductsLEDLIGHTINGPRODUCTS:LEDtubelight,LEDbulblight,LEDdownlight,LEDStripLight,etcproducedbyPartyA.TheexactlistofproductsisattachedtothisAgreementasExhibitA.

20、GoodsmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyPartyAatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoPartyB.Eachchangeshallbecomeeffective15daysfollowingthedatenoticethereofissent.LED照明產(chǎn)品：發(fā)光管燈，LED燈泡燈，LED筒燈，LED燈條燈，等由甲方的產(chǎn)品。產(chǎn)品名稱已例于表A。甲方能夠更換產(chǎn)品的設(shè)計和規(guī)格。任

21、何改動需以書面形式告知乙方。甲方發(fā)出通知15天后方可生效。LEDLIGHTINGPRODUCTS:LEDtubelight,LEDbulblight,LEDdownlight,LEDStripLight,etcproducedbyPartyA.TheexactlistofproductsisattachedtothisAgreementasExhibitA.GoodsmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyPartyAatitssolediscretionatanytimebym

23、uresordistributes,orproposestomanufactureorTerritory領(lǐng)土TerritoryAuthorizedDealerdistrict:CentralEurope(theterritoryofHungary,Poland,Slovakia,Romania,CheczRepublic).授權(quán)經(jīng)銷商區(qū)：中歐(匈牙利，波蘭，斯洛伐克，羅馬尼亞，捷克共和國的領(lǐng)土)。乙方在合約期內(nèi)在些地區(qū)銷售。不能在合約外的地區(qū)銷售。Andcan'tsolicitordersinthemarketwitAuthorizedDealerdistrict:CentralEur

24、ope(theterritoryofHungary,Poland,Slovakia,Romania,CheczRepublic).PartBdevelopscustomersinthisappointeddistrictduringagreementperiod.Andcantsolicitordersinthemarketwithoutappointment.Term長期TermThisAgreementshallbecomeeffectiveasofthedatehereofuponexecutionbyanofficerorotherauthorizedrepresentativeofP

25、artAandbyanauthorizedrepresentativeofPartBandshallremainineffectforoneyearthereafter,thefirst6monthsofwhichistheassessmentperiod.Inthisperiod,ifPartBcantreachsalestargetspecifiedinArticle0,PartAhastherighttocancelthisAgreementbysendingawrittennoticetoPartB.IfPartAdoesnotsendawrittennoticeofcancellat

26、ionwithin15daysfromtheendoftheassessmentperiod,theAgreementshouldstayvalidforthewholeoneyearperiod.Upontheexpirationofthiscontract,bothpartsnegotiateforrenewingorcancelingofthecontract.Inthesameconditions,PartBhasthepriorityofrenewcontract.IfPartBmeetstheSalestargetsoutlinedinArticle0,PartAcancancel

27、thisAgreementbeforeitcomestotermonlyinthefollowingcases:IfDistributorshallfileorhavefiledagainstitapetitioninbankruptcyorinsolvencyorifDistributorshallmakeanassignmentforbenefitofitscreditorsofifDistributor'sviabilityasagoingconcernshould,inManufacturer'sjudgment,becomeimpaired;如果經(jīng)銷商應(yīng)提交的文件或反

28、對在破產(chǎn)或無力償債或經(jīng)銷商應(yīng)作出對債權(quán)人的利益分配的一份請愿書，如果分銷商作為一個連續(xù)經(jīng)營上的可行性，在制造商的判定，成為受損;IfDistributorshallfileorhavefiledagainstitapetitioninbankruptcyorinsolvencyorifDistributorshallmakeanassignmentforbenefitofitscreditorsofifDistributor'sviabilityasagoingconcernshould,inManufacturer'sjudgment,becomeimpaired;ifDis

29、tributordegradesandplacesinbadreputethenameandreputationofManufacturerexpresslyorbyvirtueofitsmethodsofhandlingand/orpromotingtheProducts;如果發(fā)行降解并在惡劣的地點(diǎn)聲譽(yù)的名稱和制造商的聲譽(yù)明示或它的處理方法和美德/或推廣產(chǎn)品;ifDistributordegradesandplacesinbadreputethenameandreputationofManufacturerexpresslyorbyvirtueofitsmethodsofhandlingan

30、d/orpromotingtheProducts;ifDistributorfailstomeetanyotherofitsobligationshereunder;如果分銷商不能滿足其任何本協(xié)議的其他義務(wù);ifDistributorfailstomeetanyotherofitsobligationshereunder;PartBhastherighttocancelthisAgreementanytimebysendingwrittennoticetoPartA30dayspriorofthetimeofcancellation.乙方有權(quán)取消發(fā)送書面通知之前，部分取消的30天時刻，阿本協(xié)議

31、的任何時刻。PartBhastherighttocancelthisAgreementanytimebysendingwrittennoticetoPartA30dayspriorofthetimeofcancellation.Salestarget銷售目標(biāo)SalestargetInthefirst6monthsaftertheagreementissigned(assessmentperiod),salesvolumeshouldbeUSD350,000.00(thereisnominimumsalesvolumemonthly).BatchdeliveryisallowedbypartyB

32、onlyifthisdoesnotcauseanydelayintheshippmentofanyordersaffected.在頭6個月后，協(xié)議簽署(評估期)，銷售額應(yīng)該350,000.00美元(沒有最低銷售量每月)。批量交付乙方時保證可不能導(dǎo)致任何延誤和空運(yùn)受阻礙的任何命令。Inthefirst6monthsaftertheagreementissigned(assessmentperiod),salesvolumeshouldbeUSD350,000.00(thereisnominimumsalesvolumemonthly).BatchdeliveryisallowedbypartyB

35、letotheProducts.CompanyshallgivewrittennoticetoDistributorofanypricechangeatleast15dayspriortotheeffectivedatethereof.ThepriceineffectasofthedateofDistributor'sreceiptofnoticeofsuchpricechangeshallremainapplicabletoallordersreceivedbyCompanypriortothateffectivedate.Thepricelist（whichalreadyconta

36、insthe3%discount）ispartofthisAgreementasExhibitB.9.2. Duringtheagreementperiod,ifpartAchangesthepricelist,PartAshouldcompensatePartBasfollows:9.2。因價格變動，甲方賠償給乙方的部分如下：9.2. 39、od),ifpartBmeetstheSalestarget(inArtice6)andalsoreachesthetargetforthewholeyear,PartyAshallpayPartyB2%oftotalaggregateamountoftheinvoicevalueagainsttheshipmentseffectedasbonus.10.2在首個6月(評估期間)，如果乙方因不可抗力或者專門因素，不能完成銷售目標(biāo)，然而雙方通過商量后，仍舊連續(xù)合作，甲方仍需付給乙方發(fā)票總金額的2%(除運(yùn)費(fèi))，作為獎金，前提條件是，乙方完成了整年的銷售目標(biāo)。10.2. Ifinthefirst6m

40、onths(assessmentperiod)PartBcantmeetthesalestargetbecauseofsomeunavoidableandspecialfactors,howeverbothpartiesstillcontinuethecontractafternegotiating,PartAshallstillpayPartB2%oftotalaggregateamountoftheinvoicevalueagainsttheshipmentseffectedasbonuswiththepreconditionofPartyBmeetsthetargetedsalesvol

41、umeforthewholeyear.配售及訂單確認(rèn)PlacingandConfirmationofOrders每一個訂單中的產(chǎn)品，是協(xié)議中的產(chǎn)品的，同時對所交付的產(chǎn)品進(jìn)行進(jìn)一步的描述，包括產(chǎn)品的型號和數(shù)量。EachorderforProductsissuedbyPartBtoPartAunderthisAgreementshallidentifythatitisanorderandshallfurthersetforththedescription(productnumber)andquantityofProductswhicharetobedelivered.乙方依據(jù)此條款和條件提交訂單給

42、甲方，此銷售訂單形成的合同應(yīng)該自動生效。在適用范疇內(nèi)，此條款和條件將受限于協(xié)議中預(yù)定的條款和條件，將不受限于任何沖突和附加條款，包括任何的與此有關(guān)的交換文件。TheindividualcontractsforthesaleofProductsformedbyPartB'ssubmissionoforderstoPartApursuanttothetermsandconditionshereofshallautomaticallyincorporate,totheextentapplicable,thetermsandconditionshereof,shallbesubjectonly

43、tothosetermsandconditions(togetherwithalltermsinorderswhicharecontemplatedbythisAgreement)andshallnotbesubjecttoanyconflictingoradditionaltermsincludedinanydocumentsexchangedinconnectiontherewith.訂單應(yīng)該是書面的。收到訂單后，甲方評定訂單，要在兩個工作日內(nèi)發(fā)送訂單的是書面確認(rèn)信息，包括訂單的估量發(fā)貨時刻。甲方有責(zé)任承諾交期，如果拖延，甲方必須付給乙方因拖延造成的額外費(fèi)用(在第XX條款VisMaioro

44、ulined除外)包裝Packing甲方需要按照甲方的標(biāo)準(zhǔn)包裝程序，自費(fèi)包裝產(chǎn)品。包裝必須適于運(yùn)輸。然而,如果乙方要求更換包裝，甲方要按照要求修改，乙方將承擔(dān)甲方合理的，因按B要求修改，超出的費(fèi)用。PartAshall,atitsexpense,packallProductsinaccordancewithPartAsstandardpackingprocedure,whichshallbesuitabletopermitshipmentoftheProductstotheTerritory;provided,however,thatifPartBrequestsamodificationof

45、thoseprocedures,PartAshallmaketherequestedmodificationandPartBshallbearanyreasonableexpensesincurredbyPartAincomplyingwithsuchmodifiedprocedureswhichareinexcessoftheexpenseswhichPartAwouldhaveincurredinfollowingitsstandardprocedures.交付：標(biāo)題和缺失的風(fēng)險Delivery:titleandriskofloss所有按照雙方協(xié)議的產(chǎn)品交付，需要按照FOB深圳。交貨點(diǎn)，嘜

46、頭和。父貨點(diǎn)，暖頭和從甲方到乙方的風(fēng)險。在這點(diǎn)上，乙方有責(zé)任安排產(chǎn)品的運(yùn)輸，然而如果乙方要求甲方，協(xié)助B安排，甲方應(yīng)該同意。乙方也要安排運(yùn)輸途中的保險，而這些保險從裝運(yùn)港就開始生效的。在那個事件中，甲方需按要求協(xié)助乙方完成運(yùn)輸，乙方給甲方報銷所有產(chǎn)生的合理費(fèi)用，包括，但不限于保險，運(yùn)輸，裝貨，卸貨，處理和儲存。乙方需付所有的費(fèi)用，包括關(guān)稅，營業(yè)稅，物資交付承運(yùn)人或者貨代的費(fèi)用。在甲方接到物資的5天內(nèi)，A或B簽署的貨代應(yīng)該發(fā)送關(guān)于任何損害的書面通知，甲方將在第一時候內(nèi)給乙方交換物資.否則，甲方將認(rèn)為乙方差不多同意了該物資。AlldeliveriesofProductssoldbyPartAtoP

47、artBpursuanttothisAgreementshallbemadeF.O.BShenzhen.theDeliveryPoint,andtitletoandriskoflossofProductsshallpassfromPartAtoPartBatthatPoint.PartBshallberesponsibleforarrangingalltransportationofProducts,butifrequestedbyPartB,PartAshall,atPartB'sexpense,assistPartBinmakingsucharrangements.PartBsha

48、llalsoprocureinsuranceforthetransportationoftheProducts,andsuchinsuranceshallbeofakindandontermscurrentattheportofshipment.IntheeventthatPartAisrequestedtoassistPartBinarrangingfortransportation,PartBshallreimbursePartAforallcostsapplicabletotheProductsfollowingtheirdeliverytoPartB,including,without

49、limitation,insurance,transportation,loadingandunloading,handlingandstorage.PartBshallpayallcharges,includingcustomsdutyandsalestax,incurredwithrespecttotheProductsfollowingtheirDeliverytothecarrierorforwarder.IftheshippingagentisconsignedbyPartA,PartBshouldsendwrittennoticeaboutanydamagetoPartAwithi

50、n5daysafterreceivingthecargo.PartAwillexchangethegoodsinfirsttimetoPartB.OtherwisePartAwilldeemPartBhasacceptedthecargo.驗收Inspectionandacceptance及時收到物資后，經(jīng)銷商需要檢查物資以確認(rèn)是否所有的產(chǎn)品，在運(yùn)輸途中有缺陷，或者損害。在接到物資的5天內(nèi)，經(jīng)銷商需要以書面的形式通知公司，是否有短缺，缺陷或者損害。經(jīng)銷商需聲明這些情形是在運(yùn)輸途中造成的。在收到通知的5天內(nèi)，公司需要調(diào)查那個聲明，通知經(jīng)銷商他的調(diào)查結(jié)果，向經(jīng)銷商提供產(chǎn)品，取代所有在運(yùn)輸途中因勞動

51、力短缺，缺失和損害所造成產(chǎn)品。PromptlyuponthereceiptofashipmentofProducts,Distributorshallexaminetheshipmenttodeterminewhetheranyitemoritemsincludedintheshipmentareinshortsupply,defectiveordamaged.Within5daysofreceiptoftheshipment,DistributorshallnotifyCompanyinwritingofanyshortages,defectsordamagewhichDistributor
