2、:*Legalrepresentative:*Position:GeneralManagerNationality:China甲、乙方代表通過(guò)友好協(xié)商2013年3月6日簽訂。ThecontractisherebyconcludedbybothpartiesthroughfriendlynegotiationonMarch6th,2013.第一條總則1.GeneralProvisions1. 甲方負(fù)責(zé)負(fù)責(zé)提供項(xiàng)目(鋼琴組裝)，乙方公司負(fù)責(zé)提供勞務(wù)。(1) PartyAshalloffertheproject(Pianoassembly),PartyBshallofferlaborforce(Em

3、ployee).2. 本合同自簽字之日起生效，直至雙方間全部遺留問(wèn)題，包括財(cái)務(wù)問(wèn)題處理完畢之日止。3. )Thecontractshallbevalidsincethedateofsignatureandwillterminateuntilallremainingproblemssolved,includingthefinancialproblems.第二條人員2 Employee乙方公司“提供人數(shù)、派遣日期和工作期限，為本項(xiàng)目派出其授權(quán)代表、各類技術(shù)人員、工人、管理和服務(wù)人員(以下簡(jiǎn)稱“人員”)。PartyBshalloffernumberofthepeople,dispatchdatean

4、dworkingtermandshalldispatchtheauthorizedrepresentative,technicians,workers,managementandservicepeople(hereafterreferasemployee)(1) 人員離境之前如需變更時(shí)，甲方應(yīng)將變更內(nèi)容提前一個(gè)月書面通知乙方，如甲方變更計(jì)劃未能及時(shí)通知乙方公司，而乙方公司已按計(jì)劃集中人員和訂購(gòu)機(jī)票，甲方應(yīng)負(fù)擔(dān)因此造成的損失。(1)PartyAshallnotifyPartyBonemonthearlierforthechangesonemployeebeforetheyleavechina.I

5、fPartyAfailtoinformPartyBandPartyBbookflightticketsaccordingtoplanfortheemployee.PartyAshallcompensatethelostforit.(2) 人員工作期限期滿之前，如需終止雇傭，甲方應(yīng)在終止雇傭之日前_1_個(gè)月書面通知乙方。(2)IfPartyArequirestoterminateemploymentbeforelaborcontractexpiration.TheyshallinformPartyBonemonthearlierinwrittennotice.第三條簽證和其他證件3 Visaan

6、dothercertificate1. 乙方應(yīng)按中國(guó)政府的有關(guān)規(guī)定辦理人員出入中國(guó)國(guó)境的一切必要手續(xù)，并承擔(dān)其費(fèi)用。PartyBshallhandleallnecessaryproceduresofExit-EntryforemployeeinaccordancewithlawandregulationsofChineseGovernmentandbearthecharges.2. 甲方應(yīng)按項(xiàng)目所在國(guó)政府的有關(guān)規(guī)定辦理人員出入項(xiàng)目所在國(guó)及居留、工作許可證、等相關(guān)手續(xù)，并承擔(dān)費(fèi)用。PartyAshallhandleresidencepermit,workpermitandotherrelevan

7、tproceduresforemployeeinaccordancewithPartyAcountry'sregulationsandbearthecharges.3. 如果甲方未能為人員獲得在項(xiàng)目所在國(guó)的居留、工作許可證和相關(guān)手續(xù)，而使人員無(wú)法進(jìn)行工作，應(yīng)付給人員在此期間的合同工資。如人員因此被迫返國(guó)時(shí)，甲方應(yīng)負(fù)擔(dān)人員的回程旅費(fèi)，并支付每人_1_個(gè)月合同工資的賠償費(fèi)。3.1 fpartyAdidnotobtaintheresidencepermit,workpermitandrelevantprocedurestoresulttheemployeecannotwork.PartyAw

8、illpayemployeesalaryduringthisperiod.IftheemployeewasforcedtoreturnChinaforit.PartyAwillbearthereturningexpensesandpayeachemployeeonemonthsalaryascompensation.第四條乙方公司的義務(wù)4. PartyB'sobligations1. 符合雙方商定的技術(shù)條件；Employeeisqualifiedfortechnicalrequirementsagreeduponbytwoparties2. 遵守項(xiàng)目所在國(guó)的法律和法令，尊重當(dāng)?shù)仫L(fēng)俗習(xí)慣

9、；Employeeshouldabidebyworksitecountrylawsandregulationsandrespectlocalcustomsandhabits.3. 尊重甲方人員的技術(shù)指導(dǎo)；EmployeeshouldrespecttechnicalguidanceofPartyA4. 不參與項(xiàng)目所在國(guó)的任何政治活動(dòng)；Employeeshallnottotakepartinanypoliticalactivities.5. 遵守公司的規(guī)章制度；Employeeshallabidebycompanyrulesandregulations6. 與甲方為實(shí)施本項(xiàng)目而雇傭的其他國(guó)籍的人員

10、合作共事。6.EmployeecanworktogetherwithotherforeignersemployedbyPartyAforthementionedproject.第五條甲方的義務(wù)PartyA'sobligations1. 對(duì)人員給予正確的技術(shù)指導(dǎo)；PartyAshallprovidecorrecttechnicalguidancetoemployee2. 尊重人員的人格、風(fēng)俗和習(xí)慣；PartyAshallrespectemployeepersonality,customsandhabits.3. 不干涉人員在非工作時(shí)間的活動(dòng)自由；PartyAshallnotinterve

11、neemployeeactivitiesduringnonworkingtime.4. 保障人員的安全；PartyAshallguaranteeemployeesafety.5. 對(duì)人員的解雇和更換，應(yīng)由雙方的授權(quán)代表商定。Anydismissalandreplacementonemployeeshallbeconsultedbybothparty'srepresentatives.第六條；每天工作時(shí)間安排可由甲、乙方公司授權(quán)代表商定6. 12、ve.2.凡由于待料、停電、氣候惡劣等非人員的責(zé)任而造成的停工，應(yīng)計(jì)為工作時(shí)間，合同工資照付。Anyshut-downscausedbynomaterial,powercut,badweatherandothernonartificialfactorsshallbecountasworkingtimeandpaidasusual.第七條合同工資ContractSalary1.人員的月工資(包括伙食費(fèi))在本合同有效內(nèi)按以下標(biāo)準(zhǔn)支付(美元)：后付工資標(biāo)準(zhǔn)表。Employeemonthlysalary(includingfoodexpenses)shallbepaidbyUSDaccordingto

14、1)Ifnecessaryforwork,PartyAmay,onthebasisofnegotiationwithPartyBrepresentative,requestemployeeworknightshiftorovertime.2.夜間時(shí)間系指從當(dāng)日晚上9時(shí)至次日晨5時(shí)。人員夜間工作(指正常夜班工作)甲方應(yīng)按合同工資150%支付工資；人員夜間加班，甲方應(yīng)按合同工資200%支付加班費(fèi)。(2)Nightshifttimesfrom9:00PMtothesecondmorning5:00AM.Nightshift(Socialworkhoursatnight).PartyAshallpay

15、wages150%accordingtothecontractsalary.Forovertimeatnight,PartyAshallpaywages200%accordingtothecontractsalary.第九條工資支付9Remuneration乙方公司的授權(quán)代表應(yīng)按甲方提供的表格填寫工作時(shí)間和加班時(shí)間，編制工資單，在每月工資結(jié)算日即28日提前2天內(nèi)提交甲方的授權(quán)代表審核批準(zhǔn)。PartyBrepresentativeshallfillintheformofferedbyPartyAwithemployee'sworkingtimeandovertimeandsubmitto

17、ce1. 乙方為人員自其離開中國(guó)之日起至返抵中國(guó)之日止。在中國(guó)投保人身意外險(xiǎn)，保險(xiǎn)費(fèi)由雇主承擔(dān)。甲方應(yīng)隨同人員的月合同工資以美元一并向中國(guó)公司支付每人每月_保險(xiǎn)費(fèi)。1 .PartyBshallparticipateinaccidentinsuranceforemployeestartfromthedateofleavingchinaandendtothedateofthereturn.PartyAshallpayinsurancepremiumstogetherwithemployeesalarytoPartyBChinacompanyinUSDmonthly.2. 人員在中國(guó)投保人身意外險(xiǎn)后

18、，如經(jīng)甲方要求，乙方可向甲方提供必要的證明文件，以避免甲方為人員在項(xiàng)目所在國(guó)重復(fù)投保。AfteremployeeparticipateinpersonalaccidentinsuranceinChina.PartyBshalloffertherelevantinsurancecertificatestoPartyAiftheyrequire,inordertoavoidPartyAbuymultipleinsurance第十五條醫(yī)療和病假15.Medicaltreatmentandsicknessleaves1. 甲方應(yīng)為人員在整個(gè)合同期間因病或因工傷提供免費(fèi)醫(yī)療、藥品和住院治療。2. 人員在

19、合同期間如因病或因工傷死亡，甲方負(fù)責(zé)其遺體處理并承擔(dān)死者遺物運(yùn)回中國(guó)的費(fèi)用。1.PartyAshouldprovideemployeefreemedicalservice,medicineandHospitaltreatmentamongthecontractperiod.2.Iftheemployeeisdeadforillnessandworkinjury.PartyAisresponsibletodisposebodyandbearallsuspensetoshipbacktheremainstochina.第十七條生活和膳食設(shè)施1.甲方應(yīng)為人員免費(fèi)提供適宜的住房，；水、電、臥具、空調(diào)、

20、沐浴、衛(wèi)生、洗衣設(shè)備和用品。2.甲方應(yīng)向人員免費(fèi)提供廚房、餐廳、炊具、餐具、制冰機(jī)、電冰箱等用品。17LivinganddiningfacilitiesPartyAshouldsupplyemployeelivinghouse,water,electricity,bed,airconditioner,shower,sanitation,washingmachineandotherordinaryfacilities.PartyAshouldsupplyemployeethekithen,dining-room,cooker,tableware,icemachine,refrigeratoret

21、c.第十八條勞保用品及小工具Laborprotectionarticlesandtools1. 甲方應(yīng)為人員免費(fèi)提供一般勞保用品、以及辦公用品。2.甲方應(yīng)免費(fèi)向人員提供各工作所需工具。(1) .PartyAshouldprovideemployeeordinaryLaborprotectionandofficesuppliesinfree(2) .PartyAshouldprovideemployeeallrequiredworktoolsinfree第十九條保密1.乙方及其人員在執(zhí)行本合同期間對(duì)于本項(xiàng)目的一切資料及情況應(yīng)對(duì)第三者保守秘密。19.ConfidentialityDuringthevalidityperiodofthecontract,PartyBandtheemployeeshouldkeepthematerialsandinforma
