國際商標(biāo)許可協(xié)議

1、國際商標(biāo)許可協(xié)議本協(xié)議由_ 公司（以下稱為許可方）和_（以下稱為被許可方）于_年 _月_日簽訂。鑒于許可方擁有具有一定價(jià)值并經(jīng)注冊(cè)的商標(biāo)和服務(wù)標(biāo)志，且擁有并可出售其他如附文第一節(jié)所述的許可方財(cái)產(chǎn)，其中包括商標(biāo)。這一商標(biāo)在廣播或電視中經(jīng)常使用，并出現(xiàn)在各種促銷和廣告業(yè)務(wù)中，得到公眾的廣泛認(rèn)可，在公眾印象中與許可方有密切關(guān)系；鑒于被許可方意于在制造、出售、分銷產(chǎn)品時(shí)使用這一商標(biāo)；因此考慮到雙方的保證，達(dá)成如下協(xié)議：一、授與許可1產(chǎn)品根據(jù)以下規(guī)定的條款，許可方授與被許可方，被許可方接受單獨(dú)使用這一商標(biāo)的許可權(quán)力，且只在制造和出售、分銷以下產(chǎn)品時(shí)使用。_（加入產(chǎn)品描述）2地域許可協(xié)議只在_地區(qū)有效。被

2、許可方同意不在其他地區(qū)直接或間接使用或授權(quán)使用這一商標(biāo)，且不在知情的情況下向有意或有可能在其他地區(qū)出售協(xié)議下產(chǎn)品的第三者銷售該產(chǎn)品。3期限許可協(xié)議自 _日生效，如未提前終止，至_日期滿。若滿足協(xié)議條件，本協(xié)議期限每年自動(dòng)續(xù)展，直至最后一次續(xù)展終止于_年 12 月 31 日。始于 _年 12 月 31 日，本許可協(xié)議在每一期末自動(dòng)續(xù)展一年，到下一年的12 月 31 日止，除非一方在協(xié)議到期前 30 天以前書面通知另一方終止協(xié)議的執(zhí)行。二、付款方式1比例被許可方同意向許可方支付其或其附屬公司、子公司等出售協(xié)議產(chǎn)品的凈銷售額的_作為使用費(fèi)。凈銷售額指總銷售額減去數(shù)量折扣和利潤(rùn)，但不包括現(xiàn)金折扣和不可

3、收帳目折扣。在制造、出售或利用產(chǎn)品時(shí)的費(fèi)用均不可從被許可方應(yīng)支付的使用費(fèi)中折扣。被許可方同意如向其他許可方支付更高的使用費(fèi)或更高比例的許可使用費(fèi)，將自動(dòng)馬上適用于本協(xié)議。2最低限度使用費(fèi)被許可方同意向許可方支付最低限度使用費(fèi)_美元，作為對(duì)合同第一期應(yīng)支付使用費(fèi)的最低保證，上述最低限度使用費(fèi)將在第一期的最后一天或此前支付。在協(xié)議簽字時(shí)支付的預(yù)付款將不包括在內(nèi)。此最低限度使用費(fèi)在任何情況下都不會(huì)再歸還給被許可方。3定期報(bào)告第一批協(xié)議產(chǎn)品裝運(yùn)后，被許可方應(yīng)立即向許可方提供完整、精確的報(bào)告，說明被許可方在前一期售出的產(chǎn)品數(shù)量、概況、總銷售額、詳細(xì)列明的總銷售額折扣、凈銷售額及前一期中的利潤(rùn)。被許可方將

4、使用后附的，由許可方提供給其的報(bào)告樣本。無論被許可方在前一期中是否銷售了產(chǎn)品，均應(yīng)向許可方提供報(bào)告。4使用費(fèi)支付除上述最低使用費(fèi)以外的使用費(fèi)需在銷售期后_日交付，同時(shí)提交的還有上述要求的報(bào)告。許可方接受被許可方按協(xié)議要求提供的報(bào)告和使用費(fèi)（或兌現(xiàn)支付使用的支票）后，如發(fā)現(xiàn)報(bào)告或支付中有不一致或錯(cuò)誤，可以在任何時(shí)間提出質(zhì)疑，被許可方需及時(shí)改正、支付。支付應(yīng)用美元。在許可地內(nèi)的應(yīng)繳國內(nèi)稅由被許可方支付。三、專有權(quán)1除非許可方認(rèn)可在協(xié)議有效期內(nèi)不在協(xié)議有效區(qū)域內(nèi)再授與別人銷售第一節(jié)所述產(chǎn)品時(shí)使用這一商標(biāo)，本協(xié)議不限制許可方授與其他人使用這一商標(biāo)的權(quán)力。2協(xié)議規(guī)定如果許可方向被許可方提出購買第一節(jié)所述

5、產(chǎn)品，用于獎(jiǎng)勵(lì)、贈(zèng)給或其他促銷安排，被許可方有10 天時(shí)間決定是否同意。如果被許可方在10 天內(nèi)未接受這一要求，許可方有權(quán)通過其他生產(chǎn)者進(jìn)行獎(jiǎng)勵(lì)、贈(zèng)給或其他促銷安排。在這種情況下，當(dāng)其他生產(chǎn)者的價(jià)格比許可方向被許可方支付的高時(shí)，被許可方有 3 天時(shí)間去滿足生產(chǎn)者生產(chǎn)此種產(chǎn)品的要求。被許可方保證在未得到許可方書面同意前，不把協(xié)議產(chǎn)品與其他產(chǎn)品或服務(wù)一起作為獎(jiǎng)勵(lì)，不與其他作為獎(jiǎng)勵(lì)的產(chǎn)品或服務(wù)一起出售協(xié)議產(chǎn)品。四、信譽(yù)被許可方承認(rèn)與該商標(biāo)相關(guān)聯(lián)的信譽(yù)的價(jià)值，確認(rèn)這一商標(biāo)、相關(guān)權(quán)力及與該商標(biāo)相關(guān)聯(lián)的信譽(yù)只屬于許可方，這一商標(biāo)在公眾印象中有從屬的含義。五、許可方的所有權(quán)及許可方權(quán)利的保護(hù)1被許可方同意在

6、協(xié)議有效期內(nèi)及其后，不質(zhì)疑許可方就該商標(biāo)享有的所有權(quán)和其他權(quán)利，不質(zhì)疑本協(xié)議的有效性。如果許可方能及時(shí)收到索賠和訴訟的通知，許可方保護(hù)被許可方，使其不受僅由本協(xié)議所授權(quán)的商標(biāo)使用引起的索賠和訴訟的損害，許可方可選擇就這樣的訴訟進(jìn)行辯護(hù)。在未得到許可方的同意之前，不應(yīng)就這樣的索賠和訴訟達(dá)成解決辦法。2被許可方同意向許可方提供必要的幫助來保護(hù)許可方就該商標(biāo)擁有的權(quán)利。許可方根據(jù)自己的意愿，可以自己的名義、被許可方的名義或雙方的名義針對(duì)索賠和訴訟應(yīng)訴。被許可方在可知范圍內(nèi)將書面告知許可方就協(xié)議產(chǎn)品的商標(biāo)的侵權(quán)和仿制行為；只有許可方有權(quán)決定是否對(duì)這樣的侵權(quán)和仿制行為采取行動(dòng)。若事先未得到許可方的書面同

7、意，被許可方不應(yīng)就侵權(quán)和仿制行為提出訴訟或采取任何行動(dòng)。六、被許可方提供的保證及產(chǎn)品責(zé)任保險(xiǎn)被許可方負(fù)責(zé)為自己和或許可方就其非經(jīng)授權(quán)使用協(xié)議產(chǎn)品商標(biāo)、專利、工藝、設(shè)計(jì)思想、方法引起的索賠、訴訟或損失，就其他行為或產(chǎn)品瑕疵導(dǎo)致的索賠、訴或損失進(jìn)行辯護(hù)，并使許可方免受損失。被許可方將自己負(fù)擔(dān)費(fèi)用，向一家在 _地區(qū)有經(jīng)營資格的保險(xiǎn)公司承保產(chǎn)品責(zé)任險(xiǎn)，為許可方（同時(shí)也為被許可方）因產(chǎn)品瑕疵導(dǎo)致的索賠、訴訟或損失提供合理的保護(hù)。被許可方將向許可方提交以許可方為被保險(xiǎn)人的已付款保險(xiǎn)單，在此基礎(chǔ)上，許可方才能同意產(chǎn)品出售。如果對(duì)保險(xiǎn)單有所改動(dòng)，需事先得到許可方的同意。許可方有權(quán)要求被許可方向其提供新的保險(xiǎn)單

8、。許可方一詞包括其官員、董事、代理人、雇員、下屬和附屬機(jī)構(gòu)，名字被許可使用的人，包裝制造人，名字被許可使用的廣播、電視節(jié)目制作人，節(jié)目轉(zhuǎn)播臺(tái)，節(jié)目主辦者和其廣告代理，及這些人的官員、董事、代理人和雇員。七、商品質(zhì)量被許可方同意協(xié)議產(chǎn)品將符合高標(biāo)準(zhǔn)，其式樣、外觀和質(zhì)量將能發(fā)揮其最好效益，將保護(hù)并加強(qiáng)商標(biāo)名譽(yù)及其代表的信譽(yù)。同時(shí)協(xié)議產(chǎn)品的生產(chǎn)、出售、分銷將遵守適用的聯(lián)邦、州、地方法律，并不得影響許可方、其計(jì)劃及商標(biāo)本身的名聲。為了達(dá)到這一目標(biāo)，被許可方應(yīng)在出售協(xié)議產(chǎn)品之前，免費(fèi)寄給許可方一定量的產(chǎn)品樣品，其包裝紙箱、集裝箱和包裝材料，以取得許可方的書面同意。協(xié)議產(chǎn)品及其紙箱、集裝箱和包裝材料的質(zhì)量

9、和式樣需得到許可方的同意。向許可方提交的每份產(chǎn)品在得到其書面同意前不能視作通過。樣品按本節(jié)所述得到同意后，被許可方在未得到許可方的書面同意前不能做實(shí)質(zhì)變動(dòng)。而許可方除非提前60 天書面通知被許可方，不能撤銷其對(duì)樣品的同意。在被許可方開始出售協(xié)議產(chǎn)品后，應(yīng)許可方的要求，將免費(fèi)向許可方提供不超過 _件的隨機(jī)抽樣樣品及相關(guān)的紙箱、包裝箱和包裝材料。八、標(biāo)簽1被許可方同意在出售許可合同項(xiàng)下產(chǎn)品或在產(chǎn)品廣告、促銷和展示材料中將根據(jù)第一節(jié)附文中商標(biāo)權(quán)第五、六條的規(guī)定標(biāo)明注冊(cè)商標(biāo)_公司 _年，或其他許可方要求的標(biāo)志。如果產(chǎn)品、或其廣告、促銷、展示材料含有商標(biāo)或服務(wù)標(biāo)志，應(yīng)標(biāo)明注冊(cè)的法律通知及申請(qǐng)。如果產(chǎn)品在

10、市場(chǎng)出售時(shí)其包裝紙箱、集裝箱或包裝材料上帶有商標(biāo)，在上述物品上也應(yīng)標(biāo)明相應(yīng)標(biāo)志。被許可方在使用小牌、標(biāo)簽、標(biāo)記或其他標(biāo)志時(shí)，在廣告、促銷和展示材料中標(biāo)明商標(biāo)，需事先得到許可方的同意。許可方的同意不構(gòu)成此協(xié)議下許可方權(quán)力和被許可方責(zé)任的放棄。2被許可方同意與許可方真誠合作，確保和維護(hù)許可方（或許可方的授與人） 對(duì)商標(biāo)擁有的權(quán)力。 如果商標(biāo)、產(chǎn)品、相關(guān)材料事先未注冊(cè)，被許可方應(yīng)許可方的要求，由許可方承擔(dān)費(fèi)用，以許可方的名義對(duì)版權(quán)、商標(biāo)、服務(wù)標(biāo)志進(jìn)行恰當(dāng)注冊(cè)，或應(yīng)許可方的要求，以被許可方自己的名義注冊(cè)。但是，雙方確認(rèn)本協(xié)議不能視作向被許可方轉(zhuǎn)讓了任何與商標(biāo)有關(guān)的權(quán)利、所有權(quán)和利益。雙方確認(rèn)除根據(jù)本許

11、可協(xié)議，被許可方享有嚴(yán)格按協(xié)議使用商標(biāo)的權(quán)利外，其他相關(guān)權(quán)利都由許可方保留。被許可方同意協(xié)議終止或期滿時(shí)，將其已獲得的或在執(zhí)行協(xié)議項(xiàng)下行為而獲得的有關(guān)商標(biāo)的一切權(quán)利、權(quán)益、信譽(yù)、所有權(quán)等交回給許可方。被許可方將采取一切許可方要求的方式來完成上述行為。此種交回的權(quán)利范圍只能基于本協(xié)議或雙方的契約而產(chǎn)生。3被許可方同意其對(duì)商標(biāo)的使用不損害許可方的利益，而且不因?yàn)槠涫褂迷撋虡?biāo)而取得關(guān)于商標(biāo)的任何權(quán)利。九、促銷資料1在任何情況下，被許可方如果期望得到本協(xié)議產(chǎn)品的宣傳材料，那么生產(chǎn)該宣傳材料的成本和時(shí)間由被許可方承擔(dān)。所有涉及本協(xié)議商標(biāo)或其復(fù)制品的宣傳材料的產(chǎn)權(quán)應(yīng)歸被許可方所有，盡管該宣傳材料可能由被許

12、可方發(fā)明或使用，而許可方應(yīng)有權(quán)使用或?qū)⑵湓S可給其他方。2許可方有權(quán)，但沒有義務(wù)使用本協(xié)議商標(biāo)或被許可方的商標(biāo)，以使本協(xié)議商標(biāo)、許可方或被許可方或其項(xiàng)目能夠完滿或卓越。許可方?jīng)]有義務(wù)繼續(xù)在電臺(tái)或電視臺(tái)節(jié)目中宣傳本協(xié)議商標(biāo)或其數(shù)字、符號(hào)或設(shè)計(jì)等。3被許可方同意，在沒有得到許可方的事先書面批準(zhǔn)的情況下，不在電臺(tái)或電視臺(tái)作使用本協(xié)議商標(biāo)的產(chǎn)品的宣傳或廣告。許可方可以自由決定同意批準(zhǔn)或不批準(zhǔn)。十、分銷1被許可方同意將克盡勤勉，并且持續(xù)制造、分銷或銷售本協(xié)議產(chǎn)品，而且還將為此做出必要和適當(dāng)?shù)陌才拧?被許可方在沒有得到許可方的書面同意前，不得將本協(xié)議產(chǎn)品銷售給那些以取傭金為目的的、有可能將本協(xié)議產(chǎn)品當(dāng)作促銷

13、贈(zèng)品的、以促進(jìn)其搭售活動(dòng)目的的及銷售方式有問題的批發(fā)商、零售商、零售店及貿(mào)易商等。十一、會(huì)計(jì)記錄被許可方同意建立和保留所有有關(guān)本協(xié)議項(xiàng)下交易活動(dòng)的會(huì)計(jì)帳本和記錄。許可方或其全權(quán)代表有權(quán)在任何合理的時(shí)間內(nèi)查詢?cè)摃?huì)計(jì)帳本或記錄及其它所有與交易有關(guān)的、在被許可方控制之下的文件和資料。許可方或其全權(quán)代表為上述目的可摘錄其的內(nèi)容。應(yīng)許可方的要求，被許可方應(yīng)自行承擔(dān)費(fèi)用，將其至許可方提出要求之日止的所有銷售活動(dòng)情況， 包括數(shù)量、 規(guī)格、毛價(jià)格和凈價(jià)格等以獨(dú)立的、公開帳本方式，向被許可方提供一份詳細(xì)的會(huì)計(jì)報(bào)告申明。所有的會(huì)計(jì)帳本和記錄應(yīng)保留至本協(xié)議終止兩年之后。十二、破產(chǎn)、違約等1如果被許可方在達(dá)成協(xié)議后3

14、 個(gè)月內(nèi)未開始生產(chǎn)和銷售一定量的第一節(jié)所述的產(chǎn)品，或者3 個(gè)月后的某個(gè)月未銷售產(chǎn)品（或類產(chǎn)品），許可方在采取其他補(bǔ)償措施以外，可書面通知被許可方因其該月未生產(chǎn)銷售協(xié)議產(chǎn)品（或類產(chǎn)品）而終止合同。通知自許可方寄出之日起生效。2如果被許可方提出破產(chǎn)陳訴，或被判破產(chǎn)，或?qū)Ρ辉S可方提起破產(chǎn)訴狀，或被許可方無償還能力，或被許可方為其債權(quán)人的利益而轉(zhuǎn)讓，或依照破產(chǎn)法做出安排，或被許可方停止經(jīng)營，或有人接收其經(jīng)營，則此許可合同自動(dòng)終止。除非得到許可方書面表示的同意意見，被許可方、其接收者、代表、受托人、代理人、管理人、繼承人或被轉(zhuǎn)讓人無權(quán)出售、利用或以任何方式經(jīng)營協(xié)議產(chǎn)品，或相關(guān)的紙箱、集裝箱、包裝材料、廣

15、告、促銷和陳列材料。這是必須遵守的。3如果被許可方違反了本協(xié)議條款下的義務(wù)，許可方在提前10 天書面通知后有權(quán)終止合同，除非被許可方在 10 天內(nèi)對(duì)其違約行為做出全部補(bǔ)償，令許可方滿意。4根據(jù)第十二條所述條款，終止許可合同將不影響許可方對(duì)被許可方擁有的其他權(quán)利。當(dāng)協(xié)議終止時(shí)，基于銷售額的使用費(fèi)即刻到期需馬上支付，不能缺交最低限度使用費(fèi)，且最低限度使用費(fèi)將不返還。十三、競(jìng)爭(zhēng)產(chǎn)品如果協(xié)議第一節(jié)所述的產(chǎn)品與目前、今后生產(chǎn)的使用該商標(biāo)的產(chǎn)品，或其下屬、附屬機(jī)構(gòu)生產(chǎn)的使用該商標(biāo)的產(chǎn)品相矛盾，許可方有權(quán)終止協(xié)議。許可方書面通知被許可方后 30 天此通知生效。根據(jù)第十五條的條款，被許可方在協(xié)議終止后有 60

16、 天時(shí)間來處理手中的協(xié)議產(chǎn)品和在接到終止協(xié)議通知前正在生產(chǎn)的產(chǎn)品。然而，如果在60 天期間，對(duì)協(xié)議產(chǎn)品的終止有效，被許可方應(yīng)繳納的實(shí)際使用費(fèi)少于當(dāng)年的預(yù)付保證金，許可方將把簽約當(dāng)年已付的預(yù)付保證金與實(shí)際使用費(fèi)之間的差額退還給被許可方。上句所述的退還條款僅適用于第十三條規(guī)定的協(xié)議終止情況，而不影響除表述相矛盾的條款外其它所有條款的適用性。十四、最后報(bào)告在協(xié)議期滿前60 天內(nèi)，或收到終止通知的10 天以內(nèi)，或是在無需通知的協(xié)議終止情況下10 天以內(nèi)，被許可方應(yīng)向許可方出具一份報(bào)告以說明手中的和正在加工中的協(xié)議產(chǎn)品的數(shù)量和種類。許可方有權(quán)進(jìn)行實(shí)地盤存以確認(rèn)存貨情況和報(bào)告的準(zhǔn)確。若被許可方拒絕許可方的

17、核查，將失去處理存貨的權(quán)利。許可方保留其擁有的其他法律權(quán)利。十五、存貨處理協(xié)議根據(jù)第十二條的條款終止后，在被許可方已支付預(yù)付款和使用費(fèi)，并已按第二條要求提供報(bào)告的情況下，如協(xié)議中無另外規(guī)定，被許可方可以在收到終止協(xié)議通知后60 天內(nèi)處理其手中的和正在加工中的協(xié)議產(chǎn)品。合同到期后，或因被許可方未在產(chǎn)品，或其包裝紙箱、集裝箱、包裝材料和廣告、促銷、展示材料上加貼版權(quán)、商標(biāo)和服務(wù)標(biāo)志注冊(cè)標(biāo)簽，或因被許可方生產(chǎn)的產(chǎn)品的質(zhì)量、式樣不符合第七條所述許可方的要求，而導(dǎo)致協(xié)議終止，被許可方不得再生產(chǎn)、出售、處理任何協(xié)議產(chǎn)品。十六、協(xié)議終止或期滿的效果協(xié)議終止或期滿后，授與被許可方的一切權(quán)利即刻返還許可方。許可

18、方可自由地向他人轉(zhuǎn)讓在生產(chǎn)、出售、分銷協(xié)議產(chǎn)品過程中使用該商標(biāo)的權(quán)利。被許可方不得再使用該商標(biāo)，或直接、間接地涉及該商標(biāo)。除第十五條所述的情況外，被許可方不得在制造、出售、分銷其自己的產(chǎn)品時(shí)使用類似的商標(biāo)。十七、對(duì)許可方的補(bǔ)償1被許可方認(rèn)識(shí)到（除另有規(guī)定外） ，如果其在協(xié)議生效后 3 個(gè)月內(nèi)未開始生產(chǎn)、分銷一定量的協(xié)議產(chǎn)品，或在協(xié)議期內(nèi)未能持續(xù)地生產(chǎn)、分銷、出售協(xié)議產(chǎn)品，將立即導(dǎo)致許可方的損失。2被許可方認(rèn)識(shí)到（除另有規(guī)定外），如果在協(xié)議終止或期滿后，未能停止生產(chǎn)、出售、分銷協(xié)議產(chǎn)品，將導(dǎo)致許可方不可彌補(bǔ)的損失，并損害后繼被許可方的權(quán)利。被許可方認(rèn)識(shí)到，對(duì)此沒有恰當(dāng)?shù)姆裳a(bǔ)償。被許可方同意在此

19、情況下，許可方有權(quán)獲得衡平法上的救濟(jì)，對(duì)被許可方實(shí)施暫時(shí)或永久禁令，或?qū)嵤┢渌ㄍフJ(rèn)為公正、恰當(dāng)?shù)牟脹Q。3實(shí)施這些補(bǔ)償措施，不影響許可方在協(xié)議中規(guī)定享有的其他權(quán)利和補(bǔ)償。十八、無法執(zhí)行協(xié)議的原因若由于政府法規(guī)的變化，或因國家緊急狀態(tài)、戰(zhàn)爭(zhēng)狀態(tài)和其他無法控制的原因，一方無法執(zhí)行協(xié)議，書面通知對(duì)方原因和希望解除協(xié)議的意愿，則被許可方將被免除協(xié)議下的義務(wù)，本協(xié)議將終止，而基于銷售額的使用費(fèi)將立即到期應(yīng)付，最低限度使用費(fèi)將不會(huì)返還。十九、通知除非有更改地址的書面通知，所有的通知、報(bào)告、聲明及款項(xiàng)均應(yīng)寄至協(xié)議記載的雙方正式地址。郵寄日視作通知、報(bào)告等發(fā)出之日。二十、不允許合資企業(yè)根據(jù)本協(xié)議，雙方不應(yīng)組成

20、合伙人關(guān)系或合資企業(yè)。被許可方無權(quán)要求或限制許可方的行為。二十一、被許可方不得再行轉(zhuǎn)讓、許可本協(xié)議和協(xié)議下被許可方的權(quán)利、義務(wù)，未經(jīng)許可方書面同意，不得轉(zhuǎn)讓、抵押、再許可，不因法律的實(shí)施或被許可方的原因而受到阻礙。許可方可以進(jìn)行轉(zhuǎn)讓，但需向被許可方提供書面通知。二十二、無免責(zé)除非有雙方簽字的書面契約，本協(xié)議的任何條款不得被放棄或修改。本協(xié)議以外的陳述、允諾、保證、契約或許諾都不能代表雙方全部的共識(shí)。任一方不行使或延誤行使其協(xié)議下的權(quán)利，將不被視作對(duì)協(xié)議權(quán)利的放棄或修改。任一方可在適用法律允許的時(shí)間內(nèi)采取恰當(dāng)?shù)姆沙绦驈?qiáng)制行使權(quán)利。除了如第六條和第十二條的規(guī)定，被許可方和許可方以外的任何人、公司
