SHIPPING MARK:The Seller shall mark on each package with faceless paint the package num

5、ber, gross weight, net weight, measurement and the wordings: RIGHTSIDE UP, HANDLE WITH CARE, KEEP AWAY FROM MOISTUE, and the shipping mark.賣方應(yīng)在每件包裝箱上用不褪色的油漆刷上箱號(hào)、毛重、凈重、尺碼和“勿倒置”，“小心輕放”，“防潮”等字樣。5. INSURANCE:To be covered by the Seller for 110% (one hundred and ten percent) of total contract value against ALL Risks. 保險(xiǎn)：由賣方按合同價(jià)的 110%投保一切險(xiǎn)。9. PAYMENT:By T/T. The payment shall be effected after receipt the contract goods and the document st

DOCUMENT FOR PAYMENT:The seller shall present following documents to Buyer to effect the payment.1) Two copies of Commercial Invoice,2) Two copies of Packing List,3) Three copies of Certificates of Quality issued by manufacturer4) The relevant insurance policy wh

8、ich be covered 110% of the total contract value against ALL Risks.In case of by sea transportation, the seller shall send simultaneously with shipment one copy each of the above mentioned documents to LEGENDIMPORT & EXPORT CO. LTD. at the port of destination, and if by air transportation, the Se

9、ller shall fax the above mentioned documents to theBuyer within 12 hours after shipment.支付單據(jù)：賣方將向買方提供如下單據(jù)以履行支付。1)商業(yè)發(fā)票兩份；2)裝箱單兩份；3)制造商出具的質(zhì)量證明書一份。4) 按合同價(jià)的 110%投保一切險(xiǎn)的保險(xiǎn)單。 如果采用海運(yùn)，賣方在裝船的同時(shí)將如上單據(jù)各一份寄送給目的港的聯(lián)想進(jìn)出口有限公司；如果采用空運(yùn)，賣方在裝運(yùn)后 12 小時(shí)內(nèi)將上述單據(jù)傳真給買方。11. DATE OF SHIPPING:The date of Bill of Lading shall be rega

GUARANTEE OF QUALITY:The Seller guarantee that the commodity hereof is made of the best materials with first class workmanship brand new and unused, and complies inall respects with the quality and specifications stipulated in this Contrac

11、t.The guarantee period shall be 36 months counting from the date on which the commodity arrives at the port of destination, and/or counting from thedate on which the Acceptance Certificate has been signed by the representatives of both parties, if the acceptance of the commodity contracted arerequir

12、ed.1)質(zhì)量保證：賣方保證貨物采用最好的材料、一流的工藝，全新的、未使用過的，其質(zhì)量和規(guī)格與本合同的規(guī)定相符。 2)質(zhì)量保證期為：貨物運(yùn)抵目的港之日后36 個(gè)月或若合同規(guī)定驗(yàn)收貨物，從雙方代表簽署驗(yàn)收證明之日起計(jì)算 36 個(gè)月。13. INSPECTION:(1) Should the quality and specifications of the goods be not in conformity with the contract, or should the goods prove defective within theguarantee period stipulated i

13、n Clause 13 for any reason, including latent defect or the use of unsuitable materials, the Buyer shall arrange for asurvey to be carried out by the bureau and have the right to claim against the Seller on the strength of the Survey Report.(1)如貨物的質(zhì)量與規(guī)格與合同不符， 或在 13 條規(guī)定的保證期內(nèi)出現(xiàn)缺陷， 包括潛在或選用的材料不當(dāng)， 買方應(yīng)請(qǐng)商檢局

14、進(jìn)行檢驗(yàn)， 并有權(quán)根據(jù)商檢局出具的檢驗(yàn)報(bào)告向賣方索賠。14. CLAIMS:In case that the Seller are liable for the discrepancies and a claim is made by Buyer within the time-limit of inspection and quality guarantee periodas stipulated in Clause 13 and 14 of this Contract, the Seller shall settle the claim upon the agreement of the

15、Buyers in one or the combination of thefollowing ways:(1) Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contracted herein , andto bear all direct losses and expenses in connection therewith including interest accrued, banking

16、charges, freight, insurance premium, inspectioncharges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goods.(2) Devalue the goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyers

17、.(3) Replace the defective goods with new ones which conform to the specifications, quality, and performance as stipulated in this Contract, andbear all the expenses and direct losses sustained by the Buyers. The Seller shall, at the same time, guarantee the quality of replaced goods asspecified in

18、Clause 13 of this Contract counting from the date on which the replaced goods arrive at the port of destination.The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after receiving the Buyers claim. 索賠：買方按照本合同 13 條和 14 條的規(guī)定，在檢驗(yàn)或質(zhì)量保證期內(nèi)提出的索賠，其問題應(yīng)由賣

19、方負(fù)責(zé)時(shí)，賣方在取得買方同意后 應(yīng)按下列之一或混合的方式處理索賠。(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、 保險(xiǎn)費(fèi)用、商檢費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi)。(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。(3)更換新部件，此部件應(yīng)符合合同規(guī)定規(guī)格、質(zhì)量和性能，并承擔(dān)因此發(fā)生的買方遭受的一切直接損失和費(fèi)用。對(duì)于所更換的貨物 的質(zhì)量賣方仍應(yīng)按本合同 13 條的規(guī)定予以保證，保證期從所換貨物到達(dá)目的港之日算起。賣方在收到買方的索賠 30 天內(nèi)沒有答復(fù)將被認(rèn)為接受上述索賠。15. FORCE MAJEURE:The se

20、ller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure , such as war , serious fire ,flood , typhoon and earthquake , or other events agreed upon between both parties , which might occur during the process of manufacturing or inthe course of lo

21、ading or transit . The Seller shall advise the Buyer by cable/telex immediately of the occurrence mentioned above and withinfourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Competent GovernmentAuthorities, where the acciden

22、t occurs as evidence thereof. Under such circumstances the Seller, however , are still under the obligation to take allnecessary measures to hasten the delivery of the goods . 不可抗力：由于嚴(yán)重的火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震以及雙方同意的其它不可抗力事故，致使賣方交貨延遲或不能交貨時(shí)，賣方可不負(fù) 責(zé)任，但發(fā)生上述事故時(shí)， 賣方應(yīng)立即以電傳或電報(bào)通知買方， 并于事故發(fā)生后 14 天內(nèi)將事故發(fā)生地主管當(dāng)局出具的事故證明書用 航空寄

23、交買方 ,依不可抗力事件之輕重 , 一部或全部免除合同責(zé)任。16. ARBITRATION:All disputes in connection with this Contract or the execution there of shall be stetted friendly through negotiations. In case no settlement can bereached, the case may then be submitted for arbitration to China International Economic and Trade Arbitrat

24、ion Commission in accordance with theRules of Arbitration promulgated by the said Arbitration Commission. The Arbitration shall take place in Shenzhen and the decision of the ArbitrationCommission shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to
