2、llows:甲乙雙方根據(jù)本合同所列條文，以及同意此合同受法律約束的情況下，一致達(dá)成協(xié)議如下：1. Itemofservice服務(wù)內(nèi)容The“Servicehereinreferredto,istheconsulting,maintaining,repairingandimprovingforthearmoredcar.TheimprovingforbulletproofgradecoversB1-B6.本合同所指的服務(wù)，是指對(duì)裝甲車的維修、改造及咨詢服務(wù)，改造內(nèi)容為針對(duì)B1-B6級(jí)的防彈改造。UponrequestbythePartyB,thePartyAshallkeepthePartyBi

3、nformedabouttheapplications,features,andspecificationsintheareaofArmoredcarastheymaybroadenorchangefromtimetotimeaswellasbeavailableforassistinginqualitycontrolissues.應(yīng)乙方要求，甲方應(yīng)隨時(shí)告知乙方有關(guān)運(yùn)鈔車領(lǐng)域的應(yīng)用、特點(diǎn)和規(guī)格，因?yàn)榇祟愋畔⒖赡懿粫r(shí)地?cái)U(kuò)大或改變，同時(shí)有助于質(zhì)量控制。2. Competition競(jìng)爭(zhēng)ThePartyArepresentstothePartyBthatdoesnothaveanyAgreemento

4、rContracttoprovideconsultingservicestoanyotherparty,firm,orcompanyintheArmoredcarindustryonmattersrelatingtothescopeofthisconsultancy,andwillnotenterintoanysuchAgreementorContractduringthetermofthisContract.ThepartyBacknowledgesandagrees,however,thatnothinginthisContractshallaffecttheobligationofPar

5、tyA,orresearchonbehalfof,thePartyAoranycomponentofThePartyA,including,butnotlimitedto,obligationsorresearchofthePartyAinconnectionwithatransferbythePartyAofmaterialsorintellectualpropertydevelopedinwholeorinpartbythePartyA,orinconnectionwithresearchcollaborations.甲方向乙方保證甲方不會(huì)在此咨詢范圍內(nèi)沒(méi)有任何協(xié)議或合同向運(yùn)鈔車行業(yè)的任何

6、一方、公司提供咨詢服務(wù)，并在此合同期限內(nèi)也不會(huì)簽署此類協(xié)議或合同。乙方認(rèn)可并同意，然而，此協(xié)議沒(méi)有任何條款能改變顧問(wèn)方對(duì)其任何組成部分的義務(wù)或代表甲方及其任何組成部分進(jìn)行的研究，包括但不限于，由甲方全部或部分開(kāi)發(fā)的知識(shí)產(chǎn)權(quán)或材料或和研究合作有關(guān)的轉(zhuǎn)讓。3. PriceandPaymentTerms價(jià)格及支付條約PartyBagreestopaytheamountofservicefeesforthefixedtermofserviceaslistedbelowtoPartyA.乙方同意按合同注明的服務(wù)期間支付甲方如下服務(wù)費(fèi)用。TotalAmount:43,884USD合同總金額：43,884美

7、元SAYUSDOLLARFORTYTHREETHOUSANDANDEIGHTHUNDREDEIGHTYFOURONLY.4.Breachofcontract違約規(guī)定IntheeventthateitherpartybreachesanyprovisionoftheContractthatresultsintheotherpartyincurringeconomiclosses,thepartyinbreachshallbeliabletocompensatetheotherpartyforthecorrespondingeconomiclosses.任何一方因違反本合同的任何條款導(dǎo)致對(duì)方蒙受經(jīng)

8、濟(jì)損失的，違約一方應(yīng)有義務(wù)賠償對(duì)方相關(guān)經(jīng)濟(jì)損失。5. JurisdictionandLawsuit司法訴訟ThisContractisconstructedandtobeexecutedandinterpretedbythelawsofthePeoplesRepublicofChina.本合同的訂立、執(zhí)行和解釋均適用中華人民共和國(guó)法律。Anycontroversyorclaimarisinghereunderthatcannotberesolvedbythepartiesthemselves,shallbesettledbyarbitrationinChina,任何不能由雙方自行解決的爭(zhēng)議和索

9、賠，應(yīng)在中國(guó)仲裁解決。Anyawardrenderedthereonshallbeinwritingandshallbefinalandbindingonthepartiesandjudgmentmaybeenteredthereoninanycourtofcompetentjurisdiction.Eachpartyshallbearitsowncostsandexpensesinconnectionwiththearbitrationandthecostsandexpensesofthearbitratorsshallbeborneasdeterminedbythearbitrator.任

10、何由以上所述仲裁作出的裁決將為最終裁決并對(duì)雙方均具有約束力，任何擁有司法管轄權(quán)的法院均可依法執(zhí)行。雙方應(yīng)自行承擔(dān)與仲裁相關(guān)費(fèi)用，仲裁費(fèi)由仲裁庭決定。6. ForceMajeure不可抗力Theeffectedpartyshallnotifytheotherpartyofthecasesofforcemajeureoccurredbytelexorcableassoonaspossibleandshallsendbyregisteredairmail,within20daysthereafter,acertificateissuedbytheauthoritiesordepartmentscon

11、cernedtotheotherpartyforconfirmation.受不可抗力影響的方應(yīng)盡快將發(fā)生不可抗力事故的情況以電傳或電報(bào)通知對(duì)方，并于其后二十天內(nèi)以航空掛號(hào)信件將有權(quán)證明的機(jī)構(gòu)出具的證明文件提交給另一方進(jìn)行確認(rèn)。Shouldtheeffectoftheforcemajeurecaseslastformorethan100days,bothpartiesshallsettletheproblemoffurtherexecutionoftheContractthroughfriendlyconsultationsassoonaspossible.如不可抗力時(shí)間影響持續(xù)超過(guò)100天，則

12、雙方應(yīng)盡快通過(guò)友好協(xié)商解決合同的執(zhí)行問(wèn)題。7. Confidentiality保密條款Exceptasexpresslysetforthherein,thepartiesshallmaintaininconfidencetheConfidentialInformationoftheotherside.ThepartiesshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherside.除非本合同有明確規(guī)定，合同任何一方應(yīng)對(duì)對(duì)方的機(jī)密信息進(jìn)行保密，未經(jīng)對(duì)方書(shū)面

13、許可不得將此類機(jī)密信息透露給第三方。BothpartiesshallabidebythetermsofConfidentialityinthisContractandhaveobligationtomaintaintheConfidentialInformationaftertheterminationoftheContract.TheobligationshallendonlyupontheconsentoftheothersideoronlyifthedisclosureoftheConfidentialInformationwillnotcauseanylossoftheothersid

14、e.雙方應(yīng)遵守本合同中的保密條款，并且在本合同終止之后，各方仍需遵守本合同之保密條款，履行其所承諾的保密義務(wù)，直到對(duì)方同意其解除此項(xiàng)義務(wù)，或事實(shí)上不會(huì)因違反本合同的保密條款而給對(duì)方造成任何形式的損害為止。8. EffectivenessoftheContract合同的效力ThisContractcommencesonthedatewhenPartyAreceivestheContractdulysignedandaffixedwiththeSubscribercompanychop.本合同在甲方收到簽署者已妥善簽署并蓋上印章的合同當(dāng)日正式生9.
