2、ws:第一條定義De巾nition1 .交易對象”指與達成交易或合作意向的公司、 組織或個人， 包括但不限于上下游供應商、客戶、中介機構、合資合營方等；以及受上述對象委托，或者代表、代理上述對象與洽談交易、合作的公司、組織或個人?！癈ounterparty“indicatesanykindofcorporation,organizationorindividualortheirrepresentative,agentordeputymakingtransactionswith,includingbutnotlimitedtothesuppliers,clientsorcustomers,coo

3、perativesuppliers,contractors,servicesuppliers,intermediaries,jointcorporationandpartners,regardlessofsuccessfullycooperatingornot.2 .關聯(lián)人員”指中直接或間接與交易對象商洽交易條件、簽署合同、履行合同或可直接、間接影響到上述交易達成或執(zhí)行的人員，包括但不限于董事、經(jīng)理等高級管理人員以及參與交易決策和執(zhí)行的相關人員。“AssociatedPersonsindicatesthedirectorsorstaffofwhodirectlyorindirectlycons

5、specialinterestpersonsandrelativesoftheAssociatedPersons,suchastheirspouses,parents,offspring,brothersandsisters.4 .不正當利益”指在商業(yè)活動中，違反法律、法規(guī)或政策規(guī)定，非法給予或收受現(xiàn)金、實物及其他利益，包括但不限于回扣、禮物、禮金、禮品卡（券）（如會員卡、消費卡、購物卡）、有價證券、干股、紅利或提供旅游、度假或獲取其他優(yōu)惠條件、機會等任何不正當利益?！癠njustBene巾treferstoanykindofpecuniarybenefit,materialbenefitan

7、ment.第二條交易對象保證UndertakingsofCounterparty1 .嚴格遵守法律、法規(guī)和政策規(guī)定，確保廉潔從業(yè)。Strictlycomplywiththeapplicablelaws,regulationsandrelevantprovisionsofworkwithoutcorruption.2 .不向關聯(lián)人員或其關系人許諾、給予任何形式的賄賂或輸送不正當利益等。Nottoofferand/orgiveAssociatedPersonsortheirRelatedPersonsofanykindofbribery,UnjustBenefit,etc.3 .不以任何形式為關聯(lián)

8、人員或其關系人謀取私利，包括但不限于以下行為：NeverseekpersonaladvantageforAssociatedPersonsortheirRelatedPersonsofPENAVICOS,includingbutnotlimitedtothefollowings:(1)為關聯(lián)人員或其關系人報銷各類費用；ToreimburseexpensesforAssociatedPersonsortheirRelatedPersonsofthatshouldbepaidbythemselves;(2)為關聯(lián)人員或其關系人投資入股、個人借款或買賣股票、債券等提供方便；Toprovideconv

9、enienceforAssociatedPersonsortheirRelatedPersonsoffortheirinvestmentonshares,personalloansorstockandbondtransactionsetc.;(3)為關聯(lián)人員或其關系人購買或裝修住房、婚喪嫁娶、配偶子女上學或工作安排以及出國(境)、旅游等提供方便；ToprovideconvenienceforAssociatedPersonsortheirRelatedPersonsofforhousepurchaseordecoration,weddingsorfunerals,ortheworking,st

10、udying,goingabroadoftheirspousesandchildrenortravelingetc.;(4)為關聯(lián)人員或其關系人安排任何健身、娛樂活動；Toarrangejunketing,fitnessoranyotherentertainmentsforAssociatedPersonsortheirRelatedPersonsof;(5)為關聯(lián)人員或其關系人購置或提供通訊工具、交通工具和辦公用品、生活用品等；Topurchaseorprovidecommunicationtools,transportationvehicles,officesuppliesandlivin

11、gequipmentforAssociatedPersonsortheirRelatedPersonsof;(6)為關聯(lián)人員或其關系人的配偶、子女及其他親屬、特殊利益關系人謀取不正當利益提供方便；Toprovideconvenienceforthespouses,children,otherrelativesandspecialinterestpersonsofAssociatedPersonsortheirRelatedPersonsof forgettingUnjustBenefit;(7)以洽談工作、簽訂經(jīng)濟合同為名，提供關聯(lián)人員或其關系人外出旅游、考察等給付財物以外的其他利益。Toen

12、tertainAssociatedPersonsortheirRelatedPhenameofbusinessnegotiationsorcontractsigning.4 .不安排、不允許關聯(lián)人員或其關系人在交易對象或相關企業(yè)任職或領取報酬。NottoarrangeorpermitAssociatedPersonsortheirRelatedPersonsoftoholdaconcurrentpostinorreceivewagesorsalaryfromtheCounterpartys

13、enterpriseoirelatedenterprisesoftheCounterpartyrelatedenterprisesand/orreceivewagesorsalary.5 .交易對象承諾及相關主管部門在對涉嫌商業(yè)賄賂的行為進行調(diào)查時，提供一切必要的便利和協(xié)助，并積極配合調(diào)查的開展。Whenandrelevantgoverningauthoritiesinvestigateoncorruptedbusiness,theCounterpartypromisestoprovideallnecessaryconvenienceandassistanceforsuchinvestigat

14、ion,andshallcooperateactivelytotestifyorprovidethestatementandevidence.6 .交易對象的股東、 合伙人、 董事或高級管理人員與關聯(lián)人員或其關系人無親屬關系； 交易對象的股東、合伙人、董事均不存在與履行本合同相沖突的經(jīng)濟利益或其他利益；若有，交易對象應事先以書面的形式告知。Thestockholders,partners,boardmembersorcompanyofficersoftheCounterpartyshallhavenokinshipwithAssociatedPersonsortheirRelatedPerso

15、nsof;noneoftheowners,partners,shareholders,directorsoftheCounterpartyhasanyfinancialoranyotherinterestwhichwouldinanymannerordegreebeinconflictwiththeperformanceofthisAgreement;otherwise,theCounterpartyshalldisclosesuchfacttoinwrittenformonorbeforetheenteringintothiscontract.7 .交易對象承諾不以不正當方式誘使人員離職或做

16、出違背職務的行為，不以任何方式聘任、承諾聘任或邀請關聯(lián)人員及其關系人加入交易對象；不利用非法手段向人員打探涉及的商業(yè)秘密、業(yè)務渠道等。TheCounterpartyguaranteesnottoinstigateorinduceanystaffsoftoresignorcontravenehis/herduty,andnottoemployorpromisetoemployAssociatedPersonsandtheirRelatedPersonsoforinvitethemtojointheCounterpartybyanymeans;nottoinquireaboutthebusines

17、ssecrets,channels,etc.using川egalmeans.第三條違約責任ResponsibilitiesforBreakingPromise1 .交易對象有違反上述承諾的行為，有權解除雙方之間簽署的任何合同、訂單等，并由交易對象承擔由此給雙方造成的一切損失，包括直接和間接損失。OncetheCounterpartybreachestheundertakingshereunder,isentitledtoterminateanycontractsorordersetc.betweentheparties,andtheCounterpartyshallberesponsiblet

18、ocompensateanyandalllossessufferedinclusiveofdirectandindirectlosses.2 .若交易對象有任何違反本條款的行為，交易對象除應將由此獲取的不正當利益全部返還外，并對由此造成的一切損失承擔全部賠償責任。ForanykindofnoncompliancewiththisclausebytheCounterparty,theCounterpartyshallundertaketocompensateallthelossesthusincurredby,returnallUnjustBenefitsthusobtainedbytheCou

19、nterpartyto.交易對象依照本條款應當支付給的賠償金和違約金，有權從應付交易對象任何款項中直接扣除，不足部分由交易對象在收到付款通知之日起5日內(nèi)支付。ForthecompensationandliquidateddamagestobepaidbytheCounterpartyinaccordancewiththisclause,isentitledtodeductdirectlyfromanypaymenttotheCounterparty,andtheinsufficientpart(ifany)willbepaidbytheCounterpartywithin5dayssinceandafterreceivingthenoticefrom.3 .交易對象及其人員違反本條款的行為，涉嫌犯罪的，將移交司法機關追究刑事責任。有權將交易對象加入黑名單，在公司內(nèi)部進行通報，并有權限制或禁止下屬公司與之開展交易等。IfnoncomplianceoftheCounterpartyanditsstaffissuspectedt
