1、SERIESBPREFERREDSHAREPURCHASEAGREEMENT系列優(yōu)先股股權(quán)購(gòu)買協(xié)議WITNESSETH:WHEREAS,theBoardofDirectorsoftheCompany(the"Board")hasdeterminedthatitisinthebestinterestsoftheCompanytoraiseadditionalcapitalbymeansoftheissuanceofoXXXXoftheCompany'sSeriesBPreferredShares,parvalueNIS0.01pershare(the"Pre

2、ferredBShares"),totheInvestor,atapriceperShareofUS(the"PPS"),andanaggregatepurchasepriceofXXUSDollars(the"InvestmentAmount"),asmorefullysetforthinthisAgreement;and鑒于，出于公司利益的考慮，公司董事會(huì)決定通過(guò)向投資方發(fā)行XXX股B系列優(yōu)先股來(lái)為公司籌集額外資本，票面價(jià)值為NIS0.01，每股XXX美元,購(gòu)買價(jià)格總計(jì)XXX美元(以下簡(jiǎn)稱”投資總額”)，如下文所示；WHEREAS,theI

10、ghtstoacquiresharesorsecuritiesexchangeableorconvertibleforsharesoftheCompany,beingdeemedsoallocated,exercisedandconverted,and(vi)alloptionsreservedfor(includinganyunallocatedoptionpool)and/orallocatedforissuancetoemployees,consultants,officers,serviceprovidersordirectorsoftheCompanypursuanttoanycur

11、rentshareoptionplans,agreementsorarrangementsheretofore,priortotheClosing,approvedbytheBoardoftheCompany(the"ESOPPool")deemedconvertedand/orgrantedand/orexercised.“全面攤薄基礎(chǔ)”代表公司已發(fā)行流通的股票.包括:1)所有的普通股,每股票面價(jià)值為NIS0.01;2)公司的A輪優(yōu)先股和B輪優(yōu)先股，每股票面價(jià)值為NIS0.01;3)所有被轉(zhuǎn)換為普通股的證券;4)所有可轉(zhuǎn)換貸款;5)被分配,行使和轉(zhuǎn)換的所有期權(quán)，許可證或可

12、取得可轉(zhuǎn)換股票的其他權(quán)益;6)在交割前，由公司董事會(huì)批準(zhǔn)的、根據(jù)任何目前或未來(lái)激勵(lì)性股票期權(quán)計(jì)劃的協(xié)議或安排，為公司員工，顧問(wèn)，高級(jí)管理人員，服務(wù)提供商，董事所保留的或直接向其分配的可被轉(zhuǎn)化，授予，或行使的期權(quán).1.3.1.4.1.5.1.6. 15、金額應(yīng)分三期投資如下:1)在交割時(shí)應(yīng)投資xxxx美元(以下簡(jiǎn)稱”首期投資”)(根據(jù)第2章定義的“交割”的定義),作為對(duì)價(jià)，投資方將享有xxx輪優(yōu)先股(以下簡(jiǎn)稱”交割購(gòu)買的股票”).2)應(yīng)在交割日結(jié)束后的XX月內(nèi)投資60萬(wàn)美元(以下簡(jiǎn)稱”二期投資”),投資方將獲得xxxx股B輪優(yōu)先股(以下簡(jiǎn)稱”二期投資股票”);3)剩下的作為第三期投資應(yīng)于三期投資日支付,投資方可獲得XXXX優(yōu)先股(以下簡(jiǎn)稱”三期投資股票”)1.7.1.8.1.9.2.TheClosing.交割/結(jié)束TheclosingofthesaleandpurchaseofthePurchasedShares(the"Closing
