3、 解釋的順序如下：本合同、中標(biāo)通知書、投標(biāo)書及其附件、標(biāo)準(zhǔn)、規(guī)范及有關(guān)技術(shù)文件、圖紙、 工程量清單及工程報(bào)價(jià)單或預(yù)算書。合同履行中，發(fā)包人承包人有關(guān)工程的洽商、變更等書面 下一或文件視為本合同的組成部分。 This contract includes the contract itself, exhibits, construction drawings, explanations of work procedures, tender documents, as well as other documents specified by the contract. The contract do

4、cuments should be mutually explainable and mutually descriptive. The documents that constituted the contract and the priority hierarchy of explanations of the documents are as follows: this contract; the official letter of winning the tender; Letter of bidding and its annex, standards, guidelines, a

5、nd relevant technical documents, drawings, Bill of Quantity (BOQ), quotation of prices, and project budget. During the implementation of the contract, any written agreements or documents between two parties such as change-orders are also regarded will be deemed as part of this contract. 1.1.1 項(xiàng)目概況 P

All these aforementioned items are generally referred as “project” hereafter. 1.1.3.2 承包方式：乙方以包工包料，包工程質(zhì)量，包安全，包文明施工的方式承包工程 Nature of Contracting: Party B shall be responsible for both labor and materials for this project, a

10、nd will responsible for the quality of this project, safety, as well as code of conduct during the construction project. 1.1.4 甲方工地代表由甲方指派。 On-site representative of Party A shall be appointed by Party A 1.1.5 開工日期 xxxx Date of the project beginning: xxxx 1.1.6 竣工日期 xxxx Date of the project completi

11、on: xxxx 1.1.7 工程質(zhì)量：質(zhì)量合格，達(dá)到本合同要求和國家質(zhì)量驗(yàn)收標(biāo)準(zhǔn)，并確?？⒐を?yàn)收一次合格。 驗(yàn)收內(nèi)容包括但不僅限于：隱蔽工程；分項(xiàng)工程；實(shí)驗(yàn)報(bào)告；材料檢驗(yàn)報(bào)告。如果由 于驗(yàn)收未能一次通過而導(dǎo)致后續(xù)工程開工的延遲， 乙方將按照每日工程總款的 2金額賠償給甲 方作為罰金，但最多不超過工程總價(jià)款的 5%。 Quality of Project: The quality should be “Excellent”, and shall meet the requirements by this contract and the National Quality Standards,

12、and should be guaranteed to be accepted at the first attempt upon project completion, and shall also LEED certified. The scope of as-built acceptance includes, but not limit to: concealed work, itemized project, reports of2experiments, and reports of material testing. In the event of project fails t

13、o be accepted at the first inspection and thus incurs delays beginning of the subsequent projects. Party B shall compensate Party A at the daily rate of 2 of the total contract amount as penalty, bu t the total amount shall not exceed 5% of the total contract amount. 1.1.8 工程資質(zhì)：在實(shí)施此合同所涉及的工程時(shí)，乙方應(yīng)確保其具

14、有相關(guān)資質(zhì)。如乙方因?yàn)椴痪?備相關(guān)資質(zhì)導(dǎo)致甲方的損失或工程進(jìn)度的滯后，乙方承擔(dān)全部責(zé)任。 Qualifications: Party B represents and warrants it is competent and legitimate to carry out the services that set forth under this Agreement when implementing this contract. Party B shall be responsible for any delay of the construction induced by their i

15、nsufficient qualifications. 1.2 合同價(jià)款： Contract Amount 本合同價(jià)款為人民幣 xxxx，為固定總價(jià)合同價(jià)款。 The total contract amount is xxxx, which is fixed contract amount 本合同包括設(shè)備材料費(fèi)、人工費(fèi)、機(jī)械費(fèi)、管理費(fèi)、利潤、稅金、代辦費(fèi)用、保險(xiǎn)費(fèi)、運(yùn)輸費(fèi)、 勞務(wù)費(fèi)用、總承包服務(wù)費(fèi)以及為完成工程所必須的其他一切費(fèi)用，和工程各系統(tǒng)檢驗(yàn)檢測、安 裝調(diào)試等費(fèi)用。該款項(xiàng)為甲方應(yīng)付給乙方的全部費(fèi)用，并已經(jīng)包含物價(jià)變動因素。 This agreement includes the cost

16、 of equipment and materials, labor cost, machinery cost, management cost, profit, tax, government charges on behalf of Party A, insurance, transportation, labor, subcontract service fee, and all other cost for the completion of the project, as well as every system testing, installation, and commissi

This total contract amount is exact amount that Party A shall pay to Party B and it includes the fact of price fluctuation. 1.3 工程結(jié)算 Final Audit of project 1.3.1 本工程計(jì)價(jià)依據(jù) GB50500-2008建設(shè)工程工程量清單計(jì)價(jià)規(guī)范采用固定總價(jià)，除施工 期間甲方要求變更現(xiàn)有圖紙及發(fā)生的增減項(xiàng)洽商，甲方將作價(jià)格調(diào)整。 This project is using fixed total amount accordin

18、g to GB50500-2008 the Pricing Guidelines by Code of Quantity in Construction Projects, except that Party A may make price adjustment in the event of the existing construction drawings are changed or add or remove any construction work according to the request of Party A 1.3.2 所有的人工費(fèi)用都不得以任何理由進(jìn)行過調(diào)整，結(jié)算

19、時(shí)只接受投標(biāo)文件中約定的價(jià)格。 All labor cost shall NOT be adjusted in any event. Only the prices stimulated in the bidding documents are accepted at the final audit after completion. 1.3.3 因工程調(diào)整而產(chǎn)生的工程洽商，如洽商費(fèi)用超過人民幣五萬元整，則洽商文件必須在工程 中期驗(yàn)收當(dāng)日被提交給甲方，所產(chǎn)生的洽商費(fèi)用在交付中期款時(shí)一并核算結(jié)清。如洽商費(fèi)用低 于五萬元人民幣整，則洽商文件必須在工程驗(yàn)收當(dāng)日內(nèi)提交給甲方，所產(chǎn)生的費(fèi)用在交付工程 驗(yàn)

20、收款時(shí)一并核算結(jié)清。 If the cost of change orders are over RMB 50,000 Yuan, then all change orders issued because of the construction adjustments shall be submitted to Party A on the same day of the3construction mid-term check and acceptance, and the approved amount will be paid to Party B with the constructi

21、on mid-term payment; if the costs of the change orders are less than 50,000 Yuan, then all change orders issued because of the construction adjustments shall be submitted to Party A on the same day of the construction completion check and acceptance, and the approved amount will be paid to Party B w

22、ith the construction completion payment.第二條：政府批復(fù) Article 2 Government Approvals2.1 乙方負(fù)責(zé)協(xié)助甲方辦理此項(xiàng)施工需要辦理的所有政府報(bào)批，包括但不僅限于消防、環(huán)保的 報(bào)批與其他與本工程相關(guān)的報(bào)批，甲方負(fù)責(zé)政府行政審批的費(fèi)用。 Party B shall be responsible to process government approvals related to the project, including but not limited to: fire control, environment protec

23、tion and other approvals related to this Project. Party A is responsible for the costs of these approvals 2.2 乙方負(fù)責(zé)其工程報(bào)備 Party B shall be responsible for construction applications, approvals and related costs. 2.3 乙方應(yīng)承擔(dān) 2.2 所述報(bào)備不全而導(dǎo)致的政府罰金，并且不能順延工期。 Party B shall be responsible for any government fine

24、s due to incomplete approval processes, and should NOT cause delay in the construction period.第三條：甲方的權(quán)利和義務(wù) Article 3 Rights and Obligations of Party A3.1 向乙方提供經(jīng)確認(rèn)的施工圖紙或做法說明五份，并向乙方進(jìn)行現(xiàn)場交底，向乙方提供施工 所需要的水電設(shè)備，并說明使用注意事項(xiàng)。 Party A shall provide FIVE copies of confirmed construction drawings and explanations

25、of work procedures, and shall conduct technical clarification. Party A shall provide Party B with necessary water and power equipment and the instructions on using the equipment. 3.2 指派 xxxx 為甲方駐工地代表，負(fù)責(zé)合同的履行。對工程質(zhì)量、進(jìn)度進(jìn)行監(jiān)督檢查，辦理驗(yàn) 收、變更事宜。甲方的工地代表如果認(rèn)為乙方的某雇員行為不當(dāng)或散漫不羈，或甲方認(rèn)為該雇 員不能勝任，則乙方應(yīng)立即進(jìn)行撤換，并且未經(jīng)甲方實(shí)現(xiàn)書面許可，乙

26、方不得在施工中再行雇 傭該等人員。被撤換的任何人員應(yīng)盡可以能立即由甲方代表所批準(zhǔn)的勝任的人員代替。 Party A appoints xxxx as the on-site representative to supervise the fulfillment of contract obligations, to oversee the quality control and check the project progress, and to handle issues such as acceptance and variations. In the event of the on-si

27、te representative of Party A believes that any employee of Party B has improper conduct or misbehaviors, or if Party A consider such employee is not competent for the relevant work, Party B shall dismiss and replace this employee immediately; and unless having received consent by Party A in writing

28、in advance, Party B shall no longer hire the specified employee in the following phase of this project. Party B should make every effort to replace the dismissed employee with competent personnel authorized by on-site representative of Party A. 3.3 甲方按照付款約定向乙方支付工程款。 Party A should make payments to P

29、arty B according to the payment terms.43.4 如甲方認(rèn)為乙方確已無能力繼續(xù)履行合同的，則甲方有權(quán)解除合同，乙方必須在接到甲方 書面通知后兩周內(nèi)撤離場地以便乙方繼續(xù)施工。對乙方完成工程量的結(jié)算不作為撤離場地的條 件，結(jié)算應(yīng)在竣工一個(gè)月之內(nèi)完成，付款方式按照本合同條款。 In the event of Party A consider Party B is indeed unable to further fulfill its contract obligations, then Party A has the right to terminate the

30、 contract, and Party B should vacate the project site within two weeks after receiving Party As notice, so that Party A can resume construction as soon as possible. Confirmation of finished quantity shall NOT be regarded as a prerequisite to Party Bs vacation of the project site, and the confirmatio

31、n should be processed within one month after the project completion. Payment shall be made according to the payment terms in this contract. 3.5 甲方有權(quán)要求乙方按照甲方的組織設(shè)計(jì)和施工工期進(jìn)行施工，乙方如對甲方的要求和指令 不予執(zhí)行的，則按照乙方違約處理，乙方應(yīng)承擔(dān)違約責(zé)任。 Party A has the right to instruct Party B to do the construction according to Party As or

32、ganization and planned construction period; in the event of Party B ignores and refuses to observe Party As instructions, Party B will be deemed as breach of the contract, and Party B shall be held responsible for the liabilities of breaching the contract. 3.6 甲方有權(quán)要求乙方服從甲方的統(tǒng)一安排和管理，乙方的施工人員必須遵守各項(xiàng)規(guī)章制度。

33、 對于乙方施工人員違規(guī)操作所產(chǎn)生的后果，乙方承擔(dān)全部責(zé)任。甲方有權(quán)從工程總價(jià)款中扣除 相應(yīng)的款項(xiàng)。 Party A has the right to instruct Party B to observe the general arrangement and management by Party A, and the construction staffs of Party B must observe all rules and regulations. Party B shall be fully responsible for the consequences of such vio

34、lations by the staff of Party B. Party A has the right to directly deduct the corresponding amount from the total contract amount. 3.7 甲方所有的通知可以以書面或口頭形式發(fā)出，乙方接獲甲方的通知后應(yīng)根據(jù)通知規(guī)定的內(nèi) 容執(zhí)行。 All notices from Party A can be made both in writing and orally, but the oral instructions are only applicable to the re

35、presentative of Party A. Party B shall, upon receiving notices from Party A, execute the corresponding matters according to the content of the notices. 3.8 未經(jīng)甲方同意，乙方不得將工程轉(zhuǎn)讓或分包，對于乙方將工程擅自轉(zhuǎn)讓或分包的，甲方有 權(quán)解除合同，乙方必須接受并承擔(dān)由此造成的一切后果。 Party B shall NOT transfer or subcontract the project to any third party witho

36、ut the consent of Party A; in the event of Party B transfers or subcontracts the project to any third party without the consent of Party A, Party A has the right to terminate the contract, and Party B must accept and be responsible for any consequence of such violation. 3.9 甲方有權(quán)制定專業(yè)分包商，并按照乙方在投標(biāo)文件中承諾

37、的配合管理費(fèi)率向乙方支付配合 管理費(fèi)。 Party A has the right to appoint special sub-contractors, and shall pay the management fee to Party B according to the rate of subcontract management and coordination fee stipulated in the bidding documents 3.10 按照招標(biāo)文件中的相關(guān)條目，甲方有權(quán)自行采購材料供給乙方，并按照乙方在投標(biāo)文件的5相關(guān)條目中汲取人工費(fèi)、機(jī)械費(fèi)、輔助材料費(fèi)等向乙方支付費(fèi)用

38、。甲方?jīng)]有義務(wù)向乙方支付其 他費(fèi)用。 Party A has the right to purchase and provide Party B with materials on its own, and shall pay labor cost, machinery cost, and accessory cost to Party B according to the relevant terms in the bidding documents. Party A has no obligations to pay any other costs to Party B第四條：乙方的權(quán)利義

39、務(wù) Article 4 Rights and Obligations of Party B4.1 參加甲方組織的施工圖紙或做法說明的現(xiàn)場交底，擬定施工方案和進(jìn)度計(jì)劃，交由甲方審 定。施工過程中，乙方按照甲方的有關(guān)指示及修改變更要求進(jìn)行相應(yīng)調(diào)整。 Party B shall participate in the technical clarification on construction drawings and explanations of work procedures organized by Party A, and should develop the construction p

40、lan and the progress schedule for Party A to review. During construction, Party B should make such adjustment to the construction plan and the progress schedule per Party As instruction and change-orders. 4.2 指派 xxxx 為乙方駐工地代表，負(fù)責(zé)合同的履行，按照要求組織施工，保質(zhì)保量、按期完成 施工任務(wù)。解決由乙方負(fù)責(zé)的各項(xiàng)事宜。乙方駐工地代表在本公司的工作時(shí)間不得少于 90%工 作日。

41、 Party B appoints xxxx as the on-site representative of Party B to take charge of fulfilling the contract obligations. The on-site representative of Party B shall organize the construction according to contract requirements so that the project can be completed according to the quality and quantity r

42、equirements and on a timely manner. The on-site representative of Party B shall work on the project site for no fewer than 90% of the total working days. 4.3 嚴(yán)格執(zhí)行施工規(guī)范、安全操作規(guī)程、防火安全規(guī)定、環(huán)境保護(hù)規(guī)定。嚴(yán)格按照圖紙或做法說 明進(jìn)行施工，做好各項(xiàng)質(zhì)量檢查記錄，參加竣工驗(yàn)收，編制竣工資料及工程結(jié)算。 Party B shall strictly observe construction guidelines, safety r

43、equirements, fire safety regulations, environment protection regulations and LEED requirements. Party B shall do the construction by strictly adhering to the construction drawings and explanations of work procedures, and shall effectively record each QA/QC inspection. Party B shall attend the comple

44、tion acceptance, and develop at-built submittals and final project audit. 4.4 根據(jù)甲方和設(shè)計(jì)方一致通過的設(shè)計(jì)圖紙進(jìn)行施工，遵從甲方工地代表和設(shè)計(jì)方的指示，如 乙方發(fā)現(xiàn)在工程標(biāo)準(zhǔn)和設(shè)計(jì)圖之間存在不一致時(shí)，應(yīng)以書面形式通知甲方和設(shè)計(jì)方。 Party B shall carry out the construction according to the design drawings agreed upon by both Party A and the designer, shall observe the instru

45、ctions of designer and the representative of Party A; in the event of Party B finds inconsistence between project standards and design drawings, Party B should inform the designer and Party A in writing. 4.5 遵守國家或地方政府及有關(guān)部門對施工現(xiàn)場管理的規(guī)定及甲方的規(guī)章制度，妥善保護(hù)好施 工現(xiàn)場周圍的建筑物、設(shè)備管線等不受損壞。做好施工現(xiàn)場保衛(wèi)、消防和垃圾消納等工作，處 理好由于施工帶來的擾

46、民問題及周圍單位（住戶）的關(guān)系；如果由于乙方導(dǎo)致任何設(shè)施、設(shè)備 或管道在工地內(nèi)外受損。將由乙方賠償損失。乙方負(fù)責(zé)與甲方的施工協(xié)調(diào)事項(xiàng)，并獨(dú)自完全承 擔(dān)所有相關(guān)責(zé)任。6Party B shall observe policies of on-site management by the state and local government authorities as well as Party As rules and regulations; Party B shall compensate for the losses to any facilities, equipment or pip

47、elines both inside and outside of the construction yard caused by party B. Party B shall be responsible for the coordination of construction issues with party A, and shall independently and fully assumes corresponding responsibilities. 任何原建筑物結(jié)構(gòu)的拆改或設(shè)備管道的挪移，乙方應(yīng)向甲方申報(bào)；在甲方批復(fù)前，不得擅自動 工。 Party B should repo

48、rt to party A of any demolition of or variation to any original building structure or re-position of equipment pipes; Party B will refrain from any such work prior to receiving Party As approval 4.7 乙方應(yīng)保護(hù)所有設(shè)備以及工程成品，并承擔(dān)竣工移交前所引起損壞的損失賠償。 Party B should protect all equipment and finished parts, and shal

49、l assume compensation responsibilities of any losses prior to completion hand-over. 4.8 乙方負(fù)責(zé)用擴(kuò)展保險(xiǎn)責(zé)任批單為與建筑物相關(guān)的工程以及工程所需的材料購買工程一切險(xiǎn)，乙方及乙方分包商（以下簡稱“分包商”）應(yīng)對工程進(jìn)行中自己或其他方的財(cái)產(chǎn)出資購買相應(yīng) 的保險(xiǎn)，這些財(cái)產(chǎn)包括：工棚，鐵架塔，腳手架，工具及其他的一些材料。 Party B shall purchase Construction All Risks Insurance for the project and required materials r

50、elated to the building structure by using extended coverage endorsement; during construction, Party B and its subcontractors (hereafter abbreviated as &subcontractors&) should purchase corresponding insurance for their own or other parties properties, such as temporary construction barracks, iron fr

51、ames and towers, scaffolding, utensils and other materials. 4.9 從工程開始至工程竣工驗(yàn)收報(bào)告上所列明的日期之日止，乙方應(yīng)全權(quán)負(fù)責(zé)整項(xiàng)工程。不管 任何原因?qū)е碌墓こ痰膿p壞，乙方負(fù)責(zé)修理還原，以使整個(gè)工程竣工時(shí)能完全依照合同要求以 及甲方工地代表的指示，狀況良好。 From the beginning of construction to the completion date stipulated by the as-built acceptance report, Party B will be fully responsible

52、 for the entire project. Party B shall fix and reinstate and damages to the project items regardless of the cause, so that the project shall be in good condition upon completion, according to the contract requirements and the instructions of Party As representative. 4.10 除非合同另有規(guī)定，乙方應(yīng)就下列事項(xiàng)獨(dú)自完全承擔(dān)如下賠償責(zé)

53、任，并確保甲方完全免責(zé)： 與因工程施工及維修而對人身造成的任何傷害或損害或?qū)ω?cái)產(chǎn)造成任何損害有關(guān)的所有損失及 權(quán)利要求。但在下列情形下的賠償或補(bǔ)償除外： Unless otherwise specified, Party B should independently and fully assume the following compensation liabilities, and exempt Party A from all liabilities: all injury and rights claims related to any personal injuries or pro

54、perty damage or loss as a result of the construction project, except for the following compensation or reimbursement: 4.10.1 工程或其任何部分永久性使用或占用工地。 Permanent use or occupation of land by the project or any part of the project. 4.10.2 甲方享有在任何土地上，下，里或穿越其施工的權(quán)利。 Party A has the right to traverse the constr

55、uction site from above, beneath, or inside the site.74.10.3 根據(jù)合同規(guī)定對財(cái)產(chǎn)的損傷或傷害是工程施工或維修之不可避免的后果時(shí)。 The property damage or loss is an inevitable loss caused by the construction or repair according to the contra requirements. 4.11 乙方保證施工現(xiàn)場清潔，符合環(huán)境衛(wèi)生管理的有關(guān)規(guī)定，交工前清理現(xiàn)場達(dá)到甲方要求， 如達(dá)不到甲方的要求，乙方承擔(dān)因自身違反規(guī)定造成的損失和罰款。 Party

56、 B shall keep the construction site clean and meet the regulations of environment sanitation, and make sure the condition of the site meets the requirements of Party A. If the condition of the construction site does NOT meet the requirements of Party A, Party B shall be responsible for any loss or f

57、ine as a result of its own violation of such regulations. 4.12 限。 Party B MUST adhere to the design requirements in the construction drawings, and must meet the requirements of construction guidelines. Party B shall be fully responsible for any cost of rework on construction mistakes as a result of

58、misunderstanding of the construction drawings or negligence, and shall NOT delay the completion of the project. 4.13 乙方應(yīng)與每位施工人員訂立務(wù)工合同，辦理合法務(wù)工證件并承擔(dān)費(fèi)用。 Party B should sign labor contract with all its construction staffs, and issue proper work Be responsible for the corresponding cost. 4.14 乙方應(yīng)每月按時(shí)向每位施工

59、人員發(fā)放工資，如果乙方未按規(guī)定發(fā)放工資而給甲方帶來的任 何損失，則乙方承擔(dān)完全賠償責(zé)任。 Party B should make salary/wages payment to all construction staffs in time on a monthly basis, and will be fully responsible for any liabilities caused by any loss or damage to Party A as a result of Party Bs failure to pay salaries and wages according t

60、o the requirements. 4.15 在履行本合同過程中如對任何第三人造成任何侵害和損失， 或違反任何相關(guān)國家法律法規(guī)， 乙方對其行為和行為后果承擔(dān)全部責(zé)任。 Party B shall take full responsibility for its actions or consequences caused by its actions which cause infractions to any third party and cause any violations to related state laws and regulations when implementi
