14、daysafterpresentingthedocument.質(zhì)量保證Guarantee賣(mài)方保證貨物采用最好的和未用過(guò)的全新材料，第一流的制造工藝制造，其成品規(guī)格和性能.與本合同相符。合同中產(chǎn)品質(zhì)保期為裝船日起6個(gè)月內(nèi)。質(zhì)保期內(nèi)如果買(mǎi)方按貨物的保質(zhì)條件保存和運(yùn)用，貨物仍出現(xiàn)問(wèn)題，賣(mài)方應(yīng)在接到通知后三天內(nèi)到達(dá)現(xiàn)場(chǎng)解決，如果確認(rèn)是貨物品質(zhì)問(wèn)題，賣(mài)方免費(fèi)更換或在征得買(mǎi)方同意的條件下做降價(jià)處理。TheSellersshallguaranteethatthecommodityismadeofthebestmaterials,withfirstclassworkmanship,brandnew,unuse

15、dandinconformitytoallrespectswiththequality,specificationandperformanceasstipulatedinthisContract.Thequality-guaranteedperiodforthesegoodsissixmonthsfromthegoodsontheboardofcarryingvessel.Ifanydiscrepancy(ies)arisinginconnectionwithgoodsstoredaccordingtotheSellersrequirementswithinitsquality-guarant

16、eeperiod,theSellersshallreachthefactorywithin3daysafterreceivingtheBuyersinformation.TheSellersshallgivefreereplacementorreducethepricewiththeBuyersconcessionuseifthequantityisbad.檢驗(yàn)和索賠Inspectionandclaim貨物到達(dá)目的港后，買(mǎi)方應(yīng)向國(guó)家進(jìn)出口檢驗(yàn)檢疫局的地方分支機(jī)構(gòu)(簡(jiǎn)稱(chēng)“檢驗(yàn)當(dāng)局”)申請(qǐng)對(duì)貨的品質(zhì)、規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)報(bào)告。如該局發(fā)現(xiàn)規(guī)格、數(shù)量，或二者有出入，除保險(xiǎn)公司或輪船公司

17、的責(zé)任外買(mǎi)方有權(quán)在貨物到達(dá)目的港后30天內(nèi)拒收該貨物或向賣(mài)方提出索賠。AfterarrivalofthegoodsattheportofdestinationtheBuyersshallapplytothelocalinspectionbranchofStateAdministrationforEntry-ExitInspectionandQuarantine(hereinafterreferredtoasthe“InspectionAuthorities”)forapreliminaryinspectioninrespectofthequalityspecificationsandquant

18、ity/weightofthegoodsandaSurveyReportshallbeissuedtherefore.IfdiscrepanciesarefoundbytheBureauregardingspecificationsorthequantityorboth,exceptwhentheresponsibilitiesliewithinsurancecompanyorshippingcompany,theBuyersshall,within30daysafterarrivalofthegoodsattheportdestination,havetherighttorejecttheg

19、oodsortoclaimagainsttheSeller.如貨物的質(zhì)量和規(guī)格與合同規(guī)定不符，買(mǎi)方將申請(qǐng)檢驗(yàn)當(dāng)局進(jìn)行檢驗(yàn)，并憑檢驗(yàn)報(bào)告有權(quán)向賣(mài)方索賠(包括換貨)。所有費(fèi)用(檢驗(yàn)費(fèi)、退貨和換貨的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)貯費(fèi)和裝卸費(fèi))均由賣(mài)方承擔(dān)。ShouldthequalityandspecificationsofthegoodsbenotinconformitywiththeContract,theBuyersshallarrangeforasurveytobecarriedoutbytheInspectionAuthoritiesandhavetherighttoclaimagainsttheSel

20、lerinaccordancewiththeSurveyReportforreplacementwithnewgoods,orforcompensation.Alltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandLoadingandunloadingcharges)shallbebornebythesellers.(3)如買(mǎi)方提出索賠后十五天內(nèi)賣(mài)方未予答復(fù)，則認(rèn)為賣(mài)方己接受索賠。Theclaimsmentio

21、nedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin15daysafterreceiptoftheBuyersclaim.人力不可抗拒ForceMajeure凡在制造或裝船運(yùn)輸過(guò)程中，因人力不可抗拒的事故，致使賣(mài)方推遲交貨或不能交貨時(shí)，賣(mài)方可不負(fù)責(zé)任，但發(fā)生上述事故時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方，并在十四日內(nèi)，給買(mǎi)方航寄一份主管當(dāng)局頒發(fā)的事故證明書(shū)。在此情況下，賣(mài)方仍有責(zé)任并立即采取一切必要的措施加速交貨。如果事故延續(xù)十周以上，買(mǎi)方有權(quán)撤銷(xiāo)合同，買(mǎi)賣(mài)雙方均不得互提索賠。賣(mài)方對(duì)于人力不可抗拒所造成的事故發(fā)生在買(mǎi)方未確認(rèn)以前

22、不得解除其責(zé)任。如果賣(mài)方不能取得出口許可證，不得作為人力不可抗拒。TheSellersshallnotberesponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysther

23、eaftertheSellersshouldsendbyairmailtotheBuyersacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsfor

24、morethantenweeks,theBuyershallhavetherighttocanceltheContract.Delayinshipmentornon-deliveryofthegoodsduetotheSellersfailuretoobtaintheexportlicencecannotberegardedasForceMajeure.仲裁Arbitration凡因執(zhí)行本合同所發(fā)生的或與本合同的關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決，如果協(xié)商.不能解決，應(yīng)提交北京中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該會(huì)仲裁程序.暫行規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。

25、仲裁費(fèi)用由敗訴方承擔(dān)。AlldisputesarisingfromtheexecutionoforinconnectionwiththisContractshallbesettledamicablythroughfriendlynegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTr

26、ade,Beijingforarbitration.Thearbitrationawardisfinalandbindinguponbothpartiesandthearbitrationfeeshallbebornebythelosingparty.延遲交貨和罰款Latedeliveryandpenalty若非因本合同所規(guī)定的人力不可抗拒的因素延遲交貨，賣(mài)方必須同意支付延遲罰款，罰款額每7天以合同總價(jià)0.5%計(jì)算，少于7天也以7天計(jì)算，但罰款總額不超過(guò)合同總價(jià)的5%。若賣(mài)方延遲交貨超過(guò)10周，買(mǎi)方有權(quán)取消合同，盡管合同取消，賣(mài)方仍須立即支付上述罰款。賣(mài)方應(yīng)負(fù)責(zé)由此造成的買(mǎi)方的經(jīng)濟(jì)損失。Sho

27、uldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinclause17ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Therateofpenaltyischargedat0.5%foreve

28、rysevendays,odddaylessthansevendaysshouldbecountedassevendays.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinlatedelivery.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract.TheBuyersshallhavetherighttocancelthecontractandtheSeller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerwithoutdelay.關(guān)稅及其他費(fèi)用Taxandotherexpenses:所有由于執(zhí)行本合同而發(fā)生的由中國(guó)政府根據(jù)生效的稅法向買(mǎi)方征收的稅項(xiàng)及發(fā)生在中國(guó)大陸境內(nèi)的一切費(fèi)用，均由買(mǎi)方負(fù)責(zé)繳付。所有由于執(zhí)行本合同而發(fā)生在中國(guó)大陸境外的稅項(xiàng)，由賣(mài)方負(fù)責(zé)繳付。但因賣(mài)方交單延期或單據(jù)不符影響到報(bào)關(guān)時(shí)間而產(chǎn)生的額外費(fèi)用，賣(mài)方必須承諾支付，如集裝箱疏港費(fèi)、堆存費(fèi)，報(bào)關(guān)滯報(bào)金等。AlltaxesarisinginsideChinacont
