1、 STORAGE AGREEMENT BETWEEN the Client and Ministorage Shanghai Warehousing Co., Ltd or its branches whose names, addresses, and descriptions are set forth in the “Storage Agreement” (along with these “Terms and Conditions”, the “ Storage Agreement”).本倉儲(chǔ)條款與條件 由客戶及倉儲(chǔ)有限公司簽訂,其姓名、辦公地址、詳情均載于隨附的倉儲(chǔ)協(xié)議(與本倉儲(chǔ)條款
2、與條件合稱為倉儲(chǔ)協(xié)議)。 WHEREAS, the parties hereby agree as follows: 鑒于協(xié)議各方特此商定如下:1) Definitions - “Access Hours” are the hours Ministorage permits the Client to access the Premises / Unit. “Client” is the part renting the Unit from Ministorage. “Contract Start Date” is the date upon which tenancy begins as s
3、pecified in the Agreement. “Contract End Date” is the date the contract ends. “Deposit” is the amount specified in the Agreement. “Due Date” occurs on the anniversary day of the Commencement Date when all prepaid rent has been used, provided that if such date does not exist in a given month, the Due
4、 Date shall be the first day of the following month. “Goods” is anything permissible the Client brings into the premises and stores in the Unit. “Monthly Rent” is the monthly rent sum specified in the Agreement. “PRC” is the Peoples Republic of China. “Premises” is Ministorages storage facility loca
5、ted at the address designated in the Agreement. “Total Rent” is the total Monthly Rent sum, including prepayment discounts, due and payable. “Prohibited Items” are those specified in clause 5 herein. “Unit” is the storage unit specified in the Agreement and any alternate storage unit Ministorage may

7、單元”指本協(xié)議規(guī)定的倉儲(chǔ)單元及迷你倉儲(chǔ)根據(jù)本協(xié)議第條指派的其他倉儲(chǔ)單 Right to Occupy - In consideration of the Client paying the Total Rent and observing the Agreement, Ministorage hereby grants the Client (but no other party) a license to occupy the Unit for the sole purpose of storing Goods from the Commencement Date until termina
8、ted in accordance with the provisions herein. For the avoidance of doubt, the Client hereby acknowledges and expressly agrees that nothing in the Agreement or these Terms and Conditions shall be construed so as to create any legal interest for the Client in the Premises or the Unit. The Agreement sh
9、all not create a tenancy nor confer upon the Client any tenancy rights and shall not constitute a landlord- tenant relationship.占用權(quán)鑒于客戶支付租金總額,且遵守本協(xié)議,迷你倉儲(chǔ)謹(jǐn)此授予客戶(而非其他方)許可,允許其自生效日期起占用本單元,僅用作存儲(chǔ)貨物之用,直至根據(jù)本協(xié)議條款協(xié)議終止之時(shí)。為免生疑問,客戶謹(jǐn)此承認(rèn)并明示同意,本協(xié)議或本條款與條件均不應(yīng)說明為客戶在該房屋或單元取得任何法律的專有權(quán)益。本協(xié)議不應(yīng)引致或授予客戶任何租用權(quán),亦不構(gòu)成房主-房客關(guān)系。 3) I
10、nspection - The Client confirms that it has viewed and inspected the Unit and has satisfied itself in all respects as to its volume, size, suitability, safety, security, and condition.檢查客戶應(yīng)確認(rèn),其已查看、檢查單元,對(duì)單元各方面均表示滿意,包括其容量、大小、適用性、安全性、安保及條件。 4) Access to the Unit - Ministorage reserves the right from ti
11、me to time to make and vary regulations (the “Regulations”) without advance notice concerning hours of access, general management, and security regarding the Unit and / or Premises, and the Client agrees to observe and abide by such Regulations. The Client shall have access to the Unit at any time d
12、uring the Access Hours. Ministorage reserves the right to change the Access Hours at any time without giving any prior notice. The Client shall not provide third parties access to the Premises or the Unit, except when the Client has given advanced written (by Authorized Client Email as indicated in
13、the specifications above) authorization to Ministorage for such third parties to enter or when such third parties accompany the Client at the time of a given visit. Ministorage may ask for proof of identity from the Client or any other person at any time (although Ministorage is not obliged to do so
14、) and Ministorage may refuse access to any person who is unable to provide satisfactory proof of identity. The Client shall be responsible for ensuring that the Unit is locked at all times. Ministorage shall not be responsible for locking any unlocked Unit. The Client shall permit Ministorage (and i
15、ts agents, employees, contractors, or authorized persons) to enter upon the Unit at all times and for all purposes, including without limitation to inspect, repair, maintain, and alter the Unit, or to ensure the Clients compliance and observance with the provisions herein. Ministorage reserves the r
16、ight to enter the Unit at any time without notifying the Client of same (and if necessary, breaking the lock to gain entry), for any of the following reasons:訪問單元迷你倉儲(chǔ)保留對(duì)關(guān)于單元和/或房屋訪問時(shí)間、綜合管理、安保方面的規(guī)定(“規(guī)定”)不時(shí)地進(jìn)行制定和修改的權(quán)利,而無需提前通知客戶,客戶同意遵守該等規(guī)定??蛻魬?yīng)有權(quán)在訪問時(shí)間的任何時(shí)間進(jìn)行訪問。迷你倉儲(chǔ)保留隨時(shí)修改訪問時(shí)間的權(quán)利,而無需提前通知客戶??蛻舨坏孟虻谌教峁┰L問房屋或單

19、ess in accordance with the Agreement, e. to prevent injury or damage to persons or property, or f. if Ministorage is of opinion that any of the above applies, for the purpose of ascertaining the same. The Client hereby agrees that Ministorage shall not in any way be liable or responsible to the Clie
20、nt for any loss or damage of whatever nature that may result from Ministorage taking action under this clause. In case the client authorizes Ministorage or its staff (by giving unit key or password) to enter the clients unit, the client shall never hold Ministorage or its staff responsible for any m
21、issing or damaged items and the client hold ultimate responsibility towards the stored items.a. 迷你倉儲(chǔ)認(rèn)為單元內(nèi)存在違禁物品,或違反本協(xié)議條款進(jìn)行使用;b. 中國警方、消防部門或政府要求迷你倉儲(chǔ)進(jìn)入;c. 迷你倉儲(chǔ)認(rèn)為緊急情況下需要進(jìn)入的;d. 根據(jù)本協(xié)議進(jìn)行訪問的;e. 為防止人身傷害或財(cái)產(chǎn)損失;f. 迷你倉儲(chǔ)認(rèn)為上述任何一項(xiàng)適用時(shí),為證實(shí)其存在而訪問的??蛻糁?jǐn)此同意,迷你倉儲(chǔ)根據(jù)本條款采取行動(dòng),給客戶造成任何性質(zhì)的損失、損害的,迷你倉儲(chǔ)不應(yīng)以任何方式負(fù)責(zé)或擔(dān)責(zé)。如客戶授權(quán)迷你倉儲(chǔ)或者其職工或員
22、工(給了鑰匙或者密碼)進(jìn)入客戶的倉庫,客戶未能因?yàn)槲锲穪G失或者損毀而追究迷你倉或者其職工或員工的責(zé)任,全部的責(zé)任由客戶自己承擔(dān)。 5) The Clients Obligation - The Client shall comply with the following: a. To give Ministorage formal written notice of any address or phone number change within 10 days of such change. b. To maintain the Unit and every part thereof in
23、 proper and rentable repair and condition. c. To inform Ministorage immediately of any damage to the Premises or Unit. d. To comply with the Regulations and the directions of any of Ministorages staff. e. Not to make, or permit, any alterations or additions to the Unit or Premises (including without
24、 limitation attaching fixtures or signs) without Ministorages advance written consent. f. Not to use the Unit for any purpose other than for self storage of Goods. g. Not to keep or store, or cause or permit to be stored, any of the following in the Unit: . a total value of Goods that exceeds the cl
25、ients insurance cover, not insured items (at all times all items must be insured by the client insurance cover and Ministorage may ask for proof of clients insurance) food or perishable goods, birds, fish, animals, or any other living creatures, explosives, combustible or flammable materials or liqu
26、ids (such as paint, petrol, fireworks, oil, gun powder, salt, kerosene, or cleaning solvents), arms, weapons, or ammunition, chemicals, radioactive materials, biological agents, toxic waste, asbestos or other materials of a dangerous nature, items that emit any fumes, smells, odors, audible noise, o
27、r vibration, illegal substances, drugs, or any item harmful to public order or safety, substances, items, or goods illegally obtained. Compressed gases, or Any other hazardous or dangerous materials or materials whose storage is subject to control by law. h. Not to do, cause, permit, or allow, anyth
28、ing in or upon the Unit and / or Premises, or any part thereof that may be or become: not to cause any obstruction or hindrance in the hallways, stairways, elevator, or any other portions of the Premises. i. Not to commit or permit any act that might cause Ministorage to be in breach of any covenant
29、 in its leases, contracts, or agreements. k. Not to smoke anywhere in the Premises.客戶義務(wù) 客戶應(yīng)遵守以下條款:a. 辦公地址或電話號(hào)碼變更的,在此等變更發(fā)生10(十)天內(nèi)以正式書面通知的形式告知迷你倉儲(chǔ)。b. 妥善維護(hù)單元及其各部分,使其處于良好適租條件。c. 房屋或單元如有損毀,應(yīng)立即告知迷你倉儲(chǔ)。d. 遵守規(guī)定及迷你倉儲(chǔ)職工或員工指示。e. 未經(jīng)迷你倉儲(chǔ)事先書面同意,不得對(duì)單元或房屋進(jìn)行改變、增補(bǔ),或允許該等行為的進(jìn)行(包括但不限于增添固定裝置或標(biāo)識(shí))。f. 不得將單元用于除儲(chǔ)存貨物以外的其他用途。g.不
30、得在單元內(nèi)保存、存儲(chǔ)或致使、允許存儲(chǔ)任何以下物品:. 所存物品總價(jià)值不得超過客戶參加保險(xiǎn)所覆蓋的最大值(確保所存物品必須由客戶參加保險(xiǎn)投保,迷你倉可以要求客戶提供保險(xiǎn)證明)并且、食品或易腐貨物、鳥類、魚類、動(dòng)物、或任何其他生物、爆炸物、可燃或易燃材料或液體(如油漆、汽油、煙花爆竹、石油、火藥、鹽、煤油、或清洗劑)、軍備、武器、彈藥、化學(xué)品、放射性物質(zhì)、生物制劑、有毒廢物、石棉或其他危險(xiǎn)材料、排放煙霧、臭味、氣味的物品、噪音或振動(dòng)、非法物質(zhì)、毒品、或危害公共秩序或安全的任何物品、或非法所得的物質(zhì)、物品或貨物。壓縮氣體、或任何其他有害或危險(xiǎn)材料,或法律管制存儲(chǔ)的材料。h. 不得實(shí)施、致使、允許、同
31、意單元和/或房屋之內(nèi)或之上或任何部分的任何物品成為:.過道、樓梯、電梯或房屋的任何位置的障礙或阻礙。i. 不得實(shí)施、允許可能造成迷你倉儲(chǔ)違反其租賃契約、協(xié)議或協(xié)議的行為。j. 不得在房屋內(nèi)任何地點(diǎn)吸煙。 6) Alternate Unit Ministorage may by giving 2 days written notice (per email) require the Client to move its Goods from one Unit to a similarly-sized (or larger) Unit that Ministorage designates. Mo
32、vement of the Clients Goods under this clause shall be at the Clients risk. If the Client does not arrange the movement of its goods by the time specified in the notice, Ministorage may enter the current Unit and arrange for the Goods to be moved. Any movement arranged by Ministorageshall be at the
33、Clients risk and expense (with Ministorage permitted to add such expenses to the Rent) If the Clients Goods are moved to an alternate Unit, the Agreement will be varied by the substitution of the alternate Unit number while otherwise continuing in full force in all respects subject to these Terms an
34、d Conditions.迷你倉儲(chǔ)可在發(fā)出書面通知(經(jīng)電子郵件)2(二)天后,要求客戶將貨物由一單元處移至迷你倉儲(chǔ)指派的大小相似(或更大的)的另一單元。根據(jù)此條規(guī)定,移動(dòng)貨物的風(fēng)險(xiǎn)由客戶自擔(dān)。客戶未按通知規(guī)定的時(shí)間移動(dòng)貨物的,迷你倉儲(chǔ)可進(jìn)入現(xiàn)有單元,安排貨物的移動(dòng)。迷你倉儲(chǔ)安排移動(dòng)貨物的,風(fēng)險(xiǎn)和費(fèi)用由客戶承擔(dān)(同意迷你倉儲(chǔ)將該等費(fèi)用計(jì)入租金)。客戶貨物移至備選單元的,本協(xié)議將單元號(hào)更換為備選單元號(hào),本協(xié)議其他條款根據(jù)本條款與條件在各個(gè)方面繼續(xù)保持其完整效力。 7) Rent - The Client shall pay Rent prior to the start of the lease.
35、 Rent payments shall be made prior to the Due Date without any deduction or setoff. Upon each Renewal (as defined in clause 13), the Monthly Rent shall be paid prior to the due date unless the Client agrees to prepay additional months. If the Client terminates the Agreement before its expiration, th
36、e Client forfeits any unused prepaid rent, and shall pay the entirety of any unpaid contractual sum.租金租期開始前,客戶應(yīng)支付租金。租金應(yīng)在到期日前全額支付,不得扣除、抵銷。續(xù)約時(shí)(按第13條規(guī)定),應(yīng)在到期日前支付月租,除非客戶同意預(yù)付額外月份租金。本協(xié)議到期前客戶終止協(xié)議的,客戶放棄任何未使用的預(yù)付租金,并全額支付未付協(xié)議金額。 8) Deposit - Upon executing the Agreement, the Client shall pay to Ministorage a d
37、eposit, which shall be returned to the Client (without interest) within 15 days of the termination of the Agreement provided that Ministorage shall be entitled todeduct there from any unpaid sums due it from the Client under the Agreement.押金自本協(xié)議簽訂起,客戶應(yīng)向迷你倉儲(chǔ)支付押金,本協(xié)議終止后15(十五)天內(nèi),該押金應(yīng)返還客戶(無息),但根據(jù)本協(xié)議,迷你倉
38、儲(chǔ)有權(quán)將其抵扣任何到期未付的金額。 9) Default in Payment of Rent If the Client fails to pay Rent on or before the Due Date (or any other payments due to Ministorage under the Agreement or these Terms and Conditions), Ministorage shall forthwith be entitled: a. to charge a late fee equal to 10% monthly interest (from
39、 the Due Date until such payment is made in full), b. to apply any fees, late charges to the deposit without prejudicing any of Ministorages other rights, c. to deny the Client access to the Premise, d. to over lock the Unit. Ministorage shall have a first lien on the Goods if the Client fails to pa
40、y any amounts due. If: a. any part of the Total Rent, administration charge, interest, or other sums due Ministorage is outstanding for more than 30 days after the date on which it is due (whether formally demanded or not), b. the Client neglects to observe or perform any of the provisions herein or
41、 of the Agreement, or c. the Client becomes bankrupt, insolvent, enters liquidation, or makes any arrangement with creditors, then Ministorage may undertake any or all of the following (in addition to its other rights reserved herein): a. terminate the Agreement b. charge the late fee, c. break the
42、existing lock(s) on the Unit, d. remove the Goods from the Unit to such alternative storage facilities as Ministorage may decide without incurring liability or loss or damage arising from such removal, e. demand reimbursement from the Client for the full cost or removing the Goods and storing elsewh
43、ere, along with any further costs should Ministorage move the Goods at any time thereafter f. treat the Goods as abandoned and destroy or otherwise dispose of them, and / or g. sell (by way of auction or private sale) and pass title of the Goods on behalf of the Client to purchaser(s). Ministorage m
44、ay retain the proceeds of any such sale and apply them to discharge any outstanding amounts owed by the Client. If such proceeds are insufficient to discharge the full amounts owed by the Client, Ministorage may undertake any legal action necessary to recover the balance.違反租金支付條款到期日之時(shí)或之前,客戶未支付租金(或根據(jù)
45、本協(xié)議或本條款與條件,應(yīng)支付給迷你倉儲(chǔ)的任何其他費(fèi)用)的,迷你倉儲(chǔ)應(yīng)有權(quán):a. 收取相當(dāng)于月息10%的費(fèi)用作為延遲履行金(從到期日起至該等費(fèi)用全額支付為止);b. 在不損害迷你倉儲(chǔ)其他權(quán)利的基礎(chǔ)上,將任何費(fèi)用、延遲履行金轉(zhuǎn)至押金中加以抵扣;c. 拒絕客戶訪問房屋;d. 給單元加鎖。客戶未支付任何到期費(fèi)用的,迷你倉儲(chǔ)應(yīng)有貨物的優(yōu)先留置權(quán)。如:a. 到期應(yīng)付給迷你倉儲(chǔ)的租金總額、管理費(fèi)、利息或其他金額的任何部分逾期超過30(三十)天(無論是否正式要求)的;b. 客戶疏于遵守或執(zhí)行本協(xié)議或協(xié)議項(xiàng)下任何條款的;c. 客戶破產(chǎn)、資不抵債、開始清算或與債權(quán)人達(dá)成任何協(xié)定的,迷你倉儲(chǔ)可采取任何或所有以下措施
46、(除本協(xié)議保留的其他權(quán)利外):a. 終止本協(xié)議;b. 收取延遲履行金;c. 打開單元現(xiàn)有鎖具;d. 將貨物從單元移至迷你倉儲(chǔ)確定的備選存儲(chǔ)設(shè)備,且不會(huì)因該等移動(dòng)招致任何責(zé)任、損失或損害負(fù)責(zé);e. 向客戶要求全額賠償,或?qū)⒇浳镆浦了幋鎯?chǔ),迷你倉儲(chǔ)在之后任何時(shí)候?qū)⒇浳镆谱叩?,要求客戶支付額外費(fèi)用;f. 對(duì)貨物作出丟棄和報(bào)廢處理,或以其他方式進(jìn)行處置; g. 以客戶名義將貨物出售(經(jīng)拍賣或私人出售)并將所有權(quán)交與買主。迷你倉儲(chǔ)可保留該等出售取得的收益,用于清償客戶未付的任何費(fèi)用。該等收益無法清償客戶未付費(fèi)用全額的,迷你倉儲(chǔ)可提起任何必要的法律訴訟進(jìn)行清償。 10) Non-Assignment T
47、he Client may not assign any of its rights to, nor sublet or share part or the entire Unit, with any other party.不可轉(zhuǎn)讓客戶不得向任何其他方轉(zhuǎn)讓其權(quán)利,亦不得向任何其他方分租或共用單元的部分或全部。 11) Exclusion of Liability Ministorage shall not be responsible for any Goods, to whomsoever belonging, stored within the Unit or left elsewher
48、e in the Premises - the Client solely assumes all such risk. Ministorage shall not be liable for any loss or damage, unless such loss or damage are proved to be solely caused by intentional default or gross negligence of Ministorage, to Goods arising from any cause whatsoever . Ministorage shall not
