InthisAgreementwordsandexpressionsshallhavethesamemeaningsasarerespectivelyassignedtothemintheConditionsoftheClient/ConsultantModelServicesAgreementhereinafterreferredto.2. ThefollowingdocumentsshallbedeemedtoformandbereadandconstruedaspartoftheAgreement,namely:TheLetterofAcceptance;TheConditionsoftheClient/ConsultantModelServicesAgreement(GeneralConditionsandParticularConditions);TheAppendices,namely:AppendixA—ScopeofServicesAppendixB—Personnel,Equipment,FacilitiesandOtherServicestobeprovidedbytheClientAppendixC—RemunerationandPayment3. InconsiderationofthepaymentstobemadebytheClienttotheConsultantashereinaftermentionedtheConsultantherebycovenantswiththeClienttoperformtheServicesinconformitywiththeprovisionsoftheAgreement.4. CONDITIONSOFTHECLIENT/CONSULTANTMODELSERVICESAGREEMENTGENERALCONDITINSDEFINITIONSANDINTERPRETATIONDEFINITIONS1. Thefollowingwordsandexpressionsshallhavethemeaningsassignedtothemexceptwherethecontextotherwiserequires:(1) “Project”meanstheprojectnamedintheParticularConditionsforwhichtheWorksaretobeprovide.(2) “Services”meanstheservicestobeperformedbytheConsultantinaccordancewiththeAgreementandcompriseNormalServicesAdditionalServicesandExceptionalServices.(3) “Works”meansthepermanentworkstobeexecuted(includingthegoodsandequipmenttobesuppliedtotheClient)fortheachievementoftheProject.(4) “Client”meansthepartynamedintheAgreementwhoemploystheConsultant,andlegalsuccessorstotheClientandpermittedassignees.(5) “Consultant”meansthepartynamedintheAgreement,whoisemployedasanindependentprofessionalfirmbytheClienttoperformtheServices,andlegalsuccessorstotheConsultantandpermittedassignees.(6) “Party”and“parties”meanstheClientandtheConsultantand“thirdparty”meansanyotherpersonorentityasthecontextrequires.(7) “Agreement”meanstheConditionscomprisingtheConditionsoftheClient/ConsultantModelServicesAgreement(GeneralConditionsandParticularConditions)togetherwithAppendixA(ScopeofServices),AppendixB(PersonnelEquipment,FacilitiesandServicesofOtherstobeprovidedbytheClient),AppendixC(RemunerationandPayment),LetterofAcceptanceandFormalAgreementifcompleted,orotherwiseasspecifiedintheParticularConditions.(8) “day”meanstheperiodbetweenanyonemidnightandthenext.(9) “month”meansaperiodofonemonthaccordingtotheGregoriancalendarcommencingwithanydayofthemonth.(10) “LocalCurrency”(LC)meansthecurrencyofthecountrywheretheProjectislocatedand“ForeignCurrency”(FC)meansanyothercurrency.(11) “AgreedCompensation”meansadditionalsumsasdefinedintheParticularConditionswhicharepayableundertheAgreement.INTERPRETATION2. (1) TheheadingsintheAgreementshallnotbeusedinitsinterpretation.Thesingularincludestheplural;themasculineincludesthefeminine,andvice-versawherethecontextrequires.IfthereisconflictbetweenprovisionsoftheAgreement,thelasttobewrittenchronologicallyshallprevail,unlessotherwisespecifiedintheParticularConditions.OBLIGATIONSOFTHECONSULTANTSCOPEOFSERVICES3. TheConsultantshallperformServicesrelatingtotheProject.TheScopeoftheServicesisstatedinAppendixA.NORMAL.ADDITIONALANDEXCEPTIONALSERVICES4. (1) NormalServicesmeanstheservicessetoutintheScopeoftheServicesunderClause3oftheAgreement.AdditionalServicesmeanstheservices,whicharenotincludedinClause3oftheAgreement,agreedbythebothpartiesinwritingasadditionstoNormalServices.(3) ExceptionalServicesarethosewhicharenotNormalorAdditionalServicesbutwhicharenecessarilyperformedbytheConsultantinaccordancewithClause28.DUTYOFCAREANDEXERCISEOFAUTHORITY(1) TheConsultantshallexercisereasonableskill,careanddiligenceintheperformanceofhisobligationsundertheAgreement.(2) WheretheServicesincludetheexerciseofpowersorperformanceofdutiesauthorizedorrequiredbythetermsofanAgreementbetweentheClientandanythirdpart,theConsultantshall:(a) actinaccordancewiththeAgreementprovidedthatthedetailsofsuchpowersanddutiesareacceptabletohimwheretheyarenotdescribedinClause3oftheAgreement.(b) ifauthorizedtocertify,decideorexercisediscretion,dosofairlybetweentheClientandanythirdpartynotasanarbitratorbutasanindependentprofessionalactsbyhisskillandjudgment.(c) ifsoauthorizedvarytheobligationsofanythirdparty,subjecttoobtainingthepriorapprovalfromtheClientregardinganyvariationwhichcanhaveanimportanteffectoncostsorqualityortime(exceptinanyemergencywhentheconsultantshallinformtheclientassoonaspracticable).CLIENT’SPROPERTY6. AnythingprovidedorpaidbytheClienttoorfortheConsultantshallbethepropertyownedbytheClientandshallbesomarkedwherepracticable.WhentheServicesarecompletedorterminatedtheConsultantshallfurnishinventoriestotheClientofwhathasnotbeenconsumedintheperformanceoftheServicesandshalldeliveritasdirectedbytheClient.SuchdeliveryshallberegardedasaNormalService.OBLIGATIONSOFTHECLIENTINFORMATIONTheClientshallsoasnottodelaytheServicesandwithinareasonabletimegivetotheConsultantfreeofcostallinformationinhispowertoobtainwhichmaypertaintotheServices.DECISIONSOnallmattersproperlyreferredtohiminwritingbytheConsultanttheClientshallgivehisdecisioninwritingsoasnottodelaytheServicesandwithinareasonabletime.ASSISTANCE9. InthecountryoftheProjectandinrespectoftheConsultant,hispersonnelanddependants,asthecasemaybe,theClientshalldoallinhispowertoassistin:theprovisionofdocumentsnecessaryforentry,residence,workandexit;providingunobstructedaccesswhereveritisrequiredfortheServices;import,exportandcustomsclearanceofpersonaleffectsandofgoodsrequiredfortheServices;theirrepatriationinemergencies;theprovisionoftheauthoritiesnecessarytopermittheimportofforeigncurrencybytheConsultantfortheServicesandbyhispersonalfortheirpersonaluseandtopermittheexportofmoneyearnedintheperformanceoftheServices;providingaccesstootherorganizationsforcollectionofinformationwhichistobeobtainedbytheConsultant.EQUIPMENTANDFACILITIES10. TheClientshallmakeavailable,freeofcost,totheConsultantforthepurposeoftheServicestheequipmentandfacilitiesdescribedinAppendixB.CLIENT’SPERSONNELInconsultationwiththeConsultant,theClientshallathisowncostarrangefortheselectionandprovisionofpersonnelinhisemploymenttotheConsultantinaccordancewithAppendixB.InconnectionwiththeServicessuchpersonnelshalltakeinstructionsonlyfromtheConsultant.SERVICESOFOTHERS12. TheClientshallathiscostarrangefortheprovisionofservicesfromothersasdescribedinAppendixB,andtheConsultantshallco-operatewiththesuppliersofsuchservicesbutshallnotberesponsibleforthemortheirperformance.PERSONNELSUPPLYOFPERSONNEL13. ThepersonnelwhoaresentbytheConsultanttoworkinthecountryoftheProjectshallhavebeenphysicallyexaminedandfoundfitfortheirassignments,andtheirqualificationsshallbeacceptabletotheClient.ThepersonneltobesuppliedbytheClientinaccordancewithClause11shallbeacceptabletotheConsultant.IftheClientcannotsupplyClient’spersonnelorservicesofothersforwhichheisresponsibleanditisagreedtobenecessaryforthesatisfactoryperformanceoftheServices,theConsultantshallarrangeforitssupplyasanAdditionalService.REPRESENTATIVES14. FortheadministrationoftheAgreementeachpartyshalldesignatetheofficialorindividualtobehisrepresentative.IfrequiredbytheClient,theConsultantshalldesignateanindividualtoliaisewiththeClient’srepresentativeinthecountryoftheProject.CHANGESINPERSONNELIfitisnecessarytoreplaceanyperson,thepartyresponsiblefortheappointmentshallimmediatelyarrangeforreplacementbyapersonofcomparablecompetence.Thecostofsuchreplacementshallbebornebythepartyresponsiblefortheappointmentexceptthatifthereplacementisrequestedbytheotherpartysuchrequestshallbeinwritingstatingthereasonsforitandthepartymakingtherequestshallbearthecostofreplacementunlessmisconductorinabilitytoperformsatisfactorilyisestablishedasthereason.LIABILITYANDINSURANCELIABILITYBETWEENTHEPARTIES16.16.1 LiabilityoftheConsultantTheConsultantshallonlybeliabletopaycompensationtotheclientarisingoutoforinconnectionwiththeAgreementifabreachofClause5(1)isestablishedagainsthim.16.2 LiabilityoftheClientTheClientshallbeliabletotheConsultantifabreachofhisdutytotheConsultantisestablishedagainsttheClient.16.3 CompensationIfitisconsideredthateitherpartyisliabletotheother,compensationshallbepayableonlyonthefollowingterms:(1) Suchcompensationshallbelimitedtotheamountofreasonablyforeseeablelossanddamagesufferedasaresultofsuchbreach,butnototherwise.(2) Inanyevent,theamountofsuchcompensationwillbelimitedtotheamountspecifiedinClause18.1.(3) Ifeitherpartyisconsideredtobeliablejointlywiththirdpartiestotheother,theproportionofcompensationpayablebyhimshallbelimitedtothatproportionofliabilitywhichisattributabletohisbreach.DURATIONOFLIABILITY17. NeithertheClientnortheConsultantshallbeconsideredliableforanylossordamageresultingfromanyoccurrenceunlessaclaimisformallymadeonhimbeforetheexpiryoftherelevantperiodstartedintheParticularConditions,orsuchearlierdateasmaybeprescribedbylaw.LIMITOFCOMPENSATIONANDINDEMNITY18. 18.1 LimitofCompensationThemaximumamountofcompensationpayablebyeitherpartytotheotherinrespectofliabilityunderClause16islimitedtotheamountstartedintheParticularConditions.ThislimitiswithoutprejudicetoanyAgreedCompensationspecifiedunderClause31(2)orotherwiseimposedbytheAgreement.Eachpartyagreestowaiveallclaimsagainsttheotherinsofarastheaggregateofcompensationwhichmightotherwisebepayableexceedsthemaximumamountpayable.Ifeitherpartymakesaclaimforcompensationagainsttheotherpartyandthisisnotestablishedtheclaimantshallentirelyreimbursetheotherforhiscostsincurredasaresultoftheclaim.18.2 IndemnitySofarastheapplicablelawpermits,theClientshallindemnifytheConsultantagainsttheadverseeffectsofallclaimsincludingsuchclaimsbythirdparties,whichariseoutoforinconnectionwiththeAgreement:(1) ExceptinsofarastheyarecoveredbytheinsurancesarrangedunderthetermsofClause19.(2) MadeaftertheexpiryoftheperiodofliabilityreferredtoinClause17.18.3 ExceptionsClauses18.1and18.2donotapplytoclaimsarising:(1) Fromdeliberatedefaultorrecklessmisconduct,or(2) OtherwisethaninconnectionwiththeperformanceofobligationsundertheAgreement.INSURANCEFORLIABILITYANDINDEMNITY19. TheClientcanrequestinwritingthattheConsultant(1) insuresagainsthisliabilityunderClause16.1(2) increaseshisinsuranceagainstliabilityunderClause16.1overthatforwhichhewasinsuredatthedateoftheClient’sfirstinvitationtohimforaproposalfortheServices.(3) insuresagainstpublic/thirdpartyliability(4) increaseshisinsuranceagainstpublic/thirdpartyliabilityoverthatforwhichhewasinsuredatthedateoftheClient’sfirstinvitationtohimforaproposalfortheServices.(5) effectsotherinsurancesIfsorequested,theConsultantshallmakeallreasonableeffortstoeffectsuchinsuranceorincreaseininsurancewithaninsurerandontermsacceptabletotheClient.ThecostofsuchinsuranceorincreaseininsuranceshallbeattheexpenseoftheClient.INSURANCEOFCLIENT’SPROPERTY20. UnlessotherwiserequestedbytheClientinwritingtheConsultantshallmakeallreasonableeffortstoinsureontermsacceptabletotheClient:againstlossordamagetothepropertyoftheClientsuppliedorpaidforunderClause6.againstliabilitiesarisingoutoftheuseofsuchproperty.ThecostofsuchinsuranceshallbeattheexpenseoftheClient.COMMENCEMENT,COMPLETION,ALTERATIONANDTERMINATIONOFTHEAGREEMENTAGREEMENTEFFECTIVE21. TheAgreementiseffectivefromthedateofreceiptbytheConsultantoftheClient’sLetterofAcceptanceoftheConsultant’sproposalorofthelatestsignaturenecessarytocompletetheFormalAgreement,ifany,whicheveristhelater.COMMENCEMENTANDCOMPLETION22. TheServicesshallbecommencedandcompletedatthetimesorwithintheperiodsstatedintheParticularConditionssubjecttoextensionsinaccordancewiththeAgreement.VARIATIONS23. TheAgreementcanbevariedonapplicationbyeitherpartybywrittenagreementoftheparties.FURTHERPROPOSALS24. IfrequestedbytheClientinwriting,theConsultantshallsubmitproposalsforalteringtheService.ThepreparationandsubmissionofsuchproposalsshallbeanAdditionalService.DELAYS25. IftheservicesareimpededordelayedbytheClientorhisAgreementorssoastoincreasetheamountordurationoftheServices:TheConsultantshallinformtheClientofthecircumstancesandprobableeffects.TheincreaseshallberegardedasAdditionalServices.ThetimeforcompletionoftheServicesshallbeincreasedaccordingly.CHANGEDCIRCUMSTANCES26. IfcircumstancesariseforwhichtheConsultantisnotresponsibleandwhichmakeitirresponsibleorimpossibleforhimtoperforminwholeorinparttheServicesinaccordancewiththeAgreementheshallpromptlydispatchanoticetotheClient.InthesecircumstancesifcertainServiceshavetobesuspended,thetimefortheircompletionshallbeextendeduntilthecircumstancesnolongerapplyplusareasonableperiodnotexceeding10daysforresumptionofthem.IfthespeedofperformingcertainServiceshastobereduced,thetimefortheircompletionshallbeextendedasmaybemadenecessarybythecircumstances.ABANDONMENTSUSPENSIONORTERMINATION27.27.1 ByNoticeoftheClientTheClientmaysuspendallorpartoftheServicesorterminatetheAgreementbynoticeofatleast28daystotheConsultantwhoshallimmediatelymakearrangementstostoptheServicesandminimizeexpenditure.IftheClientconsidersthattheConsultantiswithoutgoodreasonnotdischarginghisobligationshecaninformtheConsultantbynoticestatingthegroundsforthenotice.Ifasatisfactoryreplyisnotreceivedwithin14daystheClientcanbyafurthernoticeterminatetheAgreementprovidedthatsuchfurthernoticeisgivenwithin14daysoftheClient’sformernotice.27.2 ByNoticeoftheConsultantAftergivingatleast14days’noticetotheClient,theConsultantcanbyafurthernoticeofaleast14daysterminatetheAgreement,orathisdiscretionwithoutprejudicetotherighttoterminatecansuspendorcontinuesuspensionofperformanceofthewholeorpartoftheServices.When28daysaftertheduedateforpaymentofaninvoicehehasnotreceivedpaymentofthatpartofitwhichhasnotbythattimebeencontestedinwriting,orWhenServiceshavebeensuspendedundereitherClause26orClause27.1andtheperiodofsuspensionhasexceeded182days.EXCEPTIONALSERVICES28. UpontheoccurrenceofcircumstancesdescribedinClause26orabandonmentorsuspensionofServicesoruponterminationoftheAgreementotherwisethanundertheprovisionsofClause27.1(2)anynecessaryworkorexpensebytheConsultantextratotheNormalandAdditionalServicesshallberegardedasExceptionalServices.TheperformanceofExceptionalServicesshallentitletheConsultanttoextratimenecessaryfortheirperformanceandtopaymentforperformingthem.RIGHTSANDLIABILITIESOFPARTIES29. TerminationoftheAgreementshallnotprejudiceoraffecttheaccruedrightsorclaimsandliabilitiesoftheparties.AfterterminationoftheAgreement,theprovisionsofClause18shallremaininforce.PAYMENTPAYMENTTOTHECONSULTANT30. (1) TheClientshallpaytheConsultantforNormalServicesinaccordancewiththeConditionsandwiththedetailsstatedinAppendixC,andshallpayforAdditionalServicesatratesandpriceswhicharegiveninorbasedonthoseinAppendixC,sofarastheyareapplicablebutotherwiseasareagreedinaccordancewithClause23.(2) UnlessotherwiseagreedinwritingtheclientshallpaytheConsultantinrespectofExceptionalServicesasforAdditionalServiceforextratimespentbytheConsultant’spersonnelintheperformanceofServicesthenetcostofallotherextraexpenseincurredbytheConsultantTIMEFORPAYMENT31. (1) AmountsduetotheConsultantshallbepaidpromptly.(2) IftheConsultantdoesnotreceivepaymentwithinthetimestatedintheParticularConditionsheshallbepaidAgreedCompensationattheratedefinedintheParticularConditionscompoundedmonthlyonthesumoverdueandinitscurrencyreckonedfromtheduedateforpaymentoftheinvoice.SuchAgreementCompensationshallnotaffecttherightsiftheConsultantstatedinClause27.2.CURRENCYOFPAYMEMT32. (1) ThecurrencyapplicabletotheAgreementisthatstatedintheParticularConditions.WherepaymentistobemadeinothercurrenciesitshallbecomputedatratesofexchangeasdefinedintheParticularConditionsandpaidnetwithoutdeductions.UnlessotherwisespecifiedinAppendixC,theClientwarrantsthattheConsultantcantransferabroadpromptlyallLocalandForeignCurrencyamountsinconnectionwithperformanceoftheServiceswhicharereceivedbyhimintheClient’scountry.(2) IfatthedateoftheAgreementorduringtheperformanceoftheServicestheconditionsintheClient’scountryaresuchasmaycontrarytotheAgreementeitherpreventordelaythetransferabroadofLocalorForeignCurrencypaymentsreceivedbytheConsultantintheClient’scountryorrestricttheavailabilityoruseofForeignCurrencyintheClient’scountry,orimposetaxesordifferentialratesofexchangeforthetransferfromabroadofForeignCurrencyintotheClient’scountrybytheConsultantforLocalCurrencyexpenditureandsubsequentretransferabroadofLocalCurrencyuptothesameamountsuchastoinhibittheConsultantintheperformanceoftheServicesortoresultinfinancialdisadvantagetohim,theClientwarrantsthatsuchshallbedeemedcircumstancesjustifyingtheapplicationofClause26ifalternativefinancialarrangementsarenotmadetothesatisfactionsoftheConsultant.THIRDPARTYCHARGESONTHECONSULTANT33. ExceptwherespecifiedintheParticularConditionsorAppendixC(1) theClientshallwheneverpossiblearrangethatexemptionsisgrantedtotheConsultantandthoseofhispersonnelwhoarenotnormallyresidentinthecountryoftheProjectfromanypaymentsrequiredbytheGovernmentorauthorizedthirdpartiesinthatcountrywhicharisefromthisAgreementinrespectof:theirremunerationtheirimportedgoodsotherthanfoodandrinkgoodsimportedfortheServicesdocuments.(2) whenevertheClientisunsuccessfulinarrangingsuchexemptionheshallreimburseheConsultantforsuchpaymentsproperlymade.(3) providedthatthegoodswhennolongerrequiredforthepurposeoftheServicesandnotthepropertyoftheClient(a) shallnotbedisposedofinthecountryoftheProjectwithouttheClient’sapproval(b) shallnotbeexportedwithoutpaymenttotheClientofanyrefundorrebatedrecoverableandreceivedfromheGovernmentorauthorizedthirdparties.DISPUTEDINVOICES34. IfanyitemorpartofaniteminaninvoicesubmittedbytheConsultantiscontestedbytheClient,theClientshallgivepromptnoticewithreasonsandshallnordelaypaymentontheremainderoftheinvoice.Sub-clause(ii)ofClause31shallapplytoallcontestedamountswhicharefinallydeterminedtohavebeenpayabletotheConsultant.INDEPENDENTAUDIT35. TheConsultantshallmaintainup-to-daterecordswhichclearlyidentifyrelevanttimeandexpense.ExceptwheretheAgreementprovidesforlumpsumpayments,notlaterthantwelvemonthsafterthecompletionorterminationsoftheServices,theClientcanatnoticeofnotlessthan7daysrequirethatareputablefirmofaccountantsnominatedbyhimauditanyamountclaimedbytheConsultantbyattendingduringnormalworkinghoursattheofficewheretherecordsaremaintained.GENERALPROVISIONSLANGUAGESANDLAWIntheParticularConditionsthereisstatedthelanguageorlanguagesoftheAgreement,therulinglanguageandthelawtowhichtheAgreementissubject.CHANGESINLEGISLATIONIfafterthedateoftheAgreementthecostordurationoftheservicesisalteredasaresultofchangesinoradditionstotheregulationsinanycountryinwhichtheServicesaretobeperformedexceptthatoftheConsultant’sprincipalplaceofbusinessstatedintheParticularConditionstheagreedremunerationandtimeforcompletionshallbeadjustedaccordingly.ASSIGNMENTANDSUBAGREEMENTS38. (1) TheConsultantshallnotwithoutthewrittenconsentoftheClientassignthebenefitsfromtheAgreementotherthanmoney.(2) NeithertheClientnortheConsultantshallassignobligationsundertheAgreementwithoutthewrittenconsentoftheotherparty.TheConsultantshallnotwithoutthewrittenconsentoftheClientinitiateorterminateanysub-AgreementforperformanceofallorpartoftheServices.COPYRIGHT39. TheConsultantretainscopyrightofalldocumentspreparedbyhim.TheClientshallbeentitledtousethemorcopythemonlyfortheWorksandthepurposeforwhichtheyareintended,andneednotobtaintheconsultant’spermissiontocopyforsuchuse.CONFLICTOFINTEREST/CORRUPTIONANDFRAUD40. NotwithstandinganypenaltiesthatmaybeenforcedagainsttheConsultantunderthelawofthecountryoftheproject,orofotherjurisdictions,theClientwillbeentitledtoterminatetheAgreementinaccordancewithClause27.1(2)andtheConsultantshallbedeemedtohavebreachedClause5(1),ifitisshownthattheConsultantisguiltyof:Offering,giving,receivingorsolicitinganythingofvaluewithaviewtoinfluencingthebehaviororactionofanyone,whetherapublicofficialorotherwise,directlyorindirectlyintheselectionprocessorintheconductoftheAgreem
