regularlybythemonth.Vl.PartyB'sObligationsI.PartyBshallobservethelaws,decreesandrelevantregulationsenactedbytheChinesegovernmentandshallnotinterfereinChina's internalaffairs.PartyBshallobservePartyA'swork

systemandregulations concerningadministrationofforeignexpertsandshallacceptPartyA'sarrangement,direction, supervision andevaluation inregardtohis/herwork.WithoutPartyA'sconsent,PartyBshallnotrenderserviceelsewhereorholdconcurrentlyanypostunrelatedtotheworkagreedonwithPartyA.PartyBshallcompletethetasksagreedonscheduleandguaranteethequalityofwork.Party Bshallrespect China's

religiouspolicy,andshallnotactivitiesincompatiblewiththestatusofanexpert.conductreligiouspropagandaorotherconductreligiouspropagandaorotherPartyBshallrespecttheChinesepeople'smoral standards andcustoms.Revision, Cancellation andTerminationoftheContractBothpartiesshouldabidebythecontractandshouldrefrainfromrevising,canceling, or terminating thecontractwithoutmutualconsent.Thecontractcanberevised, canceled,orterminatedwithmutualconsent.Beforebothpartieshavereachedanagreement, thecontractshouldbestrictlyobserved.1.UnderthefollowingPartyAmayterminategiving30daysprior1.UnderthefollowingPartyAmayterminategiving30dayspriorPartyB:circumstances,thisContractbywritten noticeto1.1.wherePartyperformhis/her1.1.wherePartyperformhis/herBisincompetenttodutyandremainstobeincompetent despitetrainingortransfertoadifferentpositionorrefusestobegivenfurthertrainingortobetransfered toadifferentposition..2.wherePartyBcannotresumenormalworkafteracontinued30-daysickleave,accordingtothedoctor'sdiagnosis.PartyAmayterminatethisContractatanytimewithoutgivingpriornoticeorpayingseveraneepaytoPartyB,if:PartyBhasbeenprovenunabletomeettheemploymentrequirementsofPartyAduringtheprobationperiod,ifany;PartyBcausesPartyAtoenterintooramendthisContractagainstPartyA'struewillbymeansoffraud,intimidationortakingadvantageofPartyA'sprecariousposition;PartyBhaveanyillhabitssuchasgamblingoralcoholicaddiction,orhisbehaviorisnotuptoChinesemorality,whichhasresultedinadverseeffects,andfailtoamendafterPartyA'swarning;24PartyBhasserious disciplinebreachbehaviorsorinvolvementincriminalactivities.PartyAmayterminatethisContractbygiving30dayspriorwritten noticetoPartyBandgivingPartyB1-3months'salaryasacompensation.PartyBmayterminatethisContractbygiving3dayspriorwrittennoticetoPartyAwithinprobationperiod,andmayterminatethisContractbygiving30dayswritten noticetoPartyAaftertheprobationperiod.PartyBmaycancelthis Contractimmediatelyif:PartyAhasnotprovidedPartyBwithnecessary workingand livingconditions asstipulatedinthecontract;PartyAisprovedtohavefailedtopaytheremuneration dulyandinfullasstipulatedinthisContract;therulesandregulationsofPartyAviolatethePRClawsandregulationsandimpairtherightsandinterestsofPartyB;PartyAcausesPartyBtoenterintooramendthisContractagainstPartyB'struewillbymeansoffraud,intimidationortakingadvantageofPartyB'sprecariousposition.Underanyofthe followingcircumstances,theContractshallbeautomaticallyterminated:whenthetermofthis Contractexpires,bothPartiesdonotrenewthisContract;wherePartyAisdeclaredbankruptedordissolved,orPartyA'sbusiness

license isrevoked,orPartyAisorderedtoclosedown,ortobeoforterminated, orthetermofbusinessoforPartyAexpires;63wherePartyAdies,orisdeclareddeadormissingbyaPeoplesCourt,anyothercircumstancesspecifiedinapplicablelawsorregulations.X.Contractrenewal.Ifeitherofthetwopartiesrequeststorenewthecontractorasksforanewcontract, itshouldforwarditsrequesttoanotherparty30dayspriortotheexpiration ofthecontract, andsignanewcontractbasedonmutualconsent.willthewilltheautomaticallyexpire whencontractends.IX.BreachPenaltyWheneitheroftwopartiesfailsto

fulfillthecontract orfailstofulfillthe contract obligationsaccordingtothetermsstipulated,thatis,breaksthecontract, itmustpayabreachpenaltyofUS$800to3,000,or3-10timesofPartyB'smonthlysalary.EitheroftwoParties,whocancelsthecontractwithoutanywrittennoticeaheadoftime,shouldpayabreachpenaltytotheotherparty.Theactualamountofthepenaltyshallbedecidedthroughnegotiation.X.ForceMajeureForcemajeurereferstoanythingbeyondunforeseeable,insurmountablecircumstancescontrol,thatisunavoidableandobjective conditions,unforeseeable,insurmountablecircumstancesContractshallbesuspendedoraffairsnototherwisestatedintheContract.TheobligationsstipulatedintheContractshallbesuspendedduringtheperiodofforcemajeurebyeitherPartyAorPartyBandtheParty

impactedshallnotifytheotherpartyimmediatelyandproducerelevantcertificationswithin15days.IfPartyBaskstocancelthecontractduetoeventsbeyondcontrol, he/sheshouldproducecertificationsbyauthoritiesconcerned,obtainPartyAsconsent,andpayhis/herownreturnexpenses;IfPartyAaskstocancelthecontractduetoeventsbeyondcontrol, withtheconsentofPartyB,PartyAshouldbearPartyB'sreturnexpensesandpayonemoremonth'ssalaryasacompensation.XLThiscontractwon'ttakeeffectXLThiscontractwon'ttakeeffectuntilPartyBhasgothis/herhealthcertificate, workpermit andresideneepermitissuedbyrelevantdepartmentsofChineseGovernmentordepartments appointedbyChineseGovernment.PartyBshallcooperateactivelytoobtainthevalidvisaandpermits. Thefees andresponsibilitiesarisingoutoftheactualemploymentactivitybeforethecontracttakeseffect,ifany,shallallbebornebyPartyA.PartyBshallbearallexpensesincurredwhenstayingonafterthecontractexpires.XII.WaiverIfapartyagainstwhomanyobligation isowedagreestowaiveaprovisionofthiscontract,suchwaivershallnototherwiseaffectthevalidityoreffectofanyotherportionofthiscontract.XIII.DisputeResolutionAnydisputearisingoutofthisContractshallfirstbeattemptedtoberesolved through friendlynegotiationbetweentheParties.Ifallattemptsfail,eitherpartymaywithin60daysafterthedisputeoccurs, appealtolocalAdministrationofForeignExperts 'Affairsforintermediation,orapplytotherelevant personnel orlabordisputearbitration commissionforarbition.AnyParty,ifdisagreeingwithtotheresultoftheintermediation/arbitration,reservestherighttointiatelegalproceedings withthelocalcourtdirectly.ThisContractis signed at ,induplicate,this dayof , ,intheChineseand Ianguages,bothtextsbeingequallyauthentic.Theappendixofthis contract isaninseparablepartofthecontractandequallyvalidandeffective.PartyB(Employee)( Signature(Signature)AppendixtoThecontract(SAMPLE)PartyB'sworkassignmentsSalaryThesalaryforPartyBshallbepaidbymonth,thatisRM (beforetax)foreachworkingmonth.ThesalarypaymentshallbeginfromthefirstdayPartyBcommeneehis/herpositiontilltheexpirationofthecontract.SalarywillbepaidbyPartyAonthe thdayofeachmonth.Ifthepaymentdatefallonastatutoryholidayorrestdayorunderotherspecial circumstances, thesalaryshallbepaidthenextdayafterthat.IfPartyBworksonlypartofamonth,salaryshouldbecalculatedbytheday.Thetotalnumberofworkingdaysofeachmonthshallbe20.83days(including February).1day'spayshallbe1/20.83ofthetotal monthlysalary.PartyBshallbearalltheexpensesforhis/heraccompaniedfamilymembers.4.PartyBshallpayindividual incometaxforhis/hersalaryaccordingtotheregulationsofthetaxationadministrationofChina.PartyB'ssalarycanbeexchangedintoforeigncurrencywithhis/herForeignExpertCertificateandincometaxpaymentcertificate.II.AccommodationandTransportationPartyAprovidesPartyBwithafreeapartmentoncampus,whichcontainsabedroom,akitchen,abathroomwithtelephone,wardrobe,televisionset,microwaveoven, washingmachine.PartyAwillpayPartyBRMBcovertheexpensesincurred fromphonecall,gasandelectricity.TheexcesspartshallbebornebyPartyB.IfPartyAcanonlyofferafreeapartmentoff-campus,PartyAwillprovideschoolbusorsubsidizePartyBRMB each month astransportationallowanee.IfPartyAcannotprovidePartyBwithanapartment,PartyAmustassistPartyBinlocatinganaccommodationandwillsubsidizePartyBRMBpermonthasanaccommodationandtransportationallowanee.PartyBisobligatedforall accommodationexpenses.Healthcareandaccidentalinsuranee1.PartyAwillinsuraneetobuyhis/herpayPartyBRMB,whichcoversaccidentswhilehe/sheworksforPartyA.PartyAwillassistPartyBinselectingsuitableinsuraneepackages.1.PartyAwillinsuraneetobuyhis/herexpenditureforhospitalizationmajordiseases,andpersonalexpenditureforhospitalizationmajordiseases,andpersonalIfPartyBfailstobuyaninsuraneeinChinaforhisownreasons,PartyAwillprovidePartyBRMB tobuyaninternational insuranee, whichcoversmajordiseases, in-patienttreatmentexpensesandaccidentswithin duration ofhis/herserviceforPartyA.WorkHoursandHolidaysTheworkhoursofPartyBshouldbe8hoursaday,5daysaweek.IfPartyArequestsovertimework,PartyBwillreceiveovertimepayinaccordaneewithChineseLaborActs.PartyBshallbeentitled topaidleaveonallPRCstatutorypublicholidays.PartyBshallbeentitledanannualleavewithpayof working daysforthefirstyearofemployment, workingdaysforthesecondyearofemploymentand dayseveryyearthereafter.TheannualpaidleaveofPartyBfortheyearinwhichhe/shejoinsinordepartsfromPartyAshallbepro-rated.TravelExpensesandVacationsallowaneeIfPartyBfulfillsallobligationsofa1-year-contract,areturnairticketallowaneeofRMB willbepaidbyPartyAattheendofthecontractperiod.Ifthecontractperiodislessthan1year,theairticketallowaneewillbeproratedbasedonthetimehe/sheservesforPartyA.PartyB,whofailstocompletethecontractforhis/herpersonalreasons,willforfeittherighttotheabovestatedpaidleaveairticketallowaneeafterthelastdayofduty.Luggagetransportationexpenseswill

bepaidtoPartyBupto1/5oftheinternational airticketpriceinRMB.Sinceairlines betweenChinaandUnitedStatesofAmericastipulatethatcarriageoftwolargepiecesofluggageuptoamaximum64kgisfreeofcharge,foremployedpartyfromtheUnitedStatesPartyAmaynotbearhis/herluggagetransportation4.fromhealtharebornebyexpenses.4.fromhealtharebornebyAllthefeesincurredexamandvisaapplicationPartyA.SickLeave1.Forsickleavemorethanoneday,amedicalcertificate signed byadoctorfromtheappointedhospitalisnecessary.AllsickleavesmustbeapprovedfromtheDirectorortheHeadTeacher.Forsickleaveof(7)daysorless,PartyAwillpayasusual.After(7)days,PartyAwillpayPartyB70%oftheregularsalary.Themaximumallowablesickleaveis(30)days.

After(30)days,PartyAwillstopthesalarypaymentandhastherightto2.terminatethecontract.2.AllleavesmustbeapprovedfromtheDirectororhisDeputy.IfPartyBisapprovedofaleavefor personalreasons, he/shewill notbepaidduringtheabseneeperiod.Inoneschoolyear,PartyBshallnotaskforleavesofabseneeforaccumulativelymorethan(10)days,andshallnotaskforaleaveof absenee forcontinuouslymorethan(3)days.Uponproduction ofanappropriatemedical certificate, afemaleemployed Partywill begrantedmaternityleaveonfullpayfor90days.Anyextension ofmaternityleavewillbe determined inaccordaneewithPRClawsandmaybegrantedonaleavewithoutpaybasis.Paternityleaveonfullpaywillbegrantedforupto3days.(3)days'salarywillbedeductedforeachonedayabsentwithoutapprovalbeforehand. Over10daysleavewithoutapprovalaheadoftimeisdeemedasviolationofthecontract.PartyAreservestherighttoterminatethecontractandaskforpenaltyfromPartyB.Latenessforclassandendofclassaheadofscheduleshallresultina1-daypaydeductionfromPartyB'ssalaryfor2occurrences.
