至關(guān)重要TheofficialopeningoftheProposedDealershallbenolaterthan31/03/2015("OpeningDate").TheProposedDealershouldestablishafully-fledgedsales,service,andsparepartsfacilityinaccordancewithJLRdealerstandardsandPre-OpeningComplianceAudit("POCA")requirements.OnsuccessfulcompletionofthePOCAanon-exclusiveDealerAgreementwillbeofferedinthestandardformusedbyCJLRattheOpeningDateforthesales&serviceoftheCJLRcarsmanufacturedanddistributedbyCJLR.ThedateoftheeffectivenessofsuchDealerAgreementshallbethedateoftheformalappointmentofProposedDealer.意向經(jīng)銷商的正式開業(yè)時(shí)間不得晚于2015年03月31日(“開業(yè)日”)。意向經(jīng)銷商應(yīng)根據(jù)奇瑞捷豹路虎經(jīng)銷商標(biāo)準(zhǔn)和預(yù)開業(yè)合規(guī)審計(jì)的要求成立一家條件成銷售、服務(wù)和配件經(jīng)銷店。在預(yù)開業(yè)合規(guī)審議通過之后，奇瑞捷豹路虎在開業(yè)日將準(zhǔn)備一份標(biāo)準(zhǔn)格式的《經(jīng)銷商協(xié)議》，用于奇瑞捷豹路虎生產(chǎn)和分銷的奇瑞捷豹路虎汽車產(chǎn)品的銷售和。所述《經(jīng)銷商協(xié)議》的生效日即為對(duì)意向經(jīng)銷商的正式任命日。CJLRwilldispatchabuildingadvisertoinspecttheoutletlocationandkeepstherightstomonitorarchitectstodesignthestructurestobebuiltatthesiteFinalapprovalforthelocationandlayoutoftheoutletandthestructurestobebuiltattheoutletlocationshallbemadesolelybyCJLRandshallbeprovidedtotheProposedDealerinwriting.Fortheavoidanceofdoubt,ifCJLRdeterminesthattheproposedlocationoftheoutletasdescribedabovenotacceptable,thentheProposedDealershallproposealternativelocationsingoodtime,whichshallalsobesubjecttothewrittenapprovalofCJLR.AnydesignorconstructionwithoutpriorwrittenapprovalfromCJLRwillnotbeaccepted.奇瑞捷豹路虎將委派一名建筑顧問，視察經(jīng)銷店的位置，奇瑞捷豹路虎有權(quán)監(jiān)督建筑師對(duì)經(jīng)銷店的設(shè)計(jì)。經(jīng)銷店的選址和布局及其在選址上的建筑結(jié)構(gòu)應(yīng)由奇瑞捷豹路虎最終，并提供給意向經(jīng)銷商。為避免疑義，如果奇瑞捷豹路虎認(rèn)為上述的經(jīng)銷店的位置不可取，則意向經(jīng)銷商應(yīng)及時(shí)建議其他選址，并獲得奇瑞捷豹路虎的批準(zhǔn)。奇瑞捷豹路虎的批準(zhǔn)，任何設(shè)計(jì)或建設(shè)均不被接受。4.4.條ThePartiesagreetokeeptheexistenceandcontentofthisLOI,thediscussionsrelatedtotheLOI,andotherrelevantinformationregardingtheproposedcooperationoftheParties.ThisinformationmayonlybedisclosedtothirdpartiesasisreasonablynecessarytocarryouttheobligationsofthePartiesunderthisLOIorasmayberequiredbyapplicablelaworregulation,orbyanorderofaernmentagencyofthePRCorotherrelevantjurisdiction,andwiththesameconditionthatthereceivingpartieskeeptheinformation.雙方同意對(duì)本《》的存在及其內(nèi)容，與本《》有關(guān)的協(xié)商以及與雙方之間擬定合作的相關(guān)的任何信息進(jìn)行。只有在雙方為了履行本《》規(guī)定的義務(wù)、因?yàn)檫m用法律或的要求、中國(guó)機(jī)構(gòu)命令或其他相關(guān)司法管轄令等必要情況下，才能將《》相關(guān)信息披露給；同樣條件下，信息接收方應(yīng)對(duì)信息5.LimitedBindingNatureof
