LoanAgreement

ThisLoanAgreement(the"Agreement")isenteredintoon[date]byandbetween[nameofborrower],havingitsprincipalplaceofbusinessat[address](the"Borrower"),and[nameoflender],havingitsprincipalplaceofbusinessat[address](the"Lender").

1.BasicInformation

Thefollowinginformationshallbeincludedinthisloanagreement:

2.Identity,Rights,Obligations,andPerformance

TheBorrowerandLendershallbeidentifiedinthisloanagreement,andtheirrespectiverights,obligations,andperformanceshallbedetailedasfollows:

a.TheBorrowershallbeidentifiedasthepartyseekingaloanfromtheLender.

b.TheLendershallbeidentifiedasthepartyprovidingtheloantotheBorrower.

c.TheBorrowershallberesponsibleforrepayingtheloanaccordingtothetermsofthisagreement.

d.TheLendershallhavetherighttodemandrepaymentoftheloanaccordingtothetermssetforthinthisagreement.

3.TermandRepayment

Thetermofthisagreementshallbe[insertterm].TheBorrowershallrepaytheloantotheLenderonorbefore[insertrepaymentdate],inaccordancewiththerepaymentschedulesetforthintheagreement.

4.DefaultandRemedies

IntheeventofdefaultbytheBorrower,theLendershallhavetherighttotakelegalactionagainsttheBorrowertorecovertheloanamount,aswellasanyadditionaldamagesandlegalfeesincurredasaresultofthedefault.

5.CompliancewithChineseLaw

ThisagreementshallbeincompliancewithallrelevantChineselawsandregulations,andtheBorrowerandLendershallcomplywithalllegalrequirementsunderChineselaw.

6.RightsandObligations

ThisloanagreementshalldetailtherightsandobligationsoftheBorrowerandLender,includingtherighttocollectinterestandtheobligationtomeetrepaymentrequirements.

7.LegalEffectivenessandEnforceability

Thisloanagreementshallbelegallyvalidandenforceablebylaw,andbothpartiesshallbedeemedtohavefullyunderstoodthetermsandconditionsoftheagreement.

8.OtherProvisions

Anyotherprovisionsdeemednecessarybythepartiesinvolvedintheloanagreementmaybeincludedinthisdocument.

9.DisputeResolution

Intheeventofadisputearisingfromthisloanagreement,thepartiesshallfirstattempttoresolvethedisputethroughnegotiation.Ifnegotiationfails,thepartiesshallresolvethematterthrougharbitrationinaccordancewithChineselaw.

10.GoverningLaw

ThisloanagreementshallbegovernedbyandconstruedinaccordancewiththelawsofChina.
