通常條款GENERALTERMS本通常條款是《棉花買賣協(xié)議》不可分割一部分。TheseGeneralTermsshallbeanintegralpartoftheCottonPurchaseContract.定義 Definitions在本協(xié)議中,以下詞語含義以下:ThefollowingtermsshallhavethefollowingmeaningsintheContract:CIQ：中國出入境檢驗(yàn)檢疫機(jī)構(gòu)。CIQ：ChinaEntry-ExitInspectionandQuarantineNCL：不允許超出控制界限。NCL：Nocontrollimitisallowed.USDA：美國農(nóng)業(yè)部。USDA:UnitedStatesDepartmentofAgriculture通知：采取電報(bào)、信函、傳真、電子郵件等方式通知對(duì)方。Notification:tonotifytheotherpartybytelegraph,mail,fax,e-mail,orothermethods.皮重：棉花包裝材料重量。Tare:theweightofcotton’spackagingmaterials.凈重：總重扣除皮重后重量。NetWeight:thegrossweightlesstare.非棉物質(zhì)：混入棉花中對(duì)使用有嚴(yán)重影響硬軟雜物，如化纖絲、麻絲、破布、木屑、金屬物品等。Non-CottonSubstance:softorhardsundriesmixedinthecottonthathaveseriousimpactontheuseofthesame,includingchemicalfiber,flax,cloth,woodenchipsmetalarticles,etc.無紡用價(jià)值棉花：霉變棉、水漬棉、油污棉、火燒棉、棉花廢料、棉短絨等。NoSpinningValueCotton:mouldycotton,waterdamagedcotton,oilstainedcotton,burnedcotton,cottonwasteandlinters,etc.棉花廢料:加工或使用棉花過程中產(chǎn)生下腳回收廢料等。CottonWaste:leftoverand/orrecyclingwasteleftduringtheprocessingoruseofthecotton.欺詐棉包：?jiǎn)蝹€(gè)棉包中：含有與棉花完全無關(guān)非棉物質(zhì)；里面含有污染棉花，但從棉包外部或可看出或看不出來；好棉花在外面，次棉花包在里面，以免在常規(guī)檢驗(yàn)中被發(fā)覺；有一定數(shù)量無紡用價(jià)值棉花。FalsePackedBale:cottoninasinglebale:containingsubstancesentirelyforeigntocotton;containingdamagedcottonintheinteriorwithorwithoutanyindicationofsuchdamageupontheexterior;composedofgoodcottonupontheexterioranddecidedlyinferiorcottonintheinterior,insuchamannerasnottobedetectedbycustomaryexamination;orcontainingacertainamountofnospinningvaluecotton.混雜棉包：?jiǎn)蝹€(gè)棉包中含有一定數(shù)量不一樣品級(jí)、不一樣長度或不一樣顏色類型棉花。MixedPackedBale:abalecontainingacertainamountofdifferentgrades,staplesorcolorsofcotton.溢短裝率：到岸重量超出或少于協(xié)議要求重量部分占協(xié)議總重量百分率。WeightToleranceRatio:thepercentageofthepartoftheCIQlandedweightexceedingorshorterthantheweightprovidedbytheContractagainstthetotalcontractweight.棉包密度：采取通用棉包密度，是指依照國際標(biāo)準(zhǔn)化組織——ISO第8115-1986（E）要求，一個(gè)貨包長度在1060-1400毫米，寬度540毫米，高度700-950毫米。BaleDensity:UniversalBaleDensityasdeterminedbytheInternationalStandardsOrganization–ISOReferenceNo.8115-1986(E)isabalewiththenominaldimensionsof1060to1400mminlengthby540mminwidthand700-950mminheight.2包裝2 Packing適合于海運(yùn)緊縮機(jī)出口包裝，外裹棉布或其余不能產(chǎn)生異性纖維包裝，捆扎牢靠，包裝完整。假如使用輕易產(chǎn)生異性纖維包裝材料包裝棉花，則賣方須負(fù)擔(dān)全部清理異性纖維費(fèi)用。棉花須以通用密度壓縮貨包形式供貨。Compressedexportpackingsuitableforvoyage,outsidewrappedbycottonclothorotherpackingmaterialsthatdonotcontainforeignmatters,tightlyandcompletelypacked.Ifanypackingmaterialsthatmayeasilyproduceforeignmattersareusedtopackthecotton,theSellershallbearalltheexpensesforthecleaningofforeignmatters.Thecottonshallbesuppliedinformsofuniversaldensitycompressedpackage.3嘜頭3 Marks除非另有約定，在棉包上掛有永久性棉包標(biāo)識(shí)卡或在棉包兩側(cè)用不褪色顏料按以下項(xiàng)目逐包刷嘜，其內(nèi)容為：Unlessotherwiseagreed,hangpermanentcottonidentificationcardontothecottonbaleormarkonbothsidesofeachcottonbalewithunfadingpaintthefollowingitems:A批號(hào)/包號(hào)B毛重C協(xié)議號(hào)A.LotNumber/BaleNumberB.GrossWeightC.ContractNumber若嘜頭不清，由此而產(chǎn)生混嘜理貨費(fèi)由賣方負(fù)擔(dān)。Ifthemarksarenotclear,alltheexpensesarisingfromsortingthemixedmarkbalesshallbebornebytheSeller.4裝船通知4 ShipmentNotice4.1如為FOB成交:賣方應(yīng)在收到船企業(yè)裝運(yùn)通知后48小時(shí)內(nèi)，通知買方協(xié)議號(hào)、品級(jí)、長度級(jí)或小樣型號(hào)、包裝、凈重、金額；裝船日期、裝船口岸、目標(biāo)港和預(yù)計(jì)到港日期，并航寄、傳真或電子郵件形式將裝船單據(jù)副本一式三份給買方。4.1UnderFOBterms:theSellershallnotifytheBuyerbytelegraph,faxore-mailofthecontractnumber,grade,stapleortype,packing,netweight,andprice;aswellasshipmentdate,shipmentport,destinationportandestimatedarrivaldatewithin48hoursafternotificationfromtheshippinglineandmail,faxore-mailthreecopiesoftheduplicationsoftheloadingdocumentstotheBuyer.4.2如為CFR/CIF成交:賣方應(yīng)在收到船企業(yè)裝運(yùn)通知后48小時(shí)內(nèi)，通知買方船名、船齡(老船賣方要付超齡加保費(fèi))、船旗、裝船日期、裝船口岸、目標(biāo)港、協(xié)議號(hào)、提單號(hào)、總金額、毛重、凈重。4.2UnderCFR/CIFterms:theSellershallnotifytheBuyeroftheshipname,shipage(foragedshiptheSellershallpaytheover-ageextrapremium),shipflag,shipmentdate,shipmentport,destinationport,contractnumber,numberofthebilloflading,totalprice,grossweightandnetweightwithin48hoursaftertheshipmentnotificationfromtheshippingline.4.3如賣方未按上述4.1、4.2款要求通知買方，以致買方未能及時(shí)購置保險(xiǎn)，由此而產(chǎn)生損失由賣方負(fù)擔(dān)。4.3IftheSellerfailstonotifytheBuyerbytelegraph,faxore-mailasprovidedinaboveArticle4.1andArticle4.2andthustheBuyerisunabletopurchasetheinsuranceintime,allthelossesarisingtherefromshallbebornebytheSeller.5單據(jù)5 Documents在開證時(shí)，賣方需向議付行，不開證時(shí)需向買方指定銀行提供以下單據(jù)：TheSellershallprovidethefollowingdocumentsforthenegotiatingbankintheeventofissuingaletterofcreditorthebankdesignatedbytheBuyerwhennotissuingaletterofcredit:5.1商業(yè)發(fā)票、裝箱單正本和副本各三份,詳細(xì)注明信用證號(hào)、協(xié)議號(hào)。5.1Threeoriginalsandthreecopiesoftheoriginalcommercialinvoiceandpackinglist,specifyingtheletterofcreditnumberandcontractnumberindetails;5.2逐包或逐集裝箱過重重量碼單一式二份。5.2Twocopiesofweightmemobyweighingthebalesorcontainersonebyone;5.3全套可轉(zhuǎn)讓清潔海運(yùn)提單正本和副本各三份。5.3Threeoriginalsandthreecopiesofthefullsetofthecleanbilloflading;5.4賣方給買方裝船通知副本一份。5.4OnecopyoftheshipmentnotificationfromtheSellertotheBuyer;5.5在CIF條款下,保險(xiǎn)單正本和副本各一份。5.5OneoriginalandonecopyofthecertificateofinsuranceunderCIFterms;5.6產(chǎn)地證實(shí)、植物檢疫證實(shí)和非木質(zhì)包裝證實(shí)正本和副本各一份。5.6Oneoriginalandonecopyofthecertificateoforigin,phytosanitarycertificate,andnon-woodenpackingcertificate.付款方式6PaymentMethod6.1在雙方約定以信用證為付款方式時(shí)，在協(xié)議要求最晚裝運(yùn)日前30天，由買方通知開戶銀行開出以賣方為受益人不可撤消信用證，憑第5項(xiàng)單據(jù)條款要求單據(jù)電匯付款。信用證內(nèi)容應(yīng)與協(xié)議要求相符。信用證到期日為最晚裝運(yùn)日后第21天。6.1Intheeventthatthepartiesheretoagreetomakepaymentbyletterofcredit,theBuyershallcausetheopeningbanktoissueanirrevocableletterofcreditinfavoroftheSellerwithin30dayspriortothelatestshipmentdateprovidedbytheContract,andthepaymentshallbemadebywireonthebasisofthedocumentsprovidedinArticle5-Documents.ThecontentoftheletterofcreditshallbeconsistentwiththetermsandconditionsoftheContract.Andtheexpirydateoftheletterofcreditshallbethe21stdayafterthe6.2在雙方約定以憑單托收為付款方式時(shí)，買方憑第5項(xiàng)單據(jù)條款要求全套單據(jù)，由買方指定銀行按發(fā)票金額付款。6.2Intheeventthatthepartiesheretoagreeondocumentsagainstpayment,thebankdesignatedbytheBuyershallmakethepaymentattheinvoiceamountonthebasisof到貨檢驗(yàn)7 InspectionUponDelivery7.1檢驗(yàn)機(jī)構(gòu)7.1 InspectionInstitution貨物到目標(biāo)地后由CIQ檢驗(yàn)，其出具重量檢驗(yàn)證書（包含對(duì)欺詐棉包和混雜棉包認(rèn)定）和質(zhì)量檢驗(yàn)證書（如有殘破還應(yīng)出具殘損證書），作為買賣雙方結(jié)算和索賠依據(jù)。CIQwillconductinspectionsafterthegoodsarriveatthedestinationandissuetheweightinspectioncertificate(includingtheconfirmationoffalsepackedbaleandmixedpackedbale)andthequalityinspectioncertificate(suchasthedamagecertificateifthecottonisdamaged),whichshallbethebasisforthesettlementandclaimsbetweentheSellerandtheBuyer.7.2重量檢驗(yàn)7.2 WeightInspection依照實(shí)際到貨情況，CIQ將采取逐包過重或用地衡以一個(gè)集裝箱為單位過重，出具重量檢驗(yàn)證書，按實(shí)際凈重結(jié)算。Inaccordancewiththeactualdeliverycircumstance,CIQwillscaletheweightofeachbaleorweighbycontainerwithlandscale,issuetheweightinspectioncertificateandmakethesettlementbyactualnetweight.皮重：依照數(shù)量多少、包裝類型差異，CIQ將從每批貨中隨機(jī)抽取(1-5)%包數(shù)，以加權(quán)平均確定平均皮重。按實(shí)際平均皮重計(jì)算到岸凈重。TareWeight:inaccordancewiththequantityandpackagetype,CIQwillsample(1-5)%balesfromeachlotofcottonandcomputetheaveragetareweightbyweightedaverage.Andcalibratethenetweightuponarrivalattheportbasedontheactualaveragetareweight.買賣雙方均可派代表（須憑授權(quán)委托書）到現(xiàn)場(chǎng)察看稱重、扦樣過程，賣方應(yīng)在貨物抵達(dá)目標(biāo)地前通知買方，買方應(yīng)予必要幫助。BoththeSellerandtheBuyermayassignrepresentatives(withapowerofattorney)tothesiteforthepurposesofobservingtheweighingandsamplingprocess,andtheSellershallnotifytheBuyerofthesamepriortothegoodsarrivingatthedestination,andtheBuyershallprovidenecessaryassistance.7.3質(zhì)量檢驗(yàn)7.3 QualityInspection抽樣：品級(jí)、長度：從每批棉包中隨機(jī)抽樣10％；馬克隆值和強(qiáng)度：從品級(jí)、長度抽取樣品中隨機(jī)抽取其樣品總量二分之一，作為馬克隆值和強(qiáng)力檢驗(yàn)樣品。Sampling:gradeandstaple:10%tobesampledatrandomforeachlotofbales;micronaireandstrength:onehalfofthe10%istobesampledatrandomforeachbunchofbales.檢驗(yàn)方法：采取儀器測(cè)試和感官檢驗(yàn)相結(jié)合。如雙方有爭(zhēng)議時(shí)，以感官檢驗(yàn)為主。Inspectionmethod:combinedequipmenttestingwithsensoryevaluation;wherethereisanydispute,theoutcomeofsensoryevaluationshallprevail.7.4復(fù)驗(yàn)7.4Re-inspection重量不復(fù)驗(yàn)。報(bào)驗(yàn)人對(duì)CIQ質(zhì)量檢驗(yàn)結(jié)果有異議，可在收到檢驗(yàn)結(jié)果之日起15日內(nèi)，向做出檢驗(yàn)結(jié)果CIQ或者國家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局申請(qǐng)復(fù)驗(yàn)。復(fù)驗(yàn)只對(duì)抽取留存樣品，復(fù)驗(yàn)結(jié)果為最終依據(jù)。Noweightre-inspections.IftheapplicanthasobjectionstotheCIQqualityinspectionresult,suchapplicantmayapplyforare-inspectionwiththeCIQthatrenderstheinspectionresultorwiththeGeneralAdministrationofQualitySupervision,InspectionandQuarantinewithin15daysafterthereceiptoftheinspectionresult.There-inspectionwillonlybeconductedtothesampledsamplesandthere-inspectionresultshallbefinal.8細(xì)絨棉質(zhì)量降級(jí)差價(jià)(按協(xié)議單價(jià)百分比％)8PriceDeductionforUplandCottonInferiorQualityGrade(%ofthecontractunitprice)除非雙方另有約定，不然適用以下要求：Unlessotherwiseagreedtobytheparties,theprovisionshereinaftershallapply:8.1品級(jí)降級(jí)差價(jià)8.1PriceDeductionduetoInferiorQualityGrade8.1.1按USDA通用棉花標(biāo)準(zhǔn)簽約：8.1.1InGM---，SM-3%，M-7%，SLM-12%，LM-19%，SGO-28%，GO-39%。淡點(diǎn)污棉比照白棉按降1個(gè)級(jí)處理，即SMLIGHTSPOTTED按M級(jí)計(jì)算差價(jià)；點(diǎn)污棉比照白棉按降2個(gè)級(jí)處理，即SMSPOTTED按SLM級(jí)計(jì)算差價(jià)；淡黃染棉比照白棉按降3級(jí)處理，即SMTINGED按LM級(jí)計(jì)算差價(jià)；黃染棉比照白棉按降4級(jí)處理，即SMYELLOWSTAINED按SGO計(jì)算差價(jià)。CIQ出具證書內(nèi)只注明LIGHTSPOTTED或SPOTTED或TINGED或YELLOWSTAINED。Lightspottedcottonisregardedasonegradeinferiorwithreferencetowhitecotton,i.e.,thepricedeductionofSMLIGHTSPOTTEDshallbecalculatedbasedonMGrade;spottedcottonisregardedastwogradesinferiorwithreferencetowhitecotton,i.e.,thepricedeductionofSMSPOTTEDshallbecalculatedbasedonSLMGrade;lighttingedcottonisregardedasthreegradesinferiorwithreferencetowhitecotton,i.e.,thepricedeductionofSMTINGEDshallbecalculatedbasedonLMGrade;andyellowstainedcottonisregardedasfourgradesinferiorwithreferencetowhitecotton,i.e.,thepricedeductionofSMYELLOWSTAINEDshallbecalculatedbasedonSGOGrade.OnlyLIGHTSPOTTED,SPOTTED,TINGEDorYELLOWSTAINEDwillbespecifiedinthecertificateissuedbyCIQ.8.1.2憑小樣成交簽約：8.1.2 Withrespecttothecontractthatprovidestheminimummicronaire,thepricedeductionshallbeasfollowsiftheminimum儀器測(cè)試值低于最小值扣減幅度(%)Valuetestedlessthantheminimumvalue PriceDeductionforLong-stapleCottonInferiorQualityGrade(%ofthecontractunitprice)除非雙方另有約定，不然適用以下要求：Unlessotherwiseagreedtobytheparties,theprovisionshereinaftershallapply:9.1品級(jí)降級(jí)差價(jià)(按USDA通用棉花標(biāo)準(zhǔn))9.1PriceDeductionduetoInferiorQualityGrade(inaccordancewiththelongstaplecottongradeprovidedinUSDAuniversalstandards):1級(jí)--,2級(jí)–3%,3級(jí)-7%,4級(jí)-12%,5級(jí)-19%,6級(jí)-28%。Grade1--,Grade2–3%,Grade3-7%,Grade4-12%,Grade5-19%,Grade6-28%。9.2長度降級(jí)差價(jià)9.2InferiorStapleDeduction檢驗(yàn)結(jié)果低于協(xié)議長度(英寸)扣減百分比(%)Inspectionoutcomeislessthancontractstaple(inch)Deduction(%)1/16-3%1/8-10%3/16-17%9.3馬克隆值差價(jià)9.3MicronaireVariance與細(xì)絨棉相同。AsperUplandcotton.9.4強(qiáng)度差價(jià)9.4StrengthVariance與細(xì)絨棉相同。AsperUplandcotton10違約索賠10ContractSettlementDifferences10.1延遲裝運(yùn)10.1DelayofShipment因?yàn)橘u方原因造成不能按期裝運(yùn)，則賣方應(yīng)從協(xié)議要求最晚裝運(yùn)日第十一天起,按照實(shí)際延遲天數(shù)，每個(gè)月付給買方貨值金額1.25%遲裝費(fèi)。IfthecottonfailstobeshippedasscheduledduetotheSeller’sreasons,theSellershallpaytheBuyeradelayeddeliveryfeeequivalentto1.25%ofthevalueofthecommodityforthedelayincurredinthecontractedlatestshipmentdatefromtheeleventhdayafterthemonththecottonwasduetobeshipped.因?yàn)橘I方原因造成不能按期裝運(yùn)，則買方應(yīng)從協(xié)議要求最晚裝運(yùn)日第十一天起,按照實(shí)際延遲天數(shù)，每個(gè)月付給賣方貨值金額1.25%遲裝費(fèi)。IfthecottonfailstobeshippedasscheduledduetotheBuyer’sreasons,theBuyershallcompensatetheSellercarryingchargesequivalentto1.25%ofthevalueofthecommodityforthedelayincurredinthecontractedlatestshipmentdatefromtheeleventhdayafterthemonththecottonwasduetobeshipped.因?yàn)橘I賣雙方中任何一方原因造成超出協(xié)議要求最晚裝運(yùn)日45天仍不能裝運(yùn)，另一方有權(quán)解除協(xié)議，但違約方仍應(yīng)負(fù)擔(dān)違約責(zé)任。Ifthecottonfailstobeshippedwithin45daysafterthecontractedlatestshipmentdateasprovidedbytheContractduetothereasonsattributabletoeitherParty,theotherPartyisentitledtoterminatetheContractandthebreachingPartyshallbeliableforsuchterminationofContract.10.2重量差異10.2WeightDifferences到岸重量與協(xié)議重量差異在協(xié)議允差范圍內(nèi)，按協(xié)議價(jià)結(jié)算。超出協(xié)議允差多裝部分買方有權(quán)拒收；超出協(xié)議允差少裝部分按其貨值金額（按協(xié)議價(jià)計(jì)算）15%賠償給買方。IfthedifferencebetweentheCIQlandedweightandthecontractweightiswithinthecontracttoleranceweight,paymentshallbesettledatthecontractprice.TheBuyerisentitlednottoacceptthepartexceedingthecontracttoleranceweightandtheBuyershallbecompensatedat15%ofthevalue(calculatedattheContractprice)oftheshortpart.10.3質(zhì)量不符10.3QualityDifferences出現(xiàn)以下質(zhì)量不符行為,依照CIQ提供關(guān)于證實(shí)，賣方應(yīng)做以下賠償：TheSellershallmakecompensationsprovidedasfollowsforanyqualitydifferencessetforthbelowwithrelevantcertificateprovidedbyCIQ:10.3.1對(duì)協(xié)議要求品級(jí)、長度與到岸檢驗(yàn)品級(jí)、長度相差1個(gè)級(jí)棉包,則按上述8.1、8.2條款要求差價(jià)率賠償。10.3.1IntermsofthedeliveredbalesofwhichthegradeandstapleforinspectionareonegradeinferiorthanthegradeandstapleprovidedbytheContract,compensationsatthedeductionrateprovidedinthe10.3.2假如協(xié)議要求品級(jí)、長度與到岸檢驗(yàn)品級(jí)、長度相差2個(gè)級(jí)棉包數(shù)量占該批棉包總數(shù)量百分比超出5%，除按上述8.1、8.2條款要求差價(jià)率賠償外，還應(yīng)按全部降級(jí)棉包協(xié)議金額20%作為違約金賠償給買方。10.3.2Ifmorethan5%ofthelandedshipmentarebalestwogradesinferiortothecontractgradeintermsofqualityandstaple,theninadditiontopricedeductioncompensationsasinArticles8.1and8.2,theBuyershallbegivenextraliquidateddamagesequivalentto20%ofthecontractvalueofthetotaldefectivebales.10.3.3對(duì)商檢后棉花級(jí)別低于協(xié)議要求級(jí)別3個(gè)級(jí)及以上棉包、欺詐棉包和混雜棉包,買方可選擇：A.退貨，賣方除退還全額貨款外還要按這些問題棉包協(xié)議金額50%作為違約金賠償給買方，并負(fù)擔(dān)退貨費(fèi)用；B.按上述8.1、8.2條款要求差價(jià)率賠償,并按問題棉包協(xié)議金額50%作為違約金賠償給買方。10.3.3Intermsofabaleofcottonofwhichthequality,uponCIQinspection,is3ormorethan3gradesinferiortothegradeagreedintheContract,falsepackedbalesandmixedpackedbales,theBuyermaychooseto:A.returnthebales,inwhichcasetheSellershallpaytheBuyerliquidateddamagesequivalentto50%ofthecontractvalueofthe11索賠期限11TermofClaim除非雙方另有約定，索賠期不能超出最終到港日或出保稅庫日后70天。有問題棉包索賠期限按第12條款處理。Unlessotherwiseagreedtobytheparties,claimsfornoncompliancewiththeweightorqualityprovisionsshallbemadetotheotherpartywithin70calendardaysafterthelastdayoflandingoritsreleasefromabondedzone.ThetermofclaimofproblematicbalesshallbedealtwithArticle12below.12有問題棉包處理12DisposalofProblematicBales買方須在棉花到港后6個(gè)月之內(nèi)對(duì)欺詐棉包、混雜棉包等問題棉包提出索賠。索賠提出后棉包須另外分開存放56天以供賣方核查，逾期視為賣方接收索賠。賣方同意支付買方處置棉包使之恢復(fù)使用價(jià)值所需合理費(fèi)用。TheBuyershallmakeclaimsintermsoffalsepackedbales,mixedpackedbalesorotherproblematicbaleswithin6monthsafterthecottonarrivesattheport.Thebalesagainstwhichtheclaimsaremadeshallbestoredseparatelyfor56daysforthepurposes
