建設(shè)工程設(shè)計(jì)合同英文版IntroductionTheconstructionprojectdesigncontractisalegalagreementbetweentheownerandthedesigncompany.Itoutlinesthetermsandconditionsofthedesignprocess,requirements,responsibilitiesandrightsofbothparties.Awell-draftedcontractisvitalforensuringthesmoothoperationandtimelyexecutionoftheproject.ScopeofworkThedesigncontractshouldclearlydefinethescopeofworktobeperformedbythedesigncompany.Itshouldincludethefollowing:Designstages,scopeandtimelinesDeliverablesofeachstageDesigncriteriaandstandardsDesignoptionsandalternativesDesignmanagement,coordinationandcommunicationTimeframeandscheduleThedesigncontractshouldspecifythetimeline,milestonesandscheduleforthedesignprocess.Itshouldincludethefollowing:DesignstartandcompletiondateDesignreviewandapprovalprocessDesignchangesandrevisionsDesigncoordinationandintegrationamongallstakeholdersDesigninspectionandtestingDesignfeeandpaymenttermsThedesigncontractshouldclearlystatethefee,paymenttermsandinvoicingprocedures.Itshouldincludethefollowing:Designfee,includingfixedfeeorhourlyratePaymentschedule,includingpaymentduedate,percentageoftotalfeeandpaymentmethodAdditionalfees,includingchangeorders,reimbursableexpensesandvalue-addedtaxLatepaymentinterestrateandpenaltiesIntellectualpropertyandconfidentialityThedesigncontractshouldaddresstheintellectualpropertyrightsandconfidentialityofthedesigncompany.Itshouldincludethefollowing:Ownershipandrightsofthedesigndocuments,includingdrawings,specificationsandreportsNon-disclosureandconfidentialityofthedesigninformationIntellectualpropertyindemnificationandliabilityTerminationandsurvivaloftheintellectualpropertyandconfidentialityclausesRightsandobligationsThedesigncontractshouldclearlystatetherightsandobligationsofbothparties.Itshouldincludethefollowing:Obligationsofthedesigncompany,includingquality,accuracyandtimelinessofdeliverablesObligationsoftheowner,includingcooperation,informationandresourcesRightsofthedesigncompany,includinglegalprotection,ownershipandlienRightsoftheowner,includingreview,approvalandmodificationDisputeresolutionandterminationThedesigncontractshouldcoverthedisputeresolutionandterminationprocedures.Itshouldincludethefollowing:Disputeresolutionmethods,includingnegotiation,mediation,arbitrationandlitigationTerminationgrounds,includingbreach,terminationforconvenienceandterminationforcauseTerminationnoticeperiodandproceduresTerminationcompensationandliabilityGoverninglawandjurisdictionThedesigncontractshouldidentifythegoverninglawandjurisdiction.Itshouldincludethefollowing:Governinglawandlegalreferences,includingcontractlaw,constructionlawandintellectualpropertylawJurisdictionandlegalforumfordisputeresolutionandlitigationBindingeffectandenforceabilityofthecontractConclusionTheconstructionprojectdesigncontractisacriticalcomponentoftheproject.Itestablishesthelegalandcommercialframeworkofthedesignservicesandprotectstheinterestsofbothparties.Aw
