日在某電機制造公司（此后稱為甲方）和香港船舶機器公司（此后稱為乙方）之間，通過友好協(xié)商，在平等互利的基礎(chǔ)上簽訂。(當事方主體信息略)Article1Introduction第１條介紹A.PartyBagreestomanufacturetheproducts,usingtherawmaterialssuppliedbyPartyA,instrictcompliancewiththestandardsandspecificationsstipulatedintheagreement.乙方同意用甲方所提供的原料，嚴格按照本協(xié)議中的標準和規(guī)格，來生產(chǎn)下述產(chǎn)品。B.Commodityandquantitiesforprocessing加工產(chǎn)品和數(shù)量a.Commodity：shippingdynamotor產(chǎn)品船舶發(fā)電機b.Quantity2000sets數(shù)量2千套Article2Specifications第２條規(guī)格Onthebasisofdynamotorprototypes,drawingsandproductsamplesfurnishedtoPartyA,bothpartiesshalljointlyestablishallspecificationsinsufficientdetailnecessaryfortheproduction.Thespecificationsshalldealwiththequalityofthematerialsusedandstandardsoftheproducts.Thespecifications,onceestablishedbybothparties,shallbemodifiedonlyuponmutualwrittenagreementofbothparties.在提供給甲方的電動機原型機，圖紙和產(chǎn)品樣品的基礎(chǔ)上，雙方共同建立足以用于生產(chǎn)的必要的所有規(guī)格。這些規(guī)格將用于所用材料的質(zhì)量和標準。這些規(guī)格，一旦由雙方建立，只有通過雙方的書面材料才能進行修改。Article3SupplyoftheRawMaterials第３條原材料供應(yīng)A.Duringthetermoftheagreement,PartyAshalldelivertoPartyBsuchquantityoftherawmaterialsandconsumptionarticlesasmayberequiredforthemanufacturingoftheproductsnolaterthantwo(2)monthsbeforecalendarquarter.在本協(xié)議期間，甲方應(yīng)在每個季度前不遲于2個月向乙方運送可能用于產(chǎn)品生產(chǎn)的以下數(shù)量的原材料和消耗品。B.PartyBshallinspecttherawmaterialsandconsumptionarticlessuppliedbyPartyAimmediatelyuponreceiptthereofinaccordancewiththemethodofinspectiontobeagreedbyPartyA,andshallsubmitinspectionreportstoPartyA,andwithinthirty（30）daysaftertheinspection.TherawmaterialsandconsumptionarticlesthatdonotmeetrequirementofPartyAshallnotbeusedintheprocessing(orassembly).乙方在收到由甲方所提供的原材料和消耗品之后，應(yīng)立即根據(jù)甲方所同意的檢驗方法對其進行檢驗，并且應(yīng)在檢驗的30天內(nèi)，把檢驗報告遞交給甲方。那些不符合甲方要求的原材料和消耗品不應(yīng)用于加工（或裝配）。Article4ProcessingandAssemblyFee第４條加工和裝配費Theprocessingfeeforeachmodelasfollows:每種型號的加工費如下所示：a.ModelAatUSdollars500(SayUSdollarFivehundredonly)eachset.Ａ型號每套500美元。b.ModelBatUSdollars400(SayUSdollarFourhundredonly)eachset.B型號每只400美元c.Theprocessing(orassembly)feementioned-aboveshallremainunchangedforthefirstyear’speriod.Afterthesaidtwo（2）yearsperiod,PartyBmaychangethefeesbygivingPartyAawrittennoticeofchangenolessthanthree(3)monthspriortothechange.IncasethatPartyAdoesnotacceptsuchchangeoftheprocessingfeewithintwo(2)monthsfromthereceiptofthesaidnoticetheagreementshallbeterminated.以上所述的加工（或裝配費）將在第一年內(nèi)保持不變。在上述的2年期限內(nèi)，乙方可以在變化前的3月之內(nèi)以書面形式通知甲方改變事宜。萬一甲方在收到上述通知的2個月內(nèi)不接受加工費的改變，本協(xié)議將終結(jié)。Article5TermofPayment第５條付款方式Forpaymentoftheprocessing(orassembly)fee,PartyAshallopenaconfirmedirrevocableL/CinfavorofPartyBwithabankapprovedbyPartyB,fortheamountenoughtocovereachshipmentoftheproductsatleastfifteen(15)daysbeforesuchshipment.TheL/Cshallbenegotiatedagainstcommercialinvoices,fullsetofbilloflading,packinglist,inspectioncertificateand_____ofPartyB.關(guān)于加工（或裝配）費的付款，甲方應(yīng)在此裝運前至少15日之內(nèi)，通過由乙方所認可的銀行，以乙方為受益人，開具一保兌的、不可撤銷信用證，其金額足以滿足每批產(chǎn)品的出運需要。此信用證應(yīng)可以由商業(yè)發(fā)票，完整一套提單，裝箱單，檢驗單和乙方的____進行議付。Article6TechnicalInformationandAssistance第６條技術(shù)技術(shù)和協(xié)助A.PartyAagreestofurnishPartyBwithprocessing(orassembly)drawings,processing(orassembly)instructionsandtestandinspectionstandardsnecessaryforprocessing(orassembly)oftheproducts.甲方同意給乙方提供必要用于產(chǎn)品加工（或裝配）的加工（或裝配）圖紙，加工（或裝配）指導，和測試和檢驗標準。B.PartyAagreestoprovidePartyBwithappropriateadviceagainstproblemsofPartyBrelatingtothetechnicalmattersforprocessing(orassembly)ofproducts.甲方同意給乙方提供和加工（或裝配）產(chǎn)品的技術(shù)事宜有關(guān)的解決問題的適當建議。C.UponrequestofPartyBduringthetermsoftheagreement,PartyAmaydispatchitsownengineersandtechnicianstoPartyB’sfactorytogiveadviceandguidancewhichPartyAthinksappropriateinrelationtoassemblyoftheproducts.AlltheexpensesrelatingtotheengineersandtechniciansaretobebornebyPartyB.在協(xié)議期間，根據(jù)乙方的請求，甲方可以向乙方派遣其工程師和技術(shù)人員到乙方的工廠，給予甲方認為和產(chǎn)品加工有關(guān)的建議和指導。工程和技術(shù)人員的相關(guān)費用由乙方承擔。D.UponrequestofPartyBduringthetermsoftheagreement,PartyAagrees,onceinall,amaximumof5engineersandtechniciansofPartyBtostayatPartyA?sfactoryforaperiodofnotexceeding10daysandgivethemtrainingwhichPartyAthinksappropriateinrelationtoassemblyoftheproducts.ThetravelingandlivingexpensesofthepersonnelofPartyBshallbebornebyPartyB.在本協(xié)議期間，根據(jù)乙方的要求，甲方同意，一次性的，乙方最多5名工程師和技術(shù)員到甲方的工廠，逗留時間不超過10日，給予他們甲方認為和產(chǎn)品裝配有關(guān)的培訓。乙方人員的旅行費用和居住費用應(yīng)由乙方承當。Article7QualityControlandInspection第７條質(zhì)量控制和檢驗A.Whentheprocessingiscompleted,thefinishedproductsshallbeinspectedbytheauthorityagreedbyPartyAtoverifythattheproductsareuptothequalitystandardsandspecificationsdesignatedbyPartyA.當加工完成時，成品應(yīng)由甲方所認可的權(quán)威機構(gòu)進行檢驗，來證實產(chǎn)品成本達到了甲方所確定的質(zhì)量標準和規(guī)格。B.IncasetheproductsdoesnotmeetthestandardsofPartyA,PartyAcanrefusethedelivery.However,PartyAmayacceptthedeliveryoftheproductsatthediscountpricetobeagreedbetweenPartyAandPartyBonacase-by-casebasis.萬一產(chǎn)品沒有達到甲方的標準，甲方可以拒收此貨物。然而，甲方可以在個別案例的基礎(chǔ)上，以甲、乙雙方都同意的打折的價格接受此批貨物。C.AllchangesinthequalityandspecificationsshallbeinformedtoPartyAtwenty(20)dayspriortotheirincorporationintheproducts.PartyAshall,fromtimetotime,suggestchangesorimprovementsintheproducts.PartyBshallingoodfaithgiveconsiderationtotheintroductionofsuchchangesorimprovement.所有產(chǎn)品質(zhì)量和規(guī)格上的變化，應(yīng)在20天之前通知甲方。甲方應(yīng)不時地建議產(chǎn)品中的變化和改進。乙方應(yīng)真誠地考慮引進此變化或改進。Article8PackingandMarking第８條包裝和嘜頭TheproductsshallbeproperlypackedfollowingthegeneralcommercialpracticeofexportinggoodsandinaccordancewiththeinstructionofPartyA.ThepackageshallbemarkedandPartyAshallgivethemarkinginstructionsatleastfive(5)dayspriortothedeliverydateofthefinishedproducts.產(chǎn)品應(yīng)根據(jù)出口商品的總體商業(yè)實踐和甲方的指示適當包裝。包裝必須有嘜頭并且甲方應(yīng)至少于成品的出貨日5天之前給予嘜頭指示。Article9DeliveryandShipment第９條交貨和運輸On?theCFRandCIFbasis,thePartyBshallinformthePartyAbyTelex/Faxofthename,nationalityandageofthevesselnolaterthanfive(5)daysbeforethetimeoftheshipment.TheshipmentshallnotbeeffectedwithouttheconfirmationfromthePartyA.ThePartyAshallconfirmthevesselwithinthree(3)workingdays,otherwisethevesselshallregardedasconfirmed.在CFR和CIF的價格基礎(chǔ)上，乙方應(yīng)通過電傳／傳真，在不遲于出運期前的5天內(nèi)，通知甲方船只的名稱，國籍和年齡。沒有甲方的確認就不能裝運。甲方應(yīng)在3個工作日內(nèi)確認此船只，否則此船只應(yīng)被認為的確認過的。OntheFOBbasis,PartyAshallbookshippingspaceinaccordancewiththedateofshipment.PartyBshallten(10)daysbeforethedateofshipmentstipulatedintheagreementadvisethePartyAbyTelex/Faxofthenameofcommodity,quantity,totalamount,packagenumbers,totalweight,andvolumeandthedatefromwhichgoodsisreadyforloadingatportofshipment.PartyAshallfive(5)daysbeforethedateofshipment,notifyPartyBofnameofvesselandtheestimateddateofloadingPartyBtoeffectshipment.Incasethecarryingvesselorthedateofarrivalhastobechanged,PartyAoritsshippingagentshalladvisePartyBintime.Shouldthevesselfailtoarriveattheportofshipmentwithinthree(3)daysafterthearrivaldateadvisedbyPartyA,PartyAshallbearthestorageexpensecalculatedfromthedaysthereafter.在ＦＯＢ的價格基礎(chǔ)上，甲方應(yīng)該根據(jù)裝運日期進行訂艙。乙方應(yīng)在協(xié)議中所規(guī)定的裝運日期前的10天內(nèi)以電傳／傳真的形式通知甲方以下信息，即產(chǎn)品名稱，數(shù)量，總金額，包裝數(shù)量，總重量和體積及在裝運港口貨物等待裝運的日期。甲方應(yīng)在裝運期前的5天內(nèi)通知乙方船只名稱和預計裝船日期以便出運。萬一承運船只或到達日期必須更改，甲方或其船務(wù)代理應(yīng)及時通知乙方。如果船只沒有按照所通知的到達日期的3天內(nèi)到達裝運港口，甲方應(yīng)承當從此裝運日期起所計算的倉儲費用。PartyBshallbeliableforanydeadfreightordemurrage,shouldtheyfailtohavethequantityofthegoodsreadyforloadingintimeasstipulated,whilethecarryingvesselhasarrivedattheportofshipmentasadvised.如果乙方?jīng)]有根據(jù)規(guī)定，及時地把裝運貨物準備好，而裝運船只已經(jīng)到達所通知的港口，乙方應(yīng)負責所有的空艙費和滯期費。UnderthetermsofFOB,CFRandCIF,PartyBshall,immediatelyuponthecompletionoftheloadingofthegoods,giveashippingnoticetoPartyAbyTelex/Fax.Thenoticeincludesthenameofcommodity,quantity,netandgrossweight,measurement,invoicedvalue,billofladingnumber,sailingdateandestimateddateofarrivalattheportofdestination.在ＦＯＢ，ＣＦＲ和ＣＩＦ的條款下，乙方在貨物裝運完成之時，應(yīng)立即通過電傳／傳真，給甲方一裝運通知，此通知包括：貨名，數(shù)量，毛凈重，尺寸，發(fā)票金額，提單號，裝運日期，和預計到達目的港日期。Article10DamageRateofRawMaterials第１０條原材料的破損率Thedamagerateofthematerialsinprocessing(orassembly)is2%andsucharateofmaterialsshouldbesuppliedfreebyPartyA.Shouldthedamageratesurpass2%,PartyBwillsupplementtheadditionalrequiredmaterialsnecessaryforprocessing(orassembly).加工（或裝配）的原材料破損率是2％并且此材料的破損率應(yīng)由甲方免費提供。如果破損率超過了2％，乙方應(yīng)彌補加工（或裝配）所必需的額外所需的材料。Article11TransferoftheTitleandRisk第１１條所有權(quán)和風險轉(zhuǎn)讓ThetitletotherawmaterialsdeliveredtoPartyBandProductsmadetherefromandriskoflossofordamagestotherawmaterialsorproductsbelongexclusivelytoPartyA,ordamagestotherawmaterialsorproductsbelongexclusivelytoPartyA,provided,however,thatimmediatelyuponreceiptbyPartyBofshipmentsoftherawmaterialsanduntilthedeliveryoftheproductstoPartyA,PartyBshallpurchaseaninsuranceatPartyA’sexpensecoveringthefullvaluethereofagainstdamage,destructionandlossofeverykindfromaninsurancecompanyapprovedbyPartyA.PartyAshallbethebeneficiaryofsuchinsurance.發(fā)送給乙方的原材料的所有權(quán)和由此生產(chǎn)的產(chǎn)品和原材料的損失或破損的風險屬甲方獨家所有，或者對于原材料或產(chǎn)品的損失歸甲方獨家所有，如果，然而，一旦乙方收到原材料并且直到裝運貨物給甲方，乙方應(yīng)通過甲方所認可的保險公司，由甲方出資，以甲方為受益人，來給損失，破壞和各類遺失進行全額投保。Article12Forcemajeure第１２條不可抗力EitherPartyshallnotberesponsibleforfailureordelaytoperformalloranypartoftheagreementduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredictedatthetimeoftheconclusionoftheagreement,andcouldnotbecontrolled,avoidedorovercomebytheparties.However,thePartyeffectedbytheEventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwrittenassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritytotheotherpartybutnolaterthan15daysafteritsoccurrence.任何一方不應(yīng)對由于水災(zāi)，火災(zāi)，地震，干旱，戰(zhàn)爭或在簽約之日時不能預測到的，和不能由雙方所控制，避免或克服的，所造成的任何失敗或延誤負責。然而，遭受不可抗力影響的一方應(yīng)盡快以書面形式通知另一方其發(fā)生狀況，并隨后在事情發(fā)生不遲于１５日之內(nèi)寄送由有關(guān)當局所簽發(fā)的事件證明。IftheEventsofForceMajeurelastover120days,bothpartiesshallnegotiatetheperformanceortheterminationoftheagreement.如果不可抗力事件持續(xù)超過１２０天，雙方應(yīng)協(xié)商考慮協(xié)議的執(zhí)行或終止。Article13Arbitration第１３條仲裁Alldisputesarisingfromtheperformanceofthisagreementshouldbesettledthroughfriendlynegotiations.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherules
