"10、ForceMajeure不可抗力

10.1ForceMajeureEvent不可抗力事件：:

A“ForceMajeureEvent”shallrefertoanyeventbeyondthereasonablecontrolofaPartywhichisunforeseeableor,ifforeseeable,unavoidableandwhichhasprevented,affectedordelayedsuchParty’sperformanceofalloranypartofitsobligationshereunder.AForceMajeureEventincludesbutisnotlimitedtoanyactofwar(whetherdeclaredornot),invasionoractofforeignenemy;anyactofrebellion,riot,civilcommotion,strike,actorcampaignofterrorism,orsabotage;lightning,fire,earthquake,tsunami,unusualflood,storm,cyclone,typhoon,tornadoorothernaturalcalamityoractofGod;epidemicorplague;strikes,work-to-ruleorgo-slows(otherthanbyemployeesoftheaffectedPartyorbyemployeesofanydirectorindirectaffiliate,parentorsubsidiaryofanyshareholderofsuchParty).“不可抗力事件”是指雙方不能合理控制、不可預見或即使預見亦無法避免的事件，該事件妨礙、影響或延誤任何一方履行本訂單項下其全部或部分義務。不可抗力事件包括但不限于任何戰(zhàn)爭行為（無論是否宣戰(zhàn)），或者外敵侵略行為；任何叛亂、暴亂、騷亂、罷工、恐怖活動或者破壞行為；雷電、火災、地震、海嘯、洪水、暴風雨、氣旋、臺風、旋風、或者其他自然災害或天災；流行病或者瘟疫；罷工、怠工（受影響一方的雇員、該一方任何股東的直接或者間接關聯方、母公司或者子公司的員工罷工怠工的情形除外）。",,,,,,,,,

"10.2ConsequencesofForceMajeureEvent不可抗力事件的后果:

IfaForceMajeureEventoccurs,exceptfortheobligationofmakingpayments,aParty'scontractualobligationsaffectedbysuchaneventunderthisContractshallbesuspendedduringtheperiodofdelaycausedbytheForceMajeureEventandshallbeautomaticallyextended,withoutpenaltyorliability,foraperiodequaltosuchsuspension.ThePartyclaimingForceMajeureshallpromptlyinformtheotherPartiesinwritingandshallfurnishwithin15(fifteen)daysthereaftersufficientproofoftheoccurrenceanddurationofsuchForceMajeure.ThePartyclaimingForceMajeureshallalsouseallreasonableendeavourstoterminatetheForceMajeure.Inaddition,thePartiesshallimmediatelyconsultwitheachotherinordertofindanequitablesolutionandshalluseallreasonableendeavourstominimizetheconsequencesofsuchForceMajeure.如果發(fā)生了不可抗力事件，除履行付款義務不受影響外，一方履行訂單義務受不可抗力事件影響的，應當在不可抗力持續(xù)期間暫時中止履行，并且應當自動延長，而不產生任何罰金或責任，直至不可抗力結束。主張不可抗力的一方應當迅速書面通知另一方不可抗力事件的發(fā)生，并應在之后的15天內提供充分的證據證明不可抗力事件的發(fā)生，以及說明不可抗力持續(xù)的時間。主張不可抗力的一方還應當立即與另一方進行協商，以便找到一種公平的解決方案，主張不可抗力一方還應當努力采取一切合理的措施，以便最大化減小不可抗力所造成的后果。",,,,,,,,,
