鍋爐安裝承包合同編號(hào)：__________boilerinstallationcontractboilerinstallationcontract(hereinafterreferredtoas"thiscontract")ismadeandenteredintoonthisdate(hereinafterreferredtoas"theeffectivedate")between:partya:(hereinafterreferredtoas"contractor")andpartyb:(hereinafterreferredtoas"client")eacha"party"andcollectivelyas"parties".referencesinthiscontractto"theparties"shallmeanpartyaandpartyb,asapplicable.1.scopeofwork1.1thecontractorshallinstallone(1)boilerattheclient'spremises,asshownontheattacheddrawing(the"boiler").2.priceandpayment2.1thepricefortheinstallationoftheboilershallbeassetforthintheattachedquotation(the"quotation").2.3theclientshallmakeallpaymentsdueunderthiscontractcheckorelectronictransfer,inaccordancewiththepaymentinstructionsprovidedthecontractor.3.warranty3.2duringthewarrantyperiod,thecontractorshall,atitssolediscretion,eitherrepairorreplaceanypartoftheboilerthatisfoundtobedefective,atnoadditionalcosttotheclient.3.3thecontractor'sobligationsunderthissectionshallbelimitedtotherepairorreplacementoftheboilerassetforthinthissection,andthecontractorshallhavenootherobligationsorliabilityunderthiscontract.4.indemnification4.1thecontractorshallindemnifyandholdharmlesstheclientfromandagainstanyandallclaims,demands,suits,actions,losses,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwiththeinstallationoftheboiler(the"claims").4.2thecontractorshallhavetherighttoassumethedefenseofanyclaim,andtheclientshallhavetherighttoparticipateinthedefenseofanyclaimatitsownexpense.4.3thecontractor'sobligationsunderthissectionshallsurvivetheexpirationorterminationofthiscontract.5.termination5.1eitherpartymayterminatethiscontractatanytimeforanyreasonuponwrittennoticetotheotherparty.5.2intheeventoftermination,thecontractorshallbeendtopaymentfortheworkperformedpriortotheeffectivedateoftermination,lessanyapplicablediscountsorcredits.5.3theprovisionsofthiscontractshallsurvivetermination.6.general6.1thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.6.2thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.6.3ifanyprovisionofthiscontractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.6.4thiscontractshallbegovernedandconstruedinaccordancewiththelawsofthestate/provinceof__________,withoutregardtoitsconflictoflawsprinciples.iftopartya:iftopartyb:6.6thepartiesacknowledgethattheyhavereadthiscontract,understanditstermsandintendtobelegallyboundit.INWITNESSWHEREOF,thepartieshaveexecutedthiscontractasoftheeffectivedate.partya::name:一、附件列表：1.鍋爐安裝圖紙2.安裝進(jìn)度表3.承包商報(bào)價(jià)單4.付款授權(quán)書5.鍋爐安裝說(shuō)明書6.保修條款7.違約通知函8.終止合同協(xié)議9.法律名詞解釋詞典二、違約行為及認(rèn)定：1.承包商未能按照約定的進(jìn)度完成鍋爐安裝。2.承包商使用的材料或工藝不符合合同要求。3.承包商未能在保修期內(nèi)修復(fù)或更換有缺陷的鍋爐部件。4.客戶未能在約定的時(shí)間內(nèi)支付款項(xiàng)。5.客戶未能提供適宜的工作環(huán)境或必要的協(xié)助。6.任何一方未能履行合同中規(guī)定的其他義務(wù)。三、法律名詞及解釋：1.鍋爐：指合同中約定的安裝設(shè)備。2.安裝進(jìn)度表：指合同附件中規(guī)定的安裝時(shí)間表。3.承包商：指合同中約定的提供安裝服務(wù)的一方。4.客戶：指合同中約定的接受鍋爐安裝的一方。5.保修期：指合同中約定的鍋爐安裝后的一段時(shí)間，期間承包商負(fù)責(zé)修復(fù)或更換有缺陷的部分。6.違約：指任何一方未能履行合同中約定的義務(wù)。四、執(zhí)行中遇到的問題及解決辦法：1.進(jìn)度延誤：如遇不可抗力因素導(dǎo)致進(jìn)度延誤，雙方應(yīng)協(xié)商調(diào)整時(shí)間表。2.材料或工藝不符：發(fā)現(xiàn)問題應(yīng)及時(shí)通知承包商，要求其在保修期內(nèi)修復(fù)或更換。3.支付問題：客戶應(yīng)按照約定的時(shí)間支付款項(xiàng)，如有疑問，應(yīng)及時(shí)與承包商溝通。4.工作環(huán)境不適宜：客戶應(yīng)提供適宜的工作環(huán)
