中英文采購合同范本(2024版)合同編號：__________中英文采購合同范本（2024版）parties:1.__________Address:_____________________________LegalRepresentative:____________________IDNumber:_____________________________Tel:_____________________________Fax:_____________________________2.__________Address:_____________________________LegalRepresentative:____________________IDNumber:_____________________________Tel:_____________________________Fax:_____________________________hereinafterreferredtoasthe"Supplier"andthe"Buyer"respectively.Object:ThisContractismadeandenteredintoandbetweentheSupplierandtheBuyerwiththefollowingtermsandconditions:Article1:ProductandQuantity1.1TheBuyeragreestopurchasefromtheSupplierthefollowingproducts(hereinafterreferredtoasthe"Products")inthequantitiesandatthepricessetforthintheattachedScheduleA:1.2TheProductsshallmeetthespecificationsandqualitystandardssetforthintheattachedScheduleB.Article2:Delivery2.1TheSuppliershalldelivertheProductstotheBuyer'sdesignatedaddress(hereinafterreferredtoasthe"DeliveryAddress")onorbeforethedeliverydatespecifiedintheattachedScheduleA.2.2TheSuppliershallberesponsibleforthetransportationcostsandinsuranceoftheProductsduringtransit.Article3:Payment3.1TheBuyershallpaythepurchasepricefortheProductsassetforthintheattachedScheduleA,withinthirty(30)daysafterthedateoftheinvoiceissuedtheSupplier.3.2ThepaymentshallbemadebanktransfertotheSupplier'sdesignatedbankaccount,unlessotherwiseagreedthepartiesinwriting.Article4:Warranty4.1TheSupplierwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodoftwelve(12)monthsfromthedateofdelivery.4.2IfanyProductisfoundtobedefectiveduringthewarrantyperiod,theSuppliershall,atitsowncost,repairorreplacethedefectiveProductwithinareasonabletimeafterreceivingwrittennoticefromtheBuyer.Article5:ForceMajeure5.1IfeitherpartyisunabletoperformanyofitsobligationsunderthisContractduetoaneventofforcemajeure,suchasactsofGod,labordisputes,orgovernmentactions,theaffectedpartyshallgivewrittennoticetotheotherpartyassoonaspossible.5.2TheaffectedpartyshalltakereasonablestepstomitigatetheimpactoftheforcemajeureeventandresumeperformanceofitsobligationsunderthisContractassoonasreasonablypossible.Article6:GoverningLawandDisputeResolution6.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.6.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationinaccordancewiththeCIETACArbitrationRules.Article7:Miscellaneous7.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.7.2ThisContractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.3ThepartiesacknowledgethattheyhavereadandunderstoodthisContractandthatitistheirintentiontobelegallybounditsterms.INWITNESSWHEREOF,thepartieshaveexecutedthisContractasoftheEffectiveDate.__________By:_____________________________Name:_____________________________Title:_____________________________Date:_____________________________一、附件列表：1.附件A：產(chǎn)品明細表

2.產(chǎn)品不符：產(chǎn)品未達到合同約定的質量標準或規(guī)格要求。

3.支付遲延：買方未能在約定的支付期限內支付貨款。

4.未經(jīng)授權的變更：未經(jīng)雙方同意，任何一方對合同內容進行未經(jīng)授權的變更。
