Witnesseth:

WHEREAS,PartyAandPartyBhaveenteredintoacertainLoanAgreement,datedasoftheEffectiveDate,pursuanttowhichPartyAhasagreedtolendcertainfundstoPartyB(the"LoanAgreement");

WHEREAS,asaconditiontothegrantingoftheLoan,PartyAhasrequiredthatPartyBprovideaguaranteeforthepaymentoftheLoanandtheperformanceofPartyB'sobligationsundertheLoanAgreement(the"Guarantee");

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

Guarantee.

Article1:GuaranteedObligations

TheGuarantorguaranteestheduepaymentbytheBorrowerofallsumspayablebytheBorrowerundertheLoanAgreement,includingtheprincipalamountoftheLoan,interest,fees,expensesandotheramountsdueundertheLoanAgreement(the"GuaranteedObligations").

Article2:GuaranteeAgreement

TheGuarantoragreesthatitwillpaytheGuaranteedObligationstoPartyAondemand,inaccordancewiththetermsandconditionsoftheLoanAgreement.

Article3:Indemnification

TheGuarantoragreestoindemnifyPartyAforanyloss,damage,costorexpenseincurredbyPartyAinconnectionwiththeenforcementofthisGuarantee,includingreasonableattorneys'feesandotherlegalexpenses.

Article4:Survival

TheGuarantor'sobligationsunderthisGuaranteeshallsurvivetheterminationoftheLoanAgreementandtherepaymentoftheLoan.

Article5:GoverningLawandJurisdiction

ThisGuaranteeshallbegovernedbyandconstruedinaccordancewiththelawsofthecountry/regionofPartyA.AnydisputesarisingoutoforinconnectionwiththisGuaranteeshallbesubjecttotheexclusivejurisdictionofthecourtsofthecountry/regionofPartyA.
