Article1:Definitions
1.1InthisContract,thefollowingtermsshallhavethemeaningsascribedtothem:

Article2:SupplyandPurchaseofGoods
2.1PartyAagreestosupplytheGoodstoPartyBinaccordancewiththetermsandconditionssetforthinthisContract.
2.2PartyBagreestopurchasetheGoodsfromPartyAinaccordancewiththetermsandconditionssetforthinthisContract.
Article3:PriceandPayment
3.1ThePricefortheGoodsshallbe[amountofmoney]perunit,asagreeduponbytheParties.

Article4:Delivery

5.2IftheGoodsarefoundtobedefectiveordamagedupondelivery,PartyAshall,atitsownexpense,replaceorrepairthedefectiveordamagedGoodswithin[timeperiod].
Article6:Termination
6.1EitherPartymayterminatethisContractuponwrittennoticetotheotherPartyiftheotherPartyfailstocomplywithanymaterialtermorconditionofthisContract.
6.2UponterminationofthisContract,thePartiesshallsettleanyoutstandingobligationsandliabilitiesarisingtherefrom.
Article7:GoverningLawandDisputeResolution
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[countryorstate].
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheParties.Ifsuchnegotiationsfail,thedisputesshallbesubmittedto[nameofarbitrationinstitution]forarbitrationinaccordancewithitsrules.
Article8:EntireAgreement

5.3PartyCshallassistinfacilitatingthewarrantyprocessbetweenPartyAandPartyB.
Article6:RightsandObligationsofPartyC
6.1PartyCshallactasanintermediarybetweenPartyAandPartyB,andshallusereasonableeffortstoensurethesmoothandtimelyexecutionofthisContract.
6.2PartyCshallnotdiscloseanyconfidentialinformationofPartyAorPartyBtoanythirdpartywithoutthepriorwrittenconsentoftherespectiveParty.
6.3PartyCshallnotbeliableforanybreachofthisContractbyeitherPartyAorPartyB.
Article7:RightsandObligationsofPartyA
7.1PartyAhastherighttorequestPartyCtoprovideinformationorassistanceregardingthesupplyandpurchaseoftheGoods.
7.2PartyAshallhavetherighttoinspecttheGoodsupondeliveryandtorejectanyGoodsthatdonotmeetthespecificationsandqualityrequirements.
7.3PartyAshallhavetherighttoterminatethisContractifPartyBfailstocomplywithanymaterialtermorconditionofthisContract.
Article8:LimitationsandRestrictionsonPartyB
8.1PartyBagreesnottosellorsupplytheGoodstoanythirdpartywithoutthepriorwrittenconsentofPartyA.
8.2PartyBshallnotusetheGoodsforanypurposeotherthanthatagreeduponbyPartyA.
8.3PartyBshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutthepriorwrittenconsentofPartyA.
Article9:GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[countryorstate].
9.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheParties.Ifsuchnegotiationsfail,thedisputesshallbesubmittedto[nameofarbitrationinstitution]forarbitrationinaccordancewithitsrules.
Article10:Termination

Article11:EntireAgreement
ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,relatingtothesubjectmatterofthisContract.

Article8:GoverningLawandDisputeResolution
