WHEREAS,PartyAandPartyBhavereachedaconsensusonthetermsandconditionsforthepurchaseandsaleofcrudeoil;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
PartyAshallsellanddelivertoPartyB[Quantity]tonsofcrudeoilwithaspecificgravityof[SpecificGravity]APIdegrees,whichistobespecifiedintheattachedProductSpecificationSheet(hereinafterreferredtoas“theProductSpecificationSheet”).
2.DeliveryandShipment
2.1DeliveryTime:Thedeliverytimeshallbe[DeliveryTime]aftertheexecutionofthisContract.
2.2ShipmentPort:Theshipmentportshallbe[ShipmentPort]in[Country/Region].
2.3ShipmentMethod:Thecrudeoilshallbeshippedby[ShipmentMethod],andtheshippingdocumentsshallbeissuedby[ShipmentCompany].
2.4DeliveryNotice:PartyAshallnotifyPartyBoftheshipmentdetails,includingthevesselname,voyagenumber,andestimatedarrivaltime,atleast[Days/Hours]priortotheshipmentdate.
3.PriceandPayment
3.1Price:Thepriceofthecrudeoilshallbe[Price]perton,excludinginsuranceandfreight.
3.2PaymentTerms:PartyBshallmakepaymenttoPartyAwithin[Days]fromthedateofthebilloflading.
3.3PaymentMethod:Thepaymentshallbemadeby[PaymentMethod],i.e.,[e.g.,letterofcredit,telegraphictransfer,etc.].
4.QualityandQuantity
4.1Quality:ThecrudeoilshallcomplywiththequalitystandardsspecifiedintheProductSpecificationSheet.
4.2Quantity:Thequantityofthecrudeoildeliveredshallnotexceedorbelessthan[Quantity]tons,asspecifiedintheProductSpecificationSheet.
5.InspectionandClaims
5.1Inspection:Thecrudeoilshallbeinspectedattheloadingportbyathird-partyinspectorappointedbyPartyAandPartyB.Theinspectionreportshallbefinalandbindinguponbothparties.
5.2Claims:Ifanyqualityorquantityissuesarefounduponinspection,PartyBmayfileaclaimagainstPartyAwithin[Days]fromthedateoftheinspectionreport.TheclaimshallbesettledinaccordancewiththetermsandconditionsstipulatedinthisContract.
6.ForceMajeure
6.1IfeitherpartyisunabletofulfillitsobligationsunderthisContractduetoforcemajeureeventssuchasnaturaldisasters,war,governmentregulations,orotherunforeseeableandirresistiblecircumstances,thepartyshallpromptlynotifytheotherpartyinwritingandprovideevidenceoftheforcemajeureevent.
6.2Insuchcases,thepartiesshalldiscussandagreeontheextensionofthedeliverytimeorotherreasonablesolutions.
7.GoverningLawandDisputeResolution
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].
7.2AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtothecompetentcourtof[Country/Region]forarbitration.
8.EntireAgreement

3.PriceandPayment

5.2Claims:Ifanyqualityorquantityissuesarefounduponinspection,PartyAmayfileaclaimagainstPartyBwithin[Days]fromthedateoftheinspectionreport.PartyBshallberesponsibleforthesettlementoftheclaim.
6.Third-PartyLogisticsProvider'sObligations
6.1PartyCshallprovidetransportationservicesinatimelyandefficientmanner,ensuringthatthecrudeoilisdeliveredtoPartyA'sdesignatedstoragefacilitieswithintheagreedtimeframe.
6.2PartyCshallmaintainappropriateinsurancecoverageforthetransportationofthecrudeoil.
6.3PartyCshallbeliableforanylossordamagetothecrudeoilduringtransportationunlesssuchlossordamageiscausedbyanactofGodoraneventbeyonditscontrol.
7.PartyA'sRightsandInterests
7.1PartyAshallhavetherighttoinspectthecrudeoilattheloadingportandduringtransportationtoensurecompliancewiththeProductSpecificationSheet.
7.2PartyAshallhavetherighttoterminatethisContractintheeventofabreachbyPartyBorPartyCthatsignificantlyimpactsPartyA'soperations.
7.3PartyAshallhavetherighttonegotiatewithPartyBandPartyCforadjustmentstotheContracttermsifitbecomesnecessaryduetochangesinmarketconditions.
8.PartyB'sandPartyC'sObligations
8.1PartyBshallensurethatthecrudeoilisdeliveredtoPartyC'sstoragefacilitiesinaccordancewiththeagreedschedule.
8.2PartyBshallprovidePartyAwithallnecessarydocumentation,includingthebillofladingandinspectionreports.
8.3PartyCshallprovidePartyAwithproofofinsurancecoverageforthetransportationofthecrudeoil.
9.違約及限制條款
9.1PartyBshallbeliableforanydelayindeliveryorfailuretodeliverthecrudeoil,andshallpay[PenaltyAmount]perdayforeachdayofdelay,subjecttoamaximumof[MaximumPenaltyAmount].
9.2PartyCshallbeliableforanylossordamagetothecrudeoilduringtransportationandshallcompensatePartyAforanysuchlossordamage.
9.3PartyBandPartyCagreenottoengageinanyactivitiesthatmayharmtheinterestsofPartyAordisruptthesupplyofcrudeoilunderthisContract.
10.GoverningLawandDisputeResolution
10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].
10.2AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtothecompetentcourtof[Country/Region]forarbitration.
11.Third-PartyInterventionandItsSignificance
TheinclusionofPartyCasthethird-partylogisticsproviderenhancestheefficiencyandreliabilityofthesupplychain,ensuringthatPartyAreceivesthecrudeoilinatimelyandsecuremanner.ThisinterventionalsoallowsPartyAtofocusonitscoreoperationswithouttheburdenoflogisticsmanagement.
12.PurposeandSignificanceofPartyAastheDominantParty
Astheprincipalbuyer,PartyA'sinterestsareparamountinthisContract.Byhavingastrongpositioninthenegotiations,PartyAensuresthatitsrightsandinterestsareprotected,includingqualitycontrol,timelydelivery,andtheabilitytoterminatetheContractincaseofmaterialbreaches.ThisapproachallowsPartyAtomaintainastablesupplyofcrudeoil,whichiscrucialforitsbusinessoperations.

7.1PartyBshallhavetherighttoinspectthecrudeoilattheloadingportandduringtransportationtoensurecompliancewiththeProductSpecificationSheet.
7.2PartyBshallhavetherighttoterminatethisContractintheeventofabreachbyPartyAorPartyCthatsignificantlyimpactsPartyB'soperations.
7.3PartyBshallhavetherighttonegotiatewithPartyAandPartyCforadjustmentstotheContracttermsifitbecomesnecessaryduetochangesinmarketconditions.
8.PartyA'sandPartyC'sObligations
8.1PartyAshallensurethatthecrudeoilisdeliveredtoPartyC'sdesignatedstoragefacilitiesinaccordancewiththeagreedschedule.
8.2PartyAshallprovidePartyBwithallnecessarydocumentation,includingthebillofladingandinspectionreports.
8.3PartyCshallprovidePartyBwithproofofinsurancecoverageforthetransportationofthecrudeoil.
9.違約及限制條款
9.1PartyAshallbeliableforanydelayindeliveryorfailuretodeliverthecrudeoil,andshallpay[PenaltyAmount]perdayforeachdayofdelay,subjecttoamaximumof[MaximumPenaltyAmount].
9.2PartyCshallbeliableforanylossordamagetothecrudeoilduringtransportationandshallcompensatePartyBforanysuchlossordamage.
