2.Specifications,Quantity,PriceandQuality

2.2TheSellershallensurethattheGoodsshallcomplywiththespecifications,quantity,price,qualityanddeliverytermssetforthinthisContractandtheSpecificationsSheet.

3.Delivery

3.1TheSellershalldelivertheGoodstotheBuyeratthefollowingdestination:__________(the"DeliveryPoint").

3.2ThedeliverydateoftheGoodsshallbe__________(the"DeliveryDate"),whichshallbesubjecttotheSeller'sproductionschedule.

4.Payment

5.Warranty

5.1TheSellerwarrantsthattheGoodsshallbefreefromanydefectsinmaterialandworkmanshipforaperiodof__________(the"WarrantyPeriod")fromthedateofdelivery.

5.2IntheeventthatanydefectintheGoodsoccurswithintheWarrantyPeriod,theSellershall,atitssolediscretion,repairorreplacethedefectiveGoods.

6.IntellectualPropertyRights

6.1TheSellerwarrantsthatithasallnecessaryrights,titlesandinterestsintheGoods,includingbutnotlimitedtointellectualpropertyrights.

6.2TheBuyershallnotinfringeuponanyintellectualpropertyrightsoftheSellerduringthecourseofthisContract.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof__________(the"GoverningLaw").

8.EntireAgreement

3.Buyer'sRightsandObligations

6.Seller'sLimitationsandConsequencesofDefault

6.Seller'sLimitationsandConsequencesofDefault

6.1IntheeventoftheSeller'sfailuretoperformitsobligationsunderthisContract,theBuyershallhavetherighttoterminatethisContractandclaimdamages,includingbutnotlimitedtothecostofsubstitutegoodsandanyotherlossesincurred.

6.2TheSellershallbeliableforanylossescausedtotheBuyerbyitsfailuretocomplywiththequalityordeliveryrequirementsofthisContract.
