greement,theAgentshallpromptlyreturntotheManufactureralldocumentation,materials,andotherpropertybelongingtotheManufacturer.TheManufacturershallpaytotheAgentalloutstandingpaymentsdueunderthisAgreement.第十三條：其他條款13.1信息反饋與溝通13.2合同的翻譯與解釋ThisAgreementmaybetranslatedintoanylanguageasagreedtheparties,buttheEnglishversionshallprevailintheeventofanydiscrepancybetweenthetranslatedversions.第十四條：附則14.1合同的附件AllexhibitsandschedulesreferredtointhisAgreementarepartofthisAgreementandareincorporatedhereinreference.14.2合同的修訂歷史ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.AlistofallamendmentsandmodificationstothisAgreementshallbemaintainedandattachedheretoasExhibitF.第二部分：第三方介入后的修正15.1第三方介入的概念ForthepurposesofthisAgreement,"ThirdParty"meansanyindividual,entity,ororganizationthatisnottheManufacturerortheAgentandthatisinvolvedintheperformanceofthisAgreement,includingbutnotlimitedtoconsultants,subcontractors,andotheragents.15.2第三方介入的義務(wù)和責(zé)任B.TheManufacturerandtheAgentshallindemnifyandholdharmlesseachotheragainstanyclaims,actions,damages,orliabilitiesarisingoutoforinconnectionwiththeactsoromissionsofanyThirdParty.16.1第三方介入的額外條款I(lǐng)ntheeventthataThirdPartyisinvolvedintheperformanceofthisAgreement,thepartiesagreetoaddthefollowingadditional條款:A.ThepartiesshallprovidetheThirdPartywithacopyofthisAgreement,orrelevantpartsthereof,andensurethattheThirdPartyisawareofandboundthetermsandconditionsofthisAgreement.B.ThepartiesshallprovidetheThirdPartywithanynecessarytraining,instructions,orguidancetoensurethattheThirdPartyunderstandsitsobligationsandresponsibilitiesunderthisAgreement.16.2第三方介入的說明ThepartiesacknowledgeandagreethattheinvolvementofaThirdPartyintheperformanceofthisAgreementdoesnotrelievethepartiesoftheirrespectiveobligationsandresponsibilitiesunderthisAgreement.ThepartiesremainfullyresponsiblefortheactsandomissionsoftheThirdParty.17.1第三方責(zé)任限額TheliabilityofaThirdPartyunderthisAgreementshallbelimitedtotheextentprovidedinthisAgreementoranyotheragreemententeredintobetweenthepartiesandtheThirdParty.ThepartiesagreetonegotiateingoodfaithtodeterminetheappropriateliabilitylimitsforThirdPartiesinvolvedintheperformanceofthisAgreement.17.2第三方責(zé)任限額的確定ThepartiesagreethattheliabilitylimitsforThirdPartiesshallbesetforthinaseparateagreemententeredintobetweenthepartiesandtheThirdParty.ThisseparateagreementshallspecifythescopeoftheThirdParty'sliability,thetypesofclaimscovered,andthemaximumamountofliability.18.1第三方介入的合同修改IntheeventthataThirdPartyisinvolvedintheperformanceofthisAgreement,thepartiesagreetomodifythisAgreementorenterintoaseparateagreementwiththeThirdPartytoensurethattherightsandobligationsofallpartiesareclearlydefinedandenforceable.18.2第三方介入的合同備案ThepartiesagreetokeepacopyofanyagreementsenteredintowithThirdPartiesinvolvedintheperformanceofthisAgreementandtoprovideeachotherwithacopyofsuchagreementsuponrequest.19.1第三方介入的爭議解決IntheeventofadisputearisingoutoforinconnectionwiththeactsoromissionsofaThirdParty,thepartiesagreetoresolvesuchdisputeinaccordancewiththedisputeresolutionmechanismsetforthinthisAgreement.19.2第三方介入的訴訟管轄ThepartiesagreethatanylegalproceedingsarisingoutoforinconnectionwiththeactsoromissionsofaThirdPartyshallbebroughtinthecourtsof[Country]or[Territory],asspecifiedinthisAgreement.20.1第三方介入的權(quán)益保護ThepartiesagreetotakeallnecessarystepstoprotecttherightsandinterestsoftheotherpartyandtoensurethattheactsoromissionsofanyThirdPartydonotresultinanylossordamagetotheotherparty.20.2第三方介入的信息披露ThepartiesagreetodisclosetoeachotherallinformationrelevanttotheactsoromissionsofanyThirdPartyandtocooperatewitheachotherintheinvestigationandresolutionofanydisputesarisingoutoforinconnectionwiththeactsoromissionsofaThirdParty.21.1第三方介入的培訓(xùn)和指導(dǎo)ThepartiesagreetoprovidetrainingandguidancetoanyThirdPartyinvolvedintheperformanceofthisAgreementtoensuretha
