b.PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeProject,exceptasmaybecausedbythenegligenceorbreachofthisContractbyPartyB.

7.TerminationofContract:

a.EitherPartymayterminatethisContractuponwrittennoticetotheotherPartyiftheotherPartyfailstoperformitsobligationsunderthisContract.

b.Intheeventoftermination,PartyAshallcompletetheProjecttotheextentreasonablypracticable,andPartyBshallpayPartyAfortheworkperformeduptothedateoftermination.

8.DisputeResolution:
