2025年度環(huán)保材料購銷合同模板英文版本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALENVIRONMENTALPROTECTIONMATERIALSPURCHASEANDSALECONTRACTThisContractconsistsofthreeparts,forreferenceonly.Thefirstpartisasfollows:PARTI:PROCUREMENTANDSALEOFENVIRONMENTALPROTECTIONMATERIALSFORTHEYEAR20251.ContractingPartiesPurchaser:Name:______________________LegalRepresentative:______________________Address:______________________ContactPerson:______________________ContactInformation:______________________Supplier:Name:______________________LegalRepresentative:______________________Address:______________________ContactPerson:______________________ContactInformation:______________________2.ContractObjectThemainproductsinvolvedinthiscontractareasfollows:ProductName:______________________ProductSpecifications:______________________Quantity:______________________UnitPrice:______________________TotalAmount:______________________3.DeliveryTermsDeliveryDate:______________________DeliveryLocation:______________________4.QualityRequirements______________________5.PaymentTermsThepaymentshallbemadeinaccordancewiththefollowingterms:PaymentMethod:______________________PaymentSchedule:______________________6.ResponsibilitiesandObligations6.1Purchaser'sResponsibilitiesandObligations:1.Topaythesuppliertheagreedtotalamountwithinthespecifiedtimeperiod.2.Toensurethequalityofthematerialsreceivedmeetsthecontractrequirements.3.Toprovidenecessaryassistanceforthedeliveryandinstallationoftheproducts.6.2Supplier'sResponsibilitiesandObligations:1.Todelivertheproductstothedesignatedlocationontime.2.Toensurethequalityoftheproductsmeetsthecontractrequirements.3.Toprovidetechnicalguidanceandaftersalesservicefortheproducts.7.ForceMajeureIntheeventofforcemajeure,suchasnaturaldisasters,war,governmentregulations,etc.,thatpreventseitherpartyfromfulfillingtheirobligationsunderthiscontract,theaffectedpartyshallnotifytheotherpartyinwritingwithin15daysaftertheoccurrenceoftheevent.Bothpartiesshalldiscussanddecideontheextensionoftheperformanceperiodortheterminationofthecontract.8.DisputeResolutionIncaseofanydisputesarisingfromtheexecutionofthiscontract,bothpartiesshallnegotiateandsettlethemamicably.Ifthenegotiationfails,thedisputesshallbesubmittedtothepeople'scourtattheplacewherethecontractisexecutedfortrial.9.ValidityandAmendmentsThiscontractshallbeeffectiveuponthesignatureofbothparties.Anyamendmentorsupplementtothiscontractshallbemadeinwritingandshallbesignedbothparties.Theamendmentorsupplementshallhavethesamelegaleffectasthiscontract.10.GeneralProvisions1.Thiscontractisdraftedintwocopies,eachcopyisequallyeffective,andonecopyiskepteachparty.2.Thiscontractshallbegovernedthelawsofthecountrywherethecontractisexecuted.3.Theheadingsinthiscontractareforconvenienceonlyandshallnotaffecttheinterpretationoftheprovisionshereof.11.AppendicesThefollowingdocumentsareanintegralpartofthiscontract:______________________EndofPartI第二部分：ThirdPartyInvolvementAftertheContract1.DefinitionofThirdPartiesForthepurposeofthiscontract,"thirdparties"refertoanyindividuals,organizations,orentitiesthatarenotpartiestothiscontractbutareinvolvedintheprocurement,sale,ordeliveryoftheenvironmentalprotectionmaterials.Thismayinclude,butisnotlimitedto,intermediaries,consultants,inspectors,transporters,andanyotherentitiesthatprovideservicesrelatedtotheexecutionofthiscontract.2.TypesofThirdPartyInvolvement2.1.Intermediaries:ThesearethirdpartiesthatfacilitatethetransactionbetweenthePurchaserandtheSupplier,includingbrokers,agents,anddistributors.2.2.Consultants:Thesearethirdpartiesthatprovideprofessionaladviceorservicesrelatedtotheselection,qualitycontrol,ortechnicalaspectsoftheenvironmentalprotectionmaterials.2.4.Transporters:ThesearethirdpartiesresponsibleforthetransportationofthematerialsfromtheSuppliertothePurchaser.3.AdditionalTermsandConditionsforThirdPartyInvolvement3.1.Notification:BoththePurchaserandtheSuppliershallnotifyeachotherinwritingofanyintendedinvolvementofthirdparties.Thisnotificationshallincludethename,address,andcontactinformationofthethirdparty,aswellasadescriptionoftheservicestobeprovided.3.2.Agreement:Beforeanythirdpartyisengaged,thePurchaserandtheSuppliershallensurethatthethirdpartyagreestobeboundthetermsandconditionsofthiscontract,includingthequalityrequirements,deliveryterms,andpaymentterms.3.3.Responsibility:ThePurchaserandtheSuppliershallbejointlyandseverallyliablefortheactsandomissionsofthethirdpartiestheyengage,totheextentthatsuchactsoromissionsarerelatedtotheperformanceofthiscontract.4.RightsandObligationsofThirdParties4.1.Rights:Toreceivepaymentfortheservicesrenderedinaccordancewiththetermsofthiscontract.Tohaveaccesstothenecessaryinformationandresourcestoperformtheirserviceseffectively.Tobeprotectedfromliabilityforactsoromissionsbeyondtheircontrol.4.2.Obligations:Toperformtheirserviceswithduediligenceandinaccordancewiththetermsofthiscontract.Tomaintainconfidentialityregardinganysensitiveinformationobtainedinthecourseoftheirwork.5.LimitationofLiabilityofThirdParties5.1.GeneralLimitation:Theliabilityofanythirdpartyinvolvedintheexecutionofthiscontractshallbelimitedtothescopeoftheirservicesandthefeesagreeduponinwriting.Theyshallnotbeliableforanydirect,indirect,orconsequentialdamagesarisingfromthefailuretoperformtheirobligationsunderthiscontract.5.2.SpecificLimitations:IntermediariesshallnotbeliableforthequalityofthematerialsorforanybreachofcontracttheSupplier.ConsultantsshallnotbeliableforanylossordamageresultingfromthePurchaser'sdecisiontopurchaseorusethematerials.Inspectorsshallnotbeliableforanydiscrepanciesinthequalityofthematerialsthatwerenotapparentatthetimeofinspection.Transportersshallnotbeliableforanylossordamagetothematerialscausedeventsbeyondtheircontrol,suchasnaturaldisastersorwar.6.DivisionofResponsibilitiesAmongThirdPartiesandOtherParties6.1.ResponsibilitiesofthePurchaser:Toprovideclearinstructionsandspecificationstothethirdpartiesregardingtheprocurement,quality,anddeliveryofthematerials.Tomonitortheperformanceofthethirdpartiesandensurethattheymeettherequirementsofthiscontract.ToresolveanydisputesthatmayarisebetweenthethirdpartiesandtheSupplier.6.2.ResponsibilitiesoftheSupplier:Toprovidethethirdpartieswithallnecessaryinformationandaccesstothematerialsfortheperformanceoftheirservices.ToensurethatthethirdpartieshavetheauthoritytoactonbehalfofthePurchaser.Toassistthethirdpartiesinresolvinganyissuesthatmayariseduringtheperformanceoftheirservices.6.3.ResponsibilitiesofThirdParties:ToperformtheirservicesinaccordancewiththetermsofthiscontractandtheinstructionsprovidedthePurchaserandtheSupplier.7.TerminationofThirdPartyInvolvement7.1.ReasonsforTermination:ThePurchaserortheSuppliermayterminatetheinvolvementofathirdpartyif:Thethirdpartyfailstoperformtheirservicesinaccordancewiththetermsofthiscontract.Thethirdpartybreachesanyapplicablelawsorregulations.7.2.NoticeofTermination:Anyterminationofathirdparty'sinvolvementshallbemadeinwritingandshallincludethereasonsfortermination.Thenoticeofterminationshallbeprovidedtothethirdpartyandtotheotherpartytothiscontract.7.3.ConsequencesofTermination:Uponterminationofathirdparty'sinvolvement,thePurchaserandtheSuppliershallensurethatalloutstandingobligationsunderthiscontractarefulfilledandthatanynecessaryarrangementsforthecontinuedperformanceofthecontractaremade.EndofPartII第三部分：OtherSupplementaryExplanationsandClarifications說明一：AttachmentList1.QualityCertificate:Thisdocumentshallcertifythatthematerialssuppliedmeettheagreeduponqualitystandards.Itmustbeissuedanindependentandrecognizedtestinglaboratory.2.InspectionReport:Theinspectionreportshalldetailthefindingsofthequalityinspectionconductedtheinspectors.Itmustincludethedateofinspection,thenameoftheinspector,andtheresultsoftheinspection.3.DeliveryNote:Thisdocumentshallserveasproofofdeliveryandshallincludethedateofdelivery,thequantityofmaterialsdelivered,andthesignatureoftherecipient.4.Invoice:Theinvoiceshalldetailthequantity,price,andtotalamountofthematerialssupplied.ItmustbeissuedtheSupplierandincludethePurchaser'spurchaseordernumber.5.PaymentReceipt:ThisdocumentshallserveasproofofpaymentmadethePurchasertotheSupplier.Itmustincludethedateofpayment,theamountpaid,andtheSupplier'saccountnumber.7.WarrantyCertificate:ThisdocumentshallprovidethewarrantytermsandconditionsofferedtheSupplierforthematerialssupplied.8.InsurancePolicy:Ifinsuranceisrequiredforthetransportationofthematerials,acopyoftheinsurancepolicymustbeprovided.10.CustomsDeclaration:Ifapplicable,thisdocumentshallbesubmittedtothecustomsauthoritiestofacilitatetheimportorexportofthematerials.說明二：BreachofContractandLiabilityDetermination1.NonPayment:IfthePurchaserfailstomakethepaymentwithintheagreedupontimeframe,theSuppliermaychargeinterestontheoverdueamountattherateof__________perannum.Example:IfthePurchaserfailstopaywithin30days,theSuppliermaychargeaninterestrateof2%permonthontheoverdueamount.2.LateDelivery:IftheSupplierfailstodeliverthematerialsontime,thePurchasermaydeductapenaltyfromthepaymentforeachdayofdelay.Example:Apenaltyof0.5%ofthetotalcontractvalueperdayofdelay
