ofaThirdPartyshallbeclearlydefinedintheagreement.TheresponsibilitiesoftheThirdPartyshallinclude,butnotbelimitedto:Providingservicessuchasduediligence,valuation,riskassessment,andadvisoryservicesrelatedtothefinancingarrangement.Assistingwiththestructuringanddocumentationofthefinancingtransaction.2.2.TheBuyer,Seller,andFinancershallprovidetheThirdPartywithallnecessaryinformationandaccesstodocumentsrequiredtofulfillitsobligationsunderthisagreement.3.ThirdParty'sLiability3.1.TheliabilityoftheThirdPartyshallbelimitedtothescopeofitsresponsibilitiesasdefinedinthisagreementandanyadditionaltermsagreeduponseparately.3.2.TheBuyer,Seller,andFinancershallnotholdtheThirdPartyliableforanydirect,indirect,orconsequentiallossesarisingfromtheThirdParty'sperformanceorfailuretoperformitsobligationsunderthisagreement,exceptwheresuchliabilityisimposedapplicablelaw.4.Indemnification4.1.TheBuyer,Seller,andFinancershallindemnifytheThirdPartyagainstanyclaims,actions,ordemandsarisingfromorinconnectionwiththefinancingarrangement,excepttotheextentthatsuchclaims,actions,ordemandsarisefromthenegligenceorwillfulmisconductoftheThirdParty.4.2.Theindemnificationobligationshallsurvivetheterminationorexpirationofthisagreement.5.Confidentiality5.1.TheBuyer,Seller,andFinancershallensurethattheThirdPartymaintainstheconfidentialityofallinformationprovidedtoitinconnectionwiththisagreement.5.2.Theconfidentialityobligationshallcontinuetoapplyaftertheterminationorexpirationofthisagreement.6.ThirdParty'sRelationshipwiththeParties6.2.TheBuyer,Seller,andFinancershallnotbeliableforanyactsoromissionsoftheThirdParty.7.ThirdParty'sAuthorization7.1.TheBuyer,Seller,andFinancershallprovidetheThirdPartywithallnecessaryauthorizationstoperformitsobligationsunderthisagreement.7.2.TheBuyer,Seller,andFinancershallnotrevokeoramendanyauthorizationwithouttheconsentoftheThirdParty.8.DisputeResolution8.1.AnydisputesarisingbetweentheBuyer,Seller,Financer,andtheThirdPartyinrelationtothisagreementshallberesolvedthroughnegotiation.8.2.Ifnegotiationfailstoresolvethedispute,thepartiesshallsubmitthedisputetoarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).9.AdditionalProvisions9.1.TheBuyer,Seller,andFinancermay,attheirsolediscretion,engageadditionalThirdPartiestoassistwiththefinancingarrangement.9.2.AnyengagementofadditionalThirdPartiesshallbesubjecttotheprovisionsofthisagreement.9.3.TheBuyer,Seller,andFinancershallberesponsibleforthecostsassociatedwiththeengagementofanyThirdParty.9.4.TheBuyer,Seller,andFinancershallensurethatanyThirdPartyengagedinconnectionwiththisagreementisadequatelyqualifiedandexperiencedtoperformitsobligations.Thisadditionalsectionshallbeappendedtothe2025AnnualInternationalTradeFinancingAgreementtoaddressthespecificrequirementsandobligationsofThirdPartiesinvolvedinthetransaction.第三部分：其他補充性說明和解釋說明一：附件列表：1.FinancialStatementsDetailedfinancialstatementsoftheBuyer,Seller,andFinancerforthepastthreeyears.Auditedfinancialstatementsforthecurrentfiscalyear.2.BusinessPlansDetailedbusinessplansfortheBuyerandSellerforthenextthreeyears.MarketingplansandforecastsfortheSeller.3.CreditReportsCreditreportsfortheBuyer,Seller,andFinancer.Creditratingsprovidedreputablecreditratingagencies.4.SalesandPurchaseAgreementsOriginalsalesandpurchaseagreementsbetweentheBuyerandSeller.Anyamendmentsoraddendatothesalesandpurchaseagreements.5.InsurancePoliciesCopiesofallinsurancepoliciesrelevanttothetransaction.Certificateofinsuranceshowingcoverageforthefinancingarrangement.6.LettersofCreditOriginallettersofcreditissuedforthefinancingarrangement.Anyamendmentsorsupplementstothelettersofcredit.7.Export/ImportDocumentsAllexportandimportdocumentsrequiredforthetransaction.Compliancewithrelevanttraderegulationsandcustomsrequirements.8.LegalOpinionsLegalopinionsregardingthevalidityandenforceabilityofthefinancingarrangement.9.EnvironmentalandSocialImpactAssessmentsEnvironmentalandsocialimpactassessmentsfortheSeller'soperations.Compliancewithenvironmentalandsocialstandards.10.TechnicalSpecificationsTechnicalspecificationsofthegoodstobepurchasedtheBuyer.Qualitycontrolproceduresforthegoods.說明二：違約行為及責任認定：1.Buyer's違約行為：Failuretomaketimelypayments.Failuretoprovideaccuratefinancialinformation.責任認定標準：TheBuyershallbeliableforanylatepaymentfeesorinterestchargesincurredasaresultoflatepayments.TheBuyershallbeliableforanylegalfeesorpenaltiesincurredasaresultofprovidinginaccuratefinancialinformation.示例說明：IftheBuyerfailstomakeapaymentwithintheagreedupontimeframe,theSellermaychargealatefeeof1%permonthontheoutstandingamount.2.Seller's違約行為：Failuretodelivergoods
